FIRST AMENDMENT OF
CITY SECRETARY CONTRACT NUMBER 52785,
A LICENSE AGREEMENT BETWEEN CITY OF FORT WORTH
AND FORT WORTH BIKE SHARING
This FIRST AMENDMENT OF CITY SECRETARY CONTRACT NUMBER 52785
("First Amendment"), is made and entered into by and between the CITY OF FORT WORTH
("City"), a home -rule municipal corporation of the State of Texas, acting by and through its duly
authorized Assistant City Manager, and FORT WORTH BIKE SHARING ("Licensee"), a
Texas nonprofit corporation, acting by and through its duly authorized representative. City and
Licensee are herein referred to individually as a ("Parry") and collectively as the ("Parties").
WHEREAS, on the August 26, 2019, the City and Licensee entered into a License
Agreement for Licensee to install and maintain a bike sharing station at the City -owned park
known as Gateway Park, located at 751 Beach Street, Fort Worth, Texas, 76111, the same being
Fort Worth City Secretary Contract ("CSC") Number 52785 ("Agreement");
WHEREAS, the Agreement provides a primary term of five -years and two (2) five-year
renewal periods (each a "Renewal Term");
WHEREAS, the Parties wish to amend the Agreement to include 9 additional Bike Sharing
Stations; and
NOW, THEREFORE, the City and Licensee agree to amend the Agreement as follows:
I.
1. City and Licensee hereby agree to amend the Agreement to provide an updated
listing of bike share locations, as set forth in Exhibit A-1, attached hereto and incorporated herein
for all purposes.
II.
1. All terms and conditions of the Agreement that are not expressly amended pursuant
to this First Amendment shall remain in full force and effect.
2. All terms in this First Amendment that are capitalized but not defined shall have
the same meanings assigned to them in the Agreement.
