AMENDMENT NO. 1 AND RENEWAL NO. l
TO
CITY OF FORT WORTH CONTRACT 58187
This Amendment and Renewal is entered into by and between the City of Fort Worth
(hereafter "City"), a home rule municipality, with its principal place of business at 200 Texas
Street, Fort Worth, Texas, and Dataminr, Inc. ("Vendor"), City and Vendor may be referred to
individually as a Party and collectively as the Parties.
WHEREAS, the parties have previously entered into City of Fort Worth City Secretary
Contract No. 58187 (the "Contract"), which was executed on October 4, 2022; and
WHEREAS, the Parties wish to amend the Agreement to revise Statement of Work No. 1
to increase year 2024 to $96,000.00;
WHEREAS, the Parties wish to renew the agreement, as amended, for an additional one-
year term.
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement:
1.
AMENDMENT AND RENEWAL
The Agreement is hereby amended as follows:
Statement of Work No. 2, effective date October 1, 2023, attached to this Amendment
revises the Statement of Work No. 1 attached to the Agreement;
The parties further agree to renew the Agreement, as amended herein, for an additional one-year
period which shall begin upon October 1, 2023 and continue for one year thereafter.

ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
3.
ELECTRONIC SIGNATURE
This Amendment may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as anoriginal.

License Type Defmition(s):
"Individual Use License" means a license that is provided to a specific Authorized User. Authentication Credentials are
personal to each Authorized User and may not be shared with or used by more than one person. Customer may transfer
an Individual Use License from one user to another from time to time provided that the number of Authorized Users
shall be no greater than the number of Individual Use Licenses purchased under the applicable Service Order.
Initial Term: 12 months (from October 1, 2023 through September 30, 2024).
Fees: For the Initial Term, Customer shall pay Dataminr, Inc. ("Datamim•") the Total Fees set forth above.

This Statement of Work ("SOW") is entered into as of the date indicated above (the "Effective Date") between Dataminr,
Inc. and the Customer, and is subject to the Master Services Agreement ("Master Agreement") attached as Exhibit A to
Statement of Work No. 1 dated October 1, 2022 and the Addendum to Master Services Agreement between the City of
Fort Worth and Dataminr, Inc dated October 4, 2022, previously entered by and between the parties. There will be no
force or effect to any different terms of any related purchase order or similar form even if signed by the parties after the
date hereof, Each party's acceptance of this Agreement was and is expressly conditional upon the other's acceptance of
the terms contained in the Agreement to the exclusion of all other terms. Capitalized terms not otherwise defined herein
shall have the meaning set forth in the Master Agreement.
