SECOND AMENDMENT TO
CITY.SECRETARY CONTRACT 57357
This Second Amendment ("Second. Amendment") is entered into and by and between the
City. of Fot Worth ("Fort Worth"), a Texas horrie-rule municipal corporation, acting by and .
through its duly authorized Assistant City Manager, and Wilson Bauhaus Interiors, LLC.
("Vendor"), a Texas limited liability company, acting by and through its duly authorized
representative.
WHEREAS, Fort Worth entered into the Agreement identified as City Sectetary Contract
No. 573 57. (the "Agreement") with Wilson Office Interiors, LLC;
WHEREAS, Wilson Office Interiors, LLC assigned all of its right, title, and interest to the
Agreement to Vendor on April 13, 2022;
WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the
Agreement to increase the total compensation amount by $275,000.00 for a new total contract
amount of $3,9.00,000.00, as authorized by M&C 23-0772.
NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by
and through their duly authorized representatives, agree to the following terms, which amend the
agreement as follows:
1. The Agreement is hereby amended to read as follows:
City shall pay Vendor in accordance with the fee schedule in Exhibit A and in accordance
with the provisions of the Agreement that total payment made under. this Agreement by City shall
not exceed Three Million, Nine Hundred Dollars (3,900,000.00). Vendor shall not provide any
additional items or services or bill for expenses incurred for. City not specified by. this Agreement
unless City requests and approves in writing the additional, costs for such services. City shall not
be liable for any additional expenses of Vendor not specified by this Agreement unless City first
approves such expenses in writing.
2. All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
