FIRST AMENDMENT AND THIRD RENEWAL OF FORT WORTH
CITY SECRETARY CONTRACT NO. 56343
This FIRST AMENDMENT AND THIRD RENEWAL OF FORT WORTH CITY
SECRETARY CONTRACT NO. 56343 ("AMENDMENT") is made and entered into by and
between the City of Fort Worth, a home -rule municipal corporation of the State of Texas
("City"), acting herein by and through Dana Burghdoff, its duly authorized Assistant City
Manager, and Hillwood Alliance Services, LLC ("Operator"), a Texas limited liability company.
City and Operator are individually referred to as a "party" and collectively referred to as the
"parties".
WHEREAS, City and Operator are currently parties to an agreement for Operator to
provide management and maintenance services of the FAA Air Traffic Control Tower located at
Perot Field Fort Worth Alliance Airport, the same being Fort Worth City Secretary Contract
No. 56343 (the "Agreement");
WHEREAS, the Agreement allows for up to five (5) one-year renewal options under the
same terms and conditions;
WHEREAS, the second renewal term of Agreement is set to expire on December 31,
2023;
WHEREAS, funds are currently allocated for this Agreement every fiscal year which has
caused issues with payments under the Agreement since each term is based on an annual cycle
beginning on the January 1 and ending of the December 31 each year; and
WHEREAS, due to this issue, the parties have agreed to amend the Agreement to change
the remaining renewal terms to begin on October 1 and to end on September 30, beginning with
the third, one-year, renewal term which will begin on October 1, 2023 and end on September 30,
2024.
NOW THEREFORE, KNOWN ALL BY THESE PRESENT, City and Operator, acting
herein by and through their duly authorized representatives, enter into this Renewal as follows:
Section 4 ("Term.") of the Agreement is hereby amended to read as follows:
4. Term. This Agreement shall begin upon execution of this agreement
("Effective Date") and shall expire on December 31, 2021 ("Expiration Date"),
unless terminated earlier in accordance with this Agreement ("Initial Term").
City shall have the option, in its sole discretion, to renew this Agreement within
thirty (30) days of the Initial Term's expiration and under the same terms and
conditions, for up to five (5) one-year renewal options (each a "Renewal Period").

For the last three Renewal Periods, each Renewal Period option, if initiated by the
City, will begin on October 1 and end on September 30 of the following year.

The City and Operator hereby agree to enter into this third Renewal as permitted under the
Agreement, for a renewal term beginning on October 1, 2023 and ending on September 30, 2024.

Except as expressly modified in this Amendment, all other terms and conditions of the
Agreement shall remain in full force and effect.
