WHEREAS, on November 2, 1993, the City Council of the City of Fort Worth approved M&C C-14074 authorizing the city manager to execute an Airport Access Agreement with Vintage Flying Museum, Inc., said contract being known as City of Fort Worth City Secretary Contract No. 20036; and WHEREAS, City of Fort Worth City Secretary Contract No. 20036 was for a term of 10 years, with Vintage Flying Museum, Inc. having a right of first refusal to enter into a new agreement for an additional 5 years; and WHEREAS, City of Fort Worth City Secretary Contract No. 20036 was amended by the City Council of the City of Fort on January 23, 2001 by Council Proposal No. 218, which waived the requirement under City of Fort Worth City Secretary Contract No. 20036 that Vintage Flying Museum, Inc. pay a monthly access fee at a rate of$0.10 per square foot for the site described in Exhibit"A" attached to the Contract; and WHEREAS, Vintage Flying Museum, Inc. has requested to exercise it right of first refusal to enter into a new agreement for an additional 5 years; and WHEREAS, the City of Fort Worth and Vintage Flying Museum, Inc. desire to enter into a new contract under the same terms and conditions as contained in City Secretary Contract No. 20036, as amended by Council Proposal No. 218; and WHEREAS, on March 11, 2004,the City Council of the City of Fort Worth approved M&C L-13774 authorizing the city manager to execute a 5 year extension to City Secretary Contract No. 20036, and to continue to waive the access fees as approved by Council Policy 218. NOW, THEREFORE, the City of Fort Worth, acting herein by and through Marc A. Ott, its duly authorized assistant city manager, and Vintage Flying Museum, Inc., acting herein by its duly authorized president, do hereby agree as follows: 1. This agreement is for the purpose of extending City Secretary Contract No. 20036, as amended by Council Proposal No. 218 for a period of 5 years, from November 23, 2003 until November 22, 2008. 2. All terms and conditions contained in City Secretary Contract No. 20036, as amended by Council Proposal No. 218, shall constitute the terms and conditions of this agreement, with the sole exception that there shall be no right of first refusal to extend the agreement beyond the 5 year term provided for herein. DISCUSSION: On November 2, 1993 (M&C C-14074), the City Council authorized the execution of an Airport Access Agreement at Fort Worth Meacham International Airport (City Secretary Contract No. 20036) with the Fort Worth Vintage Flying Museum, Inc. (Vintage). The term of that agreement was for a ten (10) year period, with the Right to First Refusal for an additional five (5) years. The initial term has expired, and Vintage has requested to execute their option for the extension. The initial agreement required Vintage to pay a monthly access fee at a rate of$0.10 per square foot for their site, totaling $99.97 on a monthly basis. On January 23, 2001, the City Council waived the requirement for an access fee (Council Proposal No. 218). Vintage operates as a non-profit organization, and has established a national reputation for preserving America's flying heritage. The facility has hosted numerous events for the Fort Worth/Dallas community, providing unique access to some of the most impressive aviation related historical artifacts in this region. They are actively involved in, and an integral part of, the Federal Aviation Administration's Aviation Education Resource Center, providing inspirational tours to local schools which has significantly enhanced the promotion of aviation for our youth. Other programs sponsored by the 400 volunteers at the museum include aviation summer camps and aviation workshops for teachers. Through their accomplishments and educational programs, Vintage has contributed greatly to the aviation community, as well as the community at large. Staff has established a partnership with Vintage that has enabled the successful completion of flight evolutions and aviation events, including the National Air Tour. The success of these events has helped to positively promote and preserve the significant aviation heritage as it relates to Fort Worth. Staff supports the request to extend this agreement and the elimination of the access fee.
