THIRD AMENDMENT AND FIRST RENEWAL OF
CITY SECRETARY CONTRACT NUMBER 57669
This THIRD AMENDMENT AND FIRST RENEWAL OF CITY SECRETARY
CONTRACT NUMBER 57669 ("Third Amendment and First Renewal") is made and entered into by and
between the CITY OF FORT WORTH, ("Buyer"), a Texas home rule municipal corporation, acting by
and through its duly authorized Assistant City Manager, and DALLAS BASKETBALL LTD, ("Seller"),
a Texas limited partnership. Buyer and Seller are herein referred to individually as a ("Party") and
collectively as the ("Parties").
WHEREAS, on June 9, 2022, the Parties entered into a Purchase Agreement for the purchase of
youth jerseys and shorts from the Dallas Mavericks organization, as part of youth sports programming, the
same being City Secretary Contract ("CSC") Number 57669 ("Agreement");
WHEREAS, the Agreement provides an initial term of six months;
WHEREAS, on September 26, 2022, the Parties amended the Agreement to increase the total
compensation amount to purchase additional youth jerseys and shorts from $7,700 to $18,000;
WHEREAS, on October 27, 2022, the Parties amended the Agreement to increase the total
compensation amount from $18,000 to $25,700 for the purchase of additional youth jerseys and shorts;
WHEREAS, the initial term of the Agreement expired on December 31, 2022;
WHEREAS, it is the collective desire of the Parties to amend the Agreement to allow for renewal
terms and increase the total compensation amount to purchase additional youth jerseys and shorts; and
NOW, THEREFORE, for and in consideration of the mutual promises and covenants set forth
herein, the Parties agree to amend and renew and extend the Agreement as follows:
I.
1. Buyer and Seller hereby agree to amend Section 3 of Exhibit A, "Term" to add subsection
1, "Renewals", to read as follows:
3.1 Renewals. Buyer will have the option, in its sole discretion, to automatically renew
this Agreement under the same terms and conditions, for up to ten (10) additional one-year periods (each a
"Renewal Term"). The effective date for the first renewal term will begin on the date that the Agreement is
executed by the Assistant City Manager ("Effective Date").
2. Buyer and Seller hereby agree to amend the Agreement to increase the total compensation
amount from $25,700.00 to $50,000.00, to purchase additional youth jerseys and shorts as part of youth
sports programming.
II.
Buyer and Seller hereby agree to extend this Agreement for a one-year period effective on the date
that the Agreement is executed by the Assistant City Manager.
III.
1. All terms in this Third Amendment and First Renewal that are capitalized but not defined
shall have the same meanings assigned to them in the Agreement.

2. All terms and conditions of the Agreement that are not expressly amended pursuant to
this Third Amendment and First Renewal shall remain in full force and effect.
