AMENDMENT 1 AND RENEWAL 3 TO
CITY SECRETARY CONTRACT NO. 55223
COOPERATIVE PURCHASE
This Amendment and Renewal is executed by and between the City of Fort Worth ("City"),
a Texas home rule municipal corporation, and Carahsoft Technology Corporation (“Vendor”), a
Virginia corporation authorized to do business in the State of Texas. City and Vendor are each
individually referred to herein as a “Party” and collectively as the “Parties.”
WHEREAS, Parties have previously entered into City of Fort Worth City Secretary
Contract No. 55223 (“Coop Purchase”) on January 10, 2021;
WHEREAS, Coop Purchase was executed to purchase the Liferay software platform under
Texas Department of Information Services, DIR-TSO-4288 (“Cooperative Contract”);
WHEREAS, the original term of the Coop Purchase was for one year with four (4) one-
year renewals at City’s option;
WHEREAS, Coop Purchase was previously renewed for an additional one-year term with
the current renewal term ending on January 9, 2024;
WHEREAS, Parties now wish to renew the term of the Coop Purchase for continued
services; and
WHERAS, Parties also wish to amend the Coop Purchase term dates to align with the
Cooperative Contract expiration date which is set to expire on February 21, 2025.
NOW, THEREFORE, City and Vendor acting herein by the through their duly authorized
representatives, enter into the following agreement to amend and renew the Agreement:

AMENDMENT OF AGREEMENT
In accordance with the Cooperative Contract expiration, the terms of the Agreement for
Renewal No. 3 are hereby amended to be from January 10, 2024 to February 21, 2025, as reflected
below.

RENEWAL OF AGREEMENT
This third renewal term shall become effective upon expiration of the existing term on
January 10, 2024 (“Effective Date”) and expire on February 21, 2025 (“Expiration Date”), unless
terminated earlier in accordance with the Agreement.
3.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall remain
in full force and effect.
4.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of which
shall be an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have
the same effect as an original.

EXPLANATION MEMO
Attached is the third renewal to CSC 55223, the City’s contract with Carahsoft Technology
Corporation to provide Liferay development platform annual support services including software
licensing.
The contract is amended to align the expiration date with the Texas Department of Information
Services, DIR-TSO-4288, cooperative contract.
The contract has an annual not to exceed amount of $60,561.85. The term of the agreement will
commence on January 10, 2024. It will expire on February 21, 2025.
