Home My WebLink AboutContract 58408-A1City Secretary Contract No. 58408-A1 FIRST AMENDMENT OF CITY SECRETARY CONTRACT NUMBER 58408 A NON-EXCLUSIVE VENDOR SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND PREMIER TRUCK GROUP This FIRST AMENDMENT OF CITY SECRETARY CONTRACT NUMBER 58408 ("First Amendment"), is made and entered into by and between the City of Fort Worth, a home - rule municipal corporation of the State of Texas ("City"), and Penske Commercial Vehicles US, LLC dba Premier Truck Group, a Delaware limited liability company ("Vendor"). WHEREAS, the City and Vendor entered into a Non -Exclusive Vendor Services Agreement for Vendor to provide the City with service repairs, maintenance, and purchase of parts for light -duty vehicles, lawn, and marine equipment in the City's fleet, City Secretary Contract Number 58408 ("Agreement"); and WHEREAS, the City and Vendor renewed the Agreement for the First Renewal Term on October 1, 2023, City Secretary Contract No. 58408-R1; and WHEREAS, the City and Vendor desire to amend the Agreement to revise the Scope of Services of the Agreement to clarify pricing and invoicing; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the City and Vendor agree to amend the Agreement as follows: I. Exhibit A, Section 5.1 of the Agreement is amended in its entirety to be and read as follows: 5.1 Vendor shall provide unit prices for listed items. Unit prices for Daimler Truck of North America parts shall not exceed Vendor's National Fleet Pricing. Unit prices shall include all costs associated with the specified work, including, but not limited to, handling, delivery, fuel charges, fees, and certification fees — unless otherwise specified in Exhibit B. No additional charges will be accepted or paid by the City. 5.1.1 Vendor shall provide City with Vendor's National Fleet Pricing from Vendor's in-house price tape. Vendor shall provide City with a copy of its in-house price tape by USB thumb drive or other electronic means agreed to in advance and in writing by Vendor and City, for audit purposes. WORTH, TX 5.1.1.1 Vendor shall provide City with an updated USB thumb drive annually or at the time of a price increase by the manufacturer. Vendor agrees to promptly notify the City in writing of any manufacturer price increases. 5.1.1.2 Vendor shall provide City with an itemized invoice for non -Daimler Truck of North America parts upon written or verbal request. 5.1.2 The City will ensure that vehicles will have a minimum of one -quarter (1 /4) of a tank of fuel when dropped off for service. II. Exhibit A, Section 5.6 of the Agreement is amended in its entirety to be and read as follows: 5.6 Vendor shall respond and supply requested materials or services required during regular business hours within the response time or less from receipt of a request per section 6, including shipment by mutual agreement. 5.6.1 Upon City's request for expedited delivery, Vendor shall expedite delivery of requested parts or components. Vendor shall charge the City at Cost plus 10% for its freight costs associated with expedited delivery. Vendor shall supply the City with an invoice for all City requested expedited deliveries. Exhibit B of the Agreement is amended in its entirety to be and read as set forth in Attachment 1 to this First Amendment, which is attached hereto and incorporated herein by reference. IV. a. All terms and conditions of the Agreement that are not expressly amended pursuant to this First Amendment shall remain in full force and effect. b. All terms in this First Amendment that are capitalized but not defined shall have the meanings assigned to those terms in the Agreement.
