CITY OF FORT WORTH CONTRACT 51735
This Renewal is executed by and between the City of Fort Worth ("City"), a home-rule
municipal corporation with its principal place of business at 200 Texas Street, Fort Worth, Texas,
and NewsBank, Inc.(“Licensor”), a Delaware corporation with its principal place of business at
5801 Pelican Bay Boulevard, Suite 600, Naples Florida. City and Licensor are each individually
referred to herein as a “Party” and collectively as the “Parties.”
WHEREAS, the Parties have previously entered into a purchase agreement known as
Contract No. 51735 (“Contract”) on July 27, 2018 for the purchase of a perpetual license for the
news database known as the Fort Worth Star Telegram (1923-1991) – Digital Historical Archive
(“Product”);
WHEREAS, the parties entered into a license agreement that was executed by the City
on behalf of the Fort Worth Public Library (“Library”), signed by the City on September 14,
2010 (known to the City as CSC 40795) for access to certain products subscribed to by the
Library from time to time;
WHEREAS, the Contract outlined annual online access fees to the Product for the initial
four-year term;
WHEREAS, the current term for access to the Product (“Subscription”) under the
Contract will expire on December 31, 2023;
WHEREAS, the Contact allows for online access fee renewals and/or extensions so long
as the Parties mutually agree to same; and
WHEREAS, the City and Licensor now wish to renew the term of the Subscription for
continued online access to the Product pursuant to the original Contract for an additional year,
specifically from January 1, 2024, to December 31, 2024, using the attached NewsBank Renewal
Notice # RN1101961 dated 10/05/2023 for pricing. (Such Renewal Notice is a “Subscription
Form” under the Contract).
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement to renew the Subscription:
1.The term of the Subscription is hereby renewed for an additional year and will expire
December 31, 2024, unless terminated earlier in accordance with the Contract.
2.The City will process payment for NewsBank Renewal Notice # RN1101961.
3.The Subscription will continue to be governed by the terms and conditions of the Contract.
4.The terms and conditions of the original Contract remain unchanged.
