HomeMy WebLinkAboutContract 58750-A1R1City Secretary Contract Number 58750-AlR1 FIRST AMENDMENT AND FIRST RENEWAL TO CITY SECRETARY CONTRACT NUMBER 58750 A SOLE SOURCE AGREEMENT BETWEEN THE CITY OF FORT WORTH AND RUSH TRUCK CENTERS OF TEXAS, L.P. This FIRST AMENDMENT AND FIRST RENEWAL TO CITY SECRETARY CONTRACT NUMBER 58750 ("First Amendment and First Renewal") is made and entered into by and between the City of Fort Worth ("City"), a home -rule municipal corporation of the State of Texas, and Rush Truck Centers of Texas, L.P. ("Vendor"), a Texas limited partnership. WHEREAS, the City and Vendor entered into a Sole Source Agreement, for Vendor to provide the City with labor and parts to service, repair, maintain, and upgrade the City's Peterbilt equipment, City Secretary Contract Number 58750 ("Agreement"); and WHEREAS, City and Vendor desire to renew and extend the Agreement for the first renewal term; and WHEREAS, City and Vendor desire to amend the Agreement to reflect changes to the Vendor's labor rates and service fees; NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the City and Vendor, acting herein by and through their duly authorized representatives agree to amend and renew the Agreement as follows: I. The Agreement is renewed and extended for the First Renewal Term beginning on December 1, 2023 and expiring on November 30, 2024. II. Exhibit B of the Agreement is amended in its entirety to be and read as set forth in Attachment 1 of this First Amendment and First Renewal which is attached hereto and incorporated herein by reference. 1. All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 2. All terms in this First Amendment and First Renewal that are capitalized but not defined shall have the meanings ascribed to those terms in the Agreement.
