RENEWAL OF CITY SECRET ARY CONTRACT NUMBER 39749
BETWEEN THE CITY OF FORT WORTH AND STANDARD PARKING
CORPORATION FOR MANAGEMENT AND OPERATION OF THE WILL ROGERS
MEMORIAL CENTER PARKING FACILITIES
This RENEWAL OF CITY SECRETARY CONTRACT NUMBER 39749, as amended,
("Renewal") is made between the City of Fort Worth ("City"), a home~rnle municipal
corporation of the State of Texas, acting herein by and through Fernando Costa, its duly
authorized Assistant City Manager, and SP Plus Corporation, f/k/a Standard Parking
Corporation, a Delaware corporation ("Operator"), acting by and through Christopher B. Conley,
its duly authorized Senior Vice President.
WHEREAS, City and Operator entered into an Agreement cu1Tently on file in the Office
of the City Secretary of the City and identified as City Secretary Contract Number 39749, as
amended, ("Agreement"), for a period beginning February 1, 2010, and ending January 31,
2013, with subsequent optional renewals of three, one~year periods; and
WHEREAS, City and Operator acknowledge that the Agreement was renewed by mutual
agreement for a period :from Febrnary 1, 2013, through January 31, 2014, upon the City sending
the letter attached to this Renewal as Exhibit A, which is incorporated herein for all purposes;
WHEREAS, City and Operator further acknowledge that the Agreement was renewed by
mutual agreement for a second renewal term from February 1, 2014, through January 31, 2015,
upon the City sending the letter attached to this Renewal as ·Exhibit B, which is incorporated
herein for all purposes; and
WHEREAS, City and Operator desire to execute a third renewal of the Agreement for a
period from February 1, 2015, through January 31, 2016.
NOW THEREFORE, City and Operator do covenant and agree as follows:

The City and Operator hereby agree that City Secretary Contract Number 39749, as amended,
was renewed by mutual agreement for a period from February 1, 2013, through January 31,
2014, upon the City sending the letter attached to this Renewal' as Exhibit A. The City and
Operator further acknowledge that City Secretary Contract Number 39749, as amended, was
renewed by mutual agreement for a second renewal term from February 1, 2014, through January
31, 2015, upon the City sending the letter attached to this Renewal as Exhibit B. Finally, City
and Operator hereby agree that City Secretary Contract Number 39749, as amended, is hereby
renewed for the remaining one-year renewal period, effective on Febrnary 1, 2015, and ending
on January 31, 2016 ("Renewal Te1m 11

All other terms, provisions, conditions, covenants and recitals of said City Secretary Contract
No. 39749, as amended, not expressly amended herein shall remain in full force and effect. In
the event of any conflicts between terms included in City Secretary Contract No. 39749, as
amended, this Renewal, and any other document, the terms of this Renewal shall control first,
followed by the terms in City Secretary Contract No. 39749, as amended.
IN WITNESS WHEREOF, the parties hereto have executed this Renewal of City Secretary
Contract Number 39749, as amended, this /:;1.N ay ot:N0~2014.
