CONTRACT NO. 39980 WHEREAS, on February 2, 2010, the City of Fort Worth ("City") and C&S Utility Contractors, Inc. ("Contractor"), collectively the ("Parties"), made and entered into City Secretary Contract No. 39980 (the "Contract") for Task Order Street Light Construction Services at Various Locations Citywide ("Project"); and WHEREAS, the Contract is in its final renewal period; and WHEREAS, it has become apparent that the monetary cap placed on this contract, currently in its last renewal, will be met several months before the expiration of the actual contract's life but there remain many high priority street lighting projects to complete; and WHEREAS, amending the agreement to remove the monetary cap and allow the contract to run its time-life, to February 1, 2013, will allow for installation of critical street lighting projects; and WHEREAS, in order to protect the public's funds , the contractor will be bound to the unit prices as found in the bid tabulation section of the original agreement. NOW, THEREFORE, the Parties, hereby agree as follows: 1 a. Contract No. 39980, at Article 8 of the Agreement, is hereby amended to remove the reference to $600,000.00. b. The Unit Prices originally bid by Contractor, and upon which basis the Contract was awarded and subsequently renewed, shall remain in effect for the duration of the Contract. c. Task orders will continue to be issued and remain contingent upon the availability of funds and the availability of the contractor. d. The completion date of the Contract shall be no later than February 1, 2013. II. All other terms and conditions of the Contract not amended herein remain unaffected and in full force and effect, are binding on the Parties and are hereby ratified by the Parties. DISCUSSION: Transportation and Public Works Department (T/PW) manages the installation and removal of street lights throughout the City. On February 2, 2010, T/PW awarded a contract to C&S Utility Contractors Inc. (C&S) in order to manage these requests. Along with C&S, the City has contracts with various street light installation vendors . These contracts have been structured to have an annual monetary cap in place, in this case, $600 ,000.00 , in order to better monitor costs and implementation . These contracts are also renewable for up to two years. It has become apparent that the monetary cap placed on this contract, currently in its last renewal, will be met several months before the expiration of the actual contract's life but there remain many high priority street lighting projects to complete. Amending the agreement to remove the monetary cap and allow the contract to run its time-life, to February 1 , 2013 , will allow for installation of these critical street lighting projects. CS No . 39980 (M&C C-24068). Task orders will continue to be requested and are contingent upon the availability of funds and the availability of the contractor. M/WBE -C&S Utility Contractors Inc ., is in compliance with the City's M/WBE Ordinance by committing to five percent. The goal for this project is five percent. RENEWAL OPTIONS -This Agreement is in its final one-year renewal period and will be re-bid at a time prior to expiration of same. This action will benefit ALL COUNCIL DISTRICTS.
