FIRST AMENDMENT AND RENEWAL OF FORT WORTH CITY SECRETARY
CONTRACT NO. 58390
VENDOR SERVICES AGREEMENT
This First Amendment and Renewal of Fort Worth City Secretary Contract No. 58390 —
Vendor Services Agreement ("Renewal") is made and entered into between the City of Fort
Worth, a home -rule municipal corporation of the State of Texas ("the "City"), acting by and
through its duly authorized Assistant City Manager, and Mercury Acquisition 2021, LLC DBA
Tele-Town Hall ("Vendor"), a Delaware limited liability company, acting by and through its duly
authorized representative. City and Vendor may each be individually referred to as a "party" and
collectively referred to as "parties."
WITNESSETH:
WHEREAS, the parties entered into an agreement for assistance with remote speakers
during City Council Meetings ("Services"), the same being Fort Worth City Secretary Contract
No. 58390 ("Agreement"); and
WHEREAS, the Agreement provided for an initial term of twenty months with one one-
year renewal option; and
WHEREAS, effective January 24, 2023, the parties began operating under a revised per -
meeting rate for the services; and
WHEREAS, the original term of the Agreement expires on December 11, 2023; and
WHEREAS, the parties wish to amend the Agreement to reflect the revised per -meeting
cost and its effective date and to renew and extend the Agreement for an additional one-year
period.
NOW, THEREFORE, in consideration of the foregoing and the mutual covenants and
agreements contained herein, City and Vendor hereby agree as follows:
Fort Worth City Secretary Contract 58390 is hereby amended to revise Exhibit B "Pricing"
so that the per meeting cost is changed from $475 to $522.50 effective January 24, 2023.
2. City and Vendor mutually agree to renew and extend the Agreement, as amended, for a
one-year renewal period, with such renewal term to begin December 12, 2023 and continue
thereafter in full force and effect through December 11, 2024, unless sooner terminated as
provided in the Agreement.

3. All terms and conditions of the Agreement shall remain in full force and effect throughout
the second renewal term unless otherwise amended herein.
4. This Renewal may be executed in multiple counterparts, each of which shall be deemed an
original and all of which together shall constitute one instrument. Electronically
reproduced signatures transmitted by facsimile or electronic mail shall be treated as
originals for all purposes hereof
IN WITNESS WHEREOF, the parties hereto have executed this instrument for a renewal term to
be effective December 12, 2023.
