SECOND AMENDMENT AND SECOND RENEWAL TO
CITY OF FORT WORTH CONTRACT NO. 56995
This Second Amendment and Second Renewal to Fort Worth City Secretary Contract
No. 56995 is made between the City of Fort Worth ("City"), a municipal corporation, and
AutoClear, LLC ("Vendor"); City and Vendor may be referred to individually as a Party and
collectively as the Parties.
WHEREAS, on January 13, 2022, the Parties entered into City Secretary Contract 56995
to provide an annual maintenance agreement for x-ray/body scanners ("Agreement");
WHEREAS, on January 06, 2023, the Parties amended the Agreement to update
equipment and revise pricing, and renewed the Agreement for one year expiring January 12, 2024;
WHEREAS, the Parties wish to amend the Agreement to revise pricing;
WHEREAS, the Parties wish to renew the Agreement for the second renewal term; and
WHEREAS, the Parties wish to amend the Agreement to increase the compensation
amount.
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement:
I.
AMENDMENT TO AGREEMENT
The following terms are hereby amended to either replace any conflicting terms in the
Agreement or shall be added to the terms and shall be binding and enforceable as if they were
originally included therein:
1. Exhibit A of the Agreement is deleted and replaced with the Exhibit A attached to this
amendment.
2. Exhibit B of the Agreement is deleted and replaced with the Exhibit B attached to this
amendment.
3. Section 3.1 of the Agreement is amended to total compensation under this Agreement
will not exceed fifty thousand dollars and 00 cents ($50,000.00) annually.
II.
RENEWAL OF AGREEMENT
1. The Agreement, as amended herein, is hereby renewed and extended for a renewal
term commencing on January 13, 2024, and ending on January 12, 2025.

III.
ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
IV.
ELECTRONIC SIGNATURE
This Amendment and Renewal may be executed in multiple counterparts, each of
which shall be an original and all of which shall constitute one and the same instrument.
A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be
treated as and shall have the same effect as anoriginal.
