AMENDMENT NO. 1
TO CITY SECRETARY CONTRACT NO. 57550
This Amendment is entered into by and between the City of Fort Worth (hereafter
"City"), and WW North America Holdings, LLC ("Vendor"). City and Vendor may be
referred to individually as a Party and collectively as the Parties.
WHEREAS, on June 1, 2022, the Parties entered into City Secretary Contract 57550
("Agreement");
WHEREAS, the Parties wish to amend the Agreement to extend the term for an
additional 2 years, to end on June 1, 2026; and
WHEREAS, the Parties also wish to amend the Agreement to amend references to
product offerings with new product names and to update Schedule A accordingly.
NOW, THEREFORE, the Parties, acting herein by and through their duly authorized
representatives, enter into the following agreement:

AMENDMENTS
1. Section 8 of the Agreement, found on page 2 of the WWNA Health Solutions Agreement,
shall be deleted in its entirety and amended to read as follows:
This Agreement shall begin as of the Effective Date and will remain in effect until June 1,
2026. Either party may cancel this Agreement with one hundred and twenty (120) days written
notice. This Agreement may be renewed on a year-to-year basis or otherwise extended only by the
written agreement of the parties.
2. All references in the Agreement to the product offerings below will be replaced with the
new respective product name:

3. Schedule "A," of the Agreement, which details the offerings, shall be deleted in its entirety
and replaced with the amended Schedule "A," attached hereto.

ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.

ELECTRONIC SIGNATURE
This Amendment may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as anoriginal.
