FORT WORTH CITY SECRETARY CONTRACT NO. 57636 This Second Amendment to and Second Renewal the NON-EXCLUSIVE HVAC VENDOR SERVICES AGREEMENT ("Second Amendment and Second Renewal"), Fort Worth City Secretary Contract No. 57636, between the CITY OF FORT WORTH ("City"), a Texas home rule municipal corporation and JOHNSON CONTROLS, INC. ("Vendor"), a Texas corporation, each individually referred to as a "party" and collectively referred to as the "parties." WHEREAS City and Vendor entered into a non-exclusive agreement for heating ventilation and air conditioner repair, maintenance, and inspection services on an as -needed basis, said agreement being identified as Fort Worth City Secretary Contract No. 57636 and having an effective date of May 11, 2022 (the "Agreement"); and WHEREAS on November 1, 2022, City and Vendor amended the Agreement for the first time to increase the total amount of compensation under the Agreement to Four Million, Eight Hundred Fifty -Nine Thousand, Two Hundred Twenty -Two Dollars and 501100 ($4,859,222.50) (Fort Worth City Secretary Contract No. 57636-A1); and WHEREAS the Agreement has been renewed through May 10, 2024 (Fort Worth City Secretary Contract No. 57636-R1); and WHEREAS City and Vendor now wish to amend the Agreement for the second time to increase certain line item prices and to renew the Agreement through May 10, 2025. NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms: 1. Amendment of Pavment Schedule. The services and prices included in Exhibit A of this Second Amendment and Second Renewal, attached hereto and incorporated herein, are incorporated into Agreement's Exhibit B — Pavment Schedule as if they had been originally set forth in the Agreement. 2. Renewal. The City hereby exercises its second of four options to renew the Agreement for an additional one (1) year term which will expire on May 10, 2025, unless terminated earlier in accordance with the Agreement. 3. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. Total payment made under the Agreement shall not exceed Four Million, Eight Hundred Fifty -Nine Thousand, Two Hundred Twenty -Two Dollars and 501100 ($4,859,222.50).
