SIXTH AMENDMENT TO VENDOR SERVICES AGREEMENT
FORT WORTH CITY SECRETARY CONTRACT NO. 54363
This Sixth Amendment to VENDOR SERVICES AGREEMENT, Fort Worth City
Secretary Contract No. 54363, (the “Sixth Amendment”) is made between the CITY OF FORT
WORTH (“City”), a Texas home-rule municipal corporation and AMERICAN FACILITY
SERVICES, INC. (“Vendor”), a Texas Corporation, acting by and through its duly authorized
representative.
WHEREAS on September 2, 2020 City and Vendor entered into that certain Vendor
Services Agreement, Fort Worth City Secretary Contract No. 54363, (the “Agreement”) for the
provision of janitorial and cleaning services for City facilities on an as-needed basis with a total
not-to-exceed amount of up to $5,000,000.00 per year; and
WHEREAS on June 8, 2021 the Agreement was amended to include additional services
for the cleaning and servicing of the fitness center at the City’s property located at 100 Energy
Way, Fort Worth, Texas 76102 (Fort Worth City Secretary Contract No. 54363-A1); and
WHEREAS on July 27, 2021, the Agreement was amended for the second time to allow
for a four percent (4%) increase to the hourly rate (Fort Worth City Secretary Contract No. 54363-
A2); and
WHEREAS on August 30, 2021 the Agreement was amended for the third time to include
electrostatic spraying disinfecting services (Fort Worth City Secretary Contract No. 54363-A3);
and
WHEREAS on September 29, 2022 the Agreement was amended for the fourth time to
allow for an increase to the hourly rate (Fort Worth City Secretary Contract No. 54363-A4); and
WHEREAS on January 1, 2024, the Agreement was amended for the fifth time to include
additional services for the cleaning and servicing of the City’s property located at 5300 Sun Valley
Drive, Fort Worth, Texas 76119 (Fort Worth City Secretary Contract No. 54363-A5); and
WHEREAS the term of the Agreement has been renewed through August 27, 2024 (City
Secretary Contract No. 54363-R3);
WHEREAS, City and Vendor now wish to amend the Agreement to include additional
services for the cleaning and servicing of the City’s property located at 3501 W Risinger Road,
Fort Worth, Texas 76123.
NOW THEREFORE, known by all these present, City and Vendor, acting herein by and
through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:

1. The services and quote included in Exhibit “A" of this Sixth Amendment, attached
hereto and incorporated herein, are incorporated into Agreement’s Scope of Services and Price
Schedule as if they had been originally set forth in the Agreement.
2. All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
