FIRST AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 58775
A PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH
AND CODE STUDIO, INC.
This FIRST AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 58775 ("First
Amendment") is made and entered into by and between the City of Fort Worth ("City"), a home-rule
municipal corporation of the State of Texas, and Code Studio, Inc. ("Consultant"), a Texas corporation.
WHEREAS, the City and Consultant previously entered into a Professional Services Agreement
for Preparing an Infill Development Subdivision Ordinance Amendment, City Secretary Contract Number
58775 ("Agreement"); and
WHEREAS, the Term of the Agreement was for a period of one year; and
WHEREAS, City and Consultant desire to amend the Agreement in order to extend the Term in
order to allow for additional time for Consultant to complete the Services; and
WHEREAS, City shall not pay Consultant any additional compensation in connection with the
extension of the Term;
NOW THEREFORE, in consideration of the mutual promises and covenants contained herein,
and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the City
and Consultant, acting herein by and through their duly authorized representatives agree to amend and
extend the Agreement as follows:
I.
Section 2 of the Agreement is amended in its entirety to be and read as follows:
This Agreement shall commence on January 27, 2023 ("Effective Date") and shall expire on July
26, 2024 ("Expiration Date"), unless terminated earlier in accordance with the provision of this Agreement
or otherwise extended by the parties ("Term").
II.
a.City and Consultant agree that execution of this First Amendment shall not affect the
maximum amount of compensation City shall pay Consultant during the Term of the Agreement.
b.All other provisions of the Agreement which are not expressly amended herein shall remain
in full force and effect.
c.All terms in this First Amendment that are capitalized but not defined shall have the
meanings ascribed to those terms in the Agreement.
