FORT WORTH CITY SECRETARY CONTRACT NO. 56148 This Second Amendment to and Third Renewal the NON-EXCLUSIVE WINDOW WASHING SERVICES AGREEMENT ("Second Amendment and Third Renewal") is made by and between the CITY OF FORT WORTH ("City"), a Texas home rule municipal corporation and D&A BUILDING SERVICES, INC. ("Vendor"), a Texas corporation, each individually referred to as a "party" and collectively referred to as the "parties." WHEREAS City and Vendor entered into a non-exclusive agreement for window washing services on an as -needed basis, said agreement being identified as Fort Worth City Secretary Contract No. 56148 and having an effective date of August 4, 2021 (the "Agreement"); and WHEREAS on June 7th, 2023, City and Vendor amended the Agreement for the first time to include additional window washing services (Fort Worth City Secretary Contract No. 56148- A 1); and WHEREAS the Agreement has been renewed through August 3rd, 2024 (Fort Worth City Secretary Contract No. 56148-R3); and WHEREAS City and Vendor now wish to amend the Agreement for the second time to increase certain line item prices and to renew the Agreement through August 3rd, 2025. NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms: 1. Amendment of Pavment Schedule. The services and prices included in Exhibit A of this Second Amendment and Third Renewal, attached hereto and incorporated herein, are incorporated into Agreement's Exhibit B — Price Schedule as if they had been originally set forth in the Agreement. 2. Renewal. The City hereby exercises its third of four options to renew the Agreement for an additional one (1) year term which will expire on August 3rd, 2025, unless terminated earlier in accordance with the Agreement. 3. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. Total payment made under the Agreement shall not exceed One Hundred Eighteen Thousand and Seventy -Three Dollars and 00/100 ($118,073.00).
