HomeMy WebLinkAboutContract 35728-A1 CITY SECRETARY CONTRACT NO. 3, -AI Amendment to Software Support Agreement For Municipal Court Integrated Case Management System City Secretary Contract No. 35728 This Amendment ("Amendment") is entered into by and between the City of Fort Worth ("City"), a home-rule municipal of the State of Texas, and CourtView Justice Solutions Inc. ("Company"), a Delaware corporation with principal offices located at 5399 Lauby Road, Suite 200, North Canton, Ohio, as successor in interest to MAXIMUS, Inc. This Amendment amends the Application Software Support Agreement for Municipal Court Integrated Case Management System City Secretary Contract No. 35728 ("Agreement"). The City has acquired additional software from Company; accordingly the parties agree to amend the Agreement as follows: 1. Effective October 1, 2008, the Company purchased and assumed certain assets and responsibilities of MAXIMUS, Inc., which assets and responsibilities included the Agreement and the underlying intellectual property. The Company agrees to be bound by all terms and conditions of the Agreement. The parties agree that "CourtView Justice Solutions Inc." shall be substituted for "MAXIMUS" throughout the entirety of the Agreement effective October 1, 2008. 2. The first paragraph of Section 3 of the Agreement, "Compensation," and the listed quarterly payment immediately following that Section 3 are deleted in their entirety and replaced with the following: In consideration of the performance of support services as set forth in this Agreement, City shall pay Company the annual fee set forth on Schedule A, which annual fee shall be paid in quarterly installments as set forth on Schedule A. Payments from City shall be due forty-five (45)days after the invoice. In the event of a disputed or contested billing, only the portion so contested will be withheld from payment, and the undisputed portion will be paid. City will exercise reasonableness in contesting any bill or portion thereof. No interest will accrue on any contested portion of the billing until the contest has been mutually resolved. City shall make payment in full to Contractor for contested billings within 60 days of the date the contested matter is resolved. The remaining paragraphs of Section 3 of the Agreement, "Compensation," shall continue in full force and effect throughout the term of the Agreement. 3. Schedule A of the Agreement is deleted in its entirety and replaced with the Schedule A attached to this Amendment and fully incorporated herein by reference. 4. All other terms and provisions of the Agreement that are not specifically amended by this Amendment are and shall remain in full force and effect throughout the term of the Agreement. The Effective Date shall be the earlier of the following: (1) the date that installation and testing of the collections interface are complete or(2) three months after the date that this Quotation is approved and signed by the City. Both the City and CJS agree to sign the addendum at the end of this quotation to document the Effective Date. Beginning on the one-year anniversary of the Effective Date, Support/Maintenance shall be invoiced and paid in accordance with the terms of the"Software Support Agreement For Municipal Court Integrated Case Management System"as amended. As part of the delinquent citations collections initiativeby_the Municipal Court Services Department, (Department)an additional module for CourtView is now required in order to refer delinquent cases to the collections vendor in the most efficient manner possible. This additional module will require an amendment to the existing Support and Maintenance Agreement as it was not purchased under the original contract.
