("Alliance") entered into the above-referenced Agreement for construction of a wireless telephone manufacturing facility (the "Required Improvements") that would be operated and maintained by Cinram on property located at 53 Westport Parkway (the "Land"'). Cinram leased the Land from Alliance. In return, fo'r Alliance's and Cinram's meeting various obligations if I I spec ically set forth in the Agreement, the City agreed to grant Alliance a 10-year tax abatement on the Land and any improvements thereon, including the Required Improvements. Alliance subsequently assigned its interests in both the lease with Cinram and this Agreement to AT Industrial,Owner 7 LLC. Section 1.3 of the Agreement requires that throughout the term of the Agreement, the Land and the Required Improvements, must be operated and maintained by Cinram. as a wireless telephone manufacturing facility 'in accordance with that certain Tax Abatement Agreement between the City and Cin-ram. dated December 28, 2007 (City Secretary Contract No. 36456;, as amended by City Secretary Contact No. 37031 . The City has been advised that Cinram has vacated the Land and 'the Required Improvements, w1iich constitutes an Event of Default under the Agreement. Accordingly, pursuant to Section 4.2 of the Agreement, the City is hereby exercising its right to terminate this Agreement immediately.
