For the purposes of this agreement. Co-digestion Feed Stock shall mean b.I* -w degradable, non-toxic organic waste amenable to anaerobic digestion as determined y the CITY 2. Hauler may only deliver - to the VCNAW Co-generafilon facHity materials as approved and shown can the Generator Waste Prole Sheet attached, as Exhibit A tc this agreement. Hauler shall obtain the signature of the generator on the Generator Waste Profile sheet prior to the any disposal at the V C W F w 3. A Hauler may not discharge any material which may, for any reason contain hazardous waste as dine by the Resource Conservation and Recovery Act, 42 USC Section 690 etw seq, nor any hazardous substances as defined ne in the Comprehensive Enviromnental Response, Compensationand Liability Act, 42 USC Section 960 et. seq., nor any, material that contains any amount of material of a own origin whit may itself, or in co,m w t o with ether components ca e a detrimental. CITY may, at its sole discretion and without prior notice, ref-use to accept at its facility and reject for processing any materials, it deems may contain hazardous waste, or be incompatible for processing at the VCWR-F. Acceptance of any materials by the CITY shall in no way limit the flauler's liability for damages or violations of any applicable laws. If waste accepted at the facility is tested and is proved is 'incompatible with the process, the Hauler shall remove the waste from VCWRF at the Hauler's expense. If the City deems it necessary to remove the waste,, the CITY may remove the Waste at the Hauler"s expense. 5. For the purposes of deterrru-m"ng the chemical, physical or biolo 91 ical characteristics of any material presented at its facility for discharging,, CITY reserves the night, at its own expense,, to sample and analyze material prior to permitting its discharge or F n I I I any time thereafter. CITY has the night to change the classification and any associated fees for waste delivered based upon the results of laboratory analyses performed on the waste sample. 6. Rates shall be set by the City Council and may be amended from time to time. 8. Hauler will receive a bill from the CITY on a monthly basis. All bills must be plaid within thirty (30) days from the date of the invoice. If the bill is not paid within, (30) days from the date the bill is due, the agreement will be suspended until the payment is completed or make payment arrangements with C I T Y TIML .Q.F. DIS!LHAR 9. The CITY shall accept Co-digestion Feed Stock at the VC)AW -for disposal Monday through Saturday in accordance with the schedule as coordinated through the Facility Superintendent, except as referred to in paragraph 18 or in an emergency situation as deli ned by C I T Y- 10. It is the responsibility of-the Hauler to discharge the Co-digestion Feed Stock into the receiving area set up to receive Co-digestion Feed Stock at the CITY facility. MEIMD QE DIS!LHARUL 11'. Pn"or to discharging any Co-digestion Feed Stock, the Mauler must check in and sign a delivery ticket (the "Ticket"). The Ticket will state the: (a) date (b) timel (c) name of Hauler; (d) origin and type of Waste being offered for disposal. (e) volume e of the truck, (f) volume of Waste being offered for disposal (g) name of the CITY repress tat.ve accepting the ti cl et (h) signature of driver delivering the waste. 12. The CITE"" will supervise the discharge of Co digestion Feed Stock at the VCWRF and instruct the Mauler as to the rate of flow at which to discharge the Co-digestion Feed Stock. No Co digestion Feed Stock may be discharged into, the scptage receiving area. Prior,to each truckload of w aste being discharge, it is the responsibility of the Mauler to notify CITY personnel o f its intent to discharge Co-digestion Feed Stock. Hauler will not discharge any Co-digestion Decd St ock until notified by CITY personnel to begin discharging. 1 . Pn"or to any delivery, the Mauler must attend a plant orientation class and be familiar with and comply with all CITY rules for the VCWR ". Hauler shall adhere to all posted speed li rn.%ts and safety rules, at all times. I 16. Hauler er shall comply with all munl*cipal, State or Federal environmental laws for the hauling and discharging of any and all waste. 17. A. For purposes of this agreement, the following words and phrases shall he defined as fellows I. Damages for personal Injury and death, or injury to property or natural resources; b. Fees incurred for the services of attorneys, consultants, contractors, experts, laboratories, and all other costs 'in connection with the investigation or remediation of such wastes or violation oi environmental requirements including, but not limited to�, the preparation of any feasibility studies or reports of the performance of any cleanup, remediation, removal, response., abatement, containment., closure, restoration or monitoring work required by any federal., state or local governmental agency or political subdivision, or otherwise expended in connection with the existence of such wastes or violations of environmental requirements, and including without limitation any attorney's fees, costs and expenses incurred in enforcing this contract or collecting any sums due hereunder; and C. Liability to any third person or governmental agency to indemnify such person or agency for costs expended in connection with the items referenced in paragraph 2of this part. 2. Environmental requirements shall mean all applicable present and future statutes, regulations, rules,, ordinances, codes,,, licenses, permits, orders, approvals,,,, plans, authorizations, concessions, franchises, and similar, items, of' all governmental agencies, departments, commissions, boards'. bureaus, or states,, and political subdivisions, thereof instrumentalities of the United States., and all applicable udicial, administrative, and regulatory decrees, judgments, j I I and orders, relating to the protection of human health or the environment., including without limitation: a. All requi*rements, including, but not limited to, those lie rtaim*ng, to reporting, licensing, permitting, Investigation, and remedl"ration of discharges, releases. emissions, or threatened releases of hazardous materials, pollutants, contaminants or hazardous or toxic substances, materials, or wastes whether solid, liquid, or gaseous in nature, into the air, surface water, groundwater, stormwater, or land, or relating to the manufacture, process-Ing, distribution, use, treatment, storage, disposal, transport, or handling of pollutants, contaminants, or hazardous or toxic 4 substances', maten*als, or wastes, whether solid,, liquid, or gaseous in nature, and b�. All requirements ertai,ning to the protection of the health and, safety, of employees or the public. B. GENERAL INDEMNIFICATION. HAULER DOES HEREBY RELEASE, INDEMNIFY, REIMBURSE, DEFEND, AND HOLD, HARMLESS, THE CITY, ITS OFFICERS, AGENTS, EMPLOYEES AND VOLE TEERS, FROM AND AGAINST ANY AND ALL LIABILITY, CLAIMS, SUITS , DEMANDS,, OR CAUSES OF ACTIONS, WHICH MAY ARISE DUE TO ANY LOSS OR DAMAGE TO PERSONAL PROPERTY, OR PERSONAL INJURY, AND/OR DEATH OCCURRING AS, A CONSEQUENCE OF THE PERFORMANCE OF THISAGREEMENT, WHEN SUCH INJURIES, DEATH., OR, DAMAGES ARE CAUSED BY THE NEGLIGENCE OFHAULER, ITS OFFICERS', AGENTS, OR EMPLOYEES, OR THE JOINT NEGLIGENCE OFHAULER, ITS OFFICERS, AGENTS, OR EMPLOYEES, AND ANY OTHER PERSON OR ENTITV. All indemnifilcablon provisions in the Agreement shall survive termination., INURANLE RLQUEEMENIS 21. The Hauler shall at its own cost and expense maintain, and shall cause its subcontractors to maintain insurance in the minimum amounts as set Earth below. The Hauler shall name the City as an additional insured 'n its policies for the insurance coverage regUired herein and a certificate of insurance evidencing The required *i ance coverage shall he filed by the Hauler With the CITY. The CITY shall he given 30 days written notice prior to ter -nation or reduction of such insurance. The Hauler shall keeps in force the following types of insurance in a company or comperes acceptable to the CITY. A) Comprehensive lanes Liability Insurance Minimum Policy Limits of ,000,000.00 per occurrence/ $2,000,000.00. Aggregate and must include Completed Operations Liability. Policy must be endorsed to slow CITY as additional Named Insured. B) Worker's Compensation and Employee's Liability Insurance covering all employees engaged directly and indirectly in the,disposes of Waste at the CITY facility. The Hauler warrants that acquired and shall maintain, all required State and Federal licenses and permits to haul waste. "rhe Hauler shall be solely responsible at its own cost and expense for requirements mandated by the Texas Commission on Environmental Quality (TCEQ) and the 'United States Environmental Protection Agency (USEPA), or pursuant to any other local, municipal, State or Federal environmental law. Copies of any waste analysis reports or any other documentation sent to or fro the TCEQ and USEPA shall be filed with the CITY. ENTIRE AIJILEMEN1 I " 25. This Agreement represents the entire agreement oetween the parties and supersedes and nullifies any prior agreement.
