We will use trained employees directly employed. and supervised by us. They will be qualified to keep your Elevator Equipment properly adjusted, and they will use all reasonable care to maintain each elevator in proper operating condition. Performance: Maintenance The maintenance will include examination, adjustment, lubrication as required, and, if conditions warrant, repair or replacement including the following parts: the machine and controller. mr—ts. Machine, worms, gears, thrust bearings, drive sheaves, drive sheave shad beafings, brake pulleys, brake magnet coils or brake motors, brake shoes,, contacts, linings and component parts., Motor,1 motor windings, rotating elements, communicator, brushes,, brush holders, and bearings. o Controller parts, selectors, and dispatching equipment, relays, solid-state components, transducers, resistors, condensers, power lifers, transformers,,,, contacts,, leads, dash pots, timing devices, computer and microcomputer devices, steel selector tapes, mechanical and electrical driving, equip ent, signal lamps, and position indicating equipment. A&F ALSO AGREES, To keep the guide rails properly lubricated at all times, except where roller guides are used, and when necessary replace guide shoe Jibs, or guide rollers when used, to insure smooth and qut*et,operation. To equalize periodically the tension on.all hoisting ropes. To lubricate all wire ropes as olften as necessary to maintain safety, and repair and/or replace conductor cables. ol 'To furnish required lubricants To make any adjustments, repairs, and replacements, which it may be advisable to make before the next regular examination. le To make a governor test, at our discretion and expense, on each elevator covered under this proposal. We assume no responsibility for the operation of the governor or safety, under the terms of this proposal, until this test has been made. Should the governor or safety not meet safety requirements, it shall be the responsibility of'the owner to make, or cause to be aide, the necessary repairs and/or to replace said 'Inadequate equipment 'identified frolm this test. le To examine, lubricate, adjust, and 'if conditions warrant, repair or replace all accessory equipment, With exceptions as stated hereinafter. The following 'items of elevator equipment are not included In this agreement.f, refinishing, repair ng or replacement of car enclosure, car doors, hoist cable, hoist way enclosure, hoi*st way dolor panels, frames and sills, car flooring and floor, covering,, light fixtures and lamps, main line power switches, breakers, and feeders,to controller and safety tests., Reliability'. Parts Inventory We will during, the to of the Contract maintain, either in the elevator machine room or as part of our examiner's mobile inventory, a supply of frequently used replacement parts and lubricants selected by A to meet the specific routine requirements of the Units. Any parts replaced -under this Contract will be with new parts manufactured or selected by A or parts refurbished to A&Fs, standards. Replacement parts stored in the machine room remain our property until installed in the Units,. We will furnish replacements parts in exchange for the parts, replaced., We further agree to maintain, a supply of routine replacement parts in our local parts warehouse inventory and/or the A Service Center, for express delivery. Major Component Inventory We will maintain a supply of major components, available for emergency replacement in our warehouse *Inventory. This inventory *Includes, as available, generator rotating elements, motor rotating elements, brake magnets, solid-state components, selector tapes, and door operator motors. Major components will be available within 24 hours. Quality Control We will periodically conduct field audits of our personnel and the Units to maintain quality 41,111 A standards. A&F field engineers will provide technical assistance,, technical information,, anu Code consultation to support our maintenance organization. Work Schedule Normal Hours, All maintenance procedures and repairs will be performed during our regular working days for the examiners who perform service. For purpose of this Contract, a Callback is a, response by A to a request for service or ta. I ing assistance made (a) by the customer or customer representative, (b) by the buildi representative-, (c) by emergency personnel; (d) through the monitoring system, for service or I assistance, on an as needed basis, excluding regularly scheduled m *al ntenance. Regular workl*lftg hours: 8am.to 5 X a Regular working days: m,onday-Ffiday Overtime Callbacks outside of regular working hours will be billed at the rate of$225.00 per hour. Note,*Monthly Maintenance u* performed Monday through Fridayfrom 8**00 A.M. To 5:00 P,MO Pro-Rated Parts The 'Items listed on the schedule attached hereto show considerable wear and will have to be replaced 'in the near future. To provide you with the maximum of service from these 'items, we are accepting them in their present coinctitioin with the understanding that you agree to pay, in addition to the base amount of'this proposal, an extra charge at the time the items listed are first replaced. The charge for this replacement will be determined, by pro-rating the total cost of replacing the individual 'terns. You agree to pay for that portion, of the life ot the 'items used prior to the date of this contract or the date A&F first started maintenance whichever is earlier,, and we agree to pay for that portion used since the date of this contract or the date maintenance services started whichever' 'Is earlier. The Purchaser agrees to report mediately any conditions that may 'indicate the need for correction before the next regular examination. Purchaser agrees to accept A&F's judgment as 11 1 to the means,and methods to be employed far any corrective worK under consideration. Commencement and Contract Cost This maintenance service will be furnished from-"3/1/14-, at the price herein named, and will continue, until terminated as provided herein., Either party may terminate this agreement 1 14i either at the end of tne first rs,t year, or at the end of any subsequent year by giving the other party sixty (601) days prior written notice. The price service as herein stated should be Six Hundred Dollars and 00/100 ($600.00) pier month per bank, payable monthly in advance, upon presentation of'invoice. The contract price shall be adjusted annually as of the anniversary date the service commences, based on the percentage of increase or decrease in the straight-time hourly labor cost for elevator examiners 'in the locality where the equipment 'is to be examined. For purposes of this agreement, straight time hourly labor cost shall mean the straight time hourly rate paid to elevator examiners plus fringe benefits and union welfare granted 'in lieu of, or in addition to hourly rate increases. Fringe benents include, but are not limited to pensions, vacations, paid holidays, group life *insurance, sickness and accident insurance and hospitalization insurance. The straight time hourly labor cost applicable to this contract is $-NIA of which $-NIA constitutes fringe benefits. Subject to the terms and conditions herein which are hereby agreed to, acceptance of this agreement by Purchaser, and its approval by an executive officer of A Elevator Company, will constitute exclusively and entirely the agreement for the service herein described. All prior representations or agreements,, whether Witten or verbal, not incorporated herein are superseded, 0 and no changes in or additions to this agreement will be recograzed unless, made 'in writing and signed by both parties,. 41 TERMS AND CONDITIONS, The adjustments, repairs, or replacements to be made will be such as are disclosed to be reasonably necessary by the examination. A&F shall not be required to make repairs or renewals necessitated by negligence or misuse q the machinery, equipment or car or due to any other cause beyond A&Fs control except ordinary wear'. A&F shall not be required to make safety tests or to install new, attachments or devices on the equipment unless as directed or recommended by insurance companies or by government, state, municipal or other authorities. It is understood, in consideration of*A&F performance of the services enumerated herein at the price stated, that nothing in thi's agreement shall be construed to mean that A&F Elevator Company assumes any liability on account of accidents to persons or properly except those directly due to negligent acts of Elevator Company and A&F,Elevator Company shall not be held responsible or liable for any loss, damage, detention, or delay caused by accidents, labor troubles, strikes, lockouts, fire, flood, acts of civil or military authorities, or by insurrection or riot, or by any other cause which is unavoidable or beyond its control, or in any event for consequential damages. No work service or liability on the part of A&F Elevator Company, other than that specifically mentioned herein, is included or intended, .4&F Elevator Company reserves the right to discontinue this contract at any time by providing 30 days' notification in writing should payments not be made in accordance with the terms qf I 7 this agreement., Purchaser shall have 15 days ftom the date Qf'written notice in wn icn to cure a default in payment. INDEMNITYAND LIABILITY,* A&F Elevator Company all hold harmless and f In demni Purchaser, its agents and employees against all loss or liability, demands, juagments expenses (including attorne Y's fees), claims or actions based upon or arising out of damages or inury (including death) to persons or property, including property owned, leased or borrowed, incurred by or sustained in connection with the performance of this Agreement to the extent alleged or caused by the acts, omissions, or negligence of A&F Elevator Company, its subcontractors, managing agents, servants or employees, or based upon A&F Elevator Company's violation of any, statute, ordinance, building code or regulation. INSURANCE R,EQU1REA1fE1NTS.- At its sole expense, A&F Li'levator Company shall carry and maintain throughout the Term of thi's Agreement the insurance described below. Policies must be with carriers licensed to do business where the services are to be per formed.
