AMENDMENT . 1 TO
CITY SEC TORY CONTRACT NO.40884
WHEREAS, this, Amendment No. 1 "Amendment") to City Secretary Contract No.
40884 (the "Agreement"') is entered into by and between the City of Fort Worth "City" or
"Customer" and ESI Acquisitions, Inc., "ESP as authorized by the City Council by M C C-
24468 on the 2 1 st day of September, 2010 and

NOW, THEREFORE, Customer and Esl, acting herein by and through their duly
authorized representatives, hereby amend the Agreement as follows:
1.
Section 1,Defini ons,is hereby amended to read as follows:
(a) "Agreement"' means this Agreement and its Exhibits, the WebEOC End User License
Agreement E A , license agreements, for all other software used in performance of the
Agreement, any purchase order issued under, this Agreement, and any other signed writings
between the parties that e cct vely operate to amend this Agreement. If there s any conflict

between the provisions, the order of precedence shall be (1) this Master Services Agreement; (2)
the EULA; (3)thi's Amendment; and (4)any purebase order issued under this Agreement.

Section 3, Teri m, of the Agreement i's hereby amended to extend the 'ren-n to expire
November 30, 2014 ("Extension Term"). Following the Extension Term, the Customer may
renew the Agreement for maintenance and support for one additional year in accordance with the
procedure set forth in Section 4(b)of the Agreement.

Section 4(a), Fees and Payments, is hereby amended to add Exhibit B-1, "Quote for
Services Number Q19773," which is attached hereto and incorporated into the Agreement.
Customer shafl pay ES i the amount of$25,990.00 for maintenance and support services during
the Extension Term in accordance with Exhibit B-L
4.
All other provisions of the Agreement which are not expressly amended herein shall
remain in full force and effect.
