AGREEMENT

«
This Agreement is made and entered into on the date indicated below
and between the City of Fort Worth, Texas (City), a home rule municipal
corporation and the McLaughl'iin Y ng Group l' 'IYG)y owner of ASAP!1 Products.
The primary terry, of the agreement should be for one (1) year
commencing can JI a,nuary 1, 2003 and ending on December 31, 2003. The primary
term, may be renewed by mutual agreement between the City and MCA for
successive one (1) year terms under the say conditions and trans of this
agreement, except as set out to the contrary herein.
In c nsider tiC n of the one time payment of Four Thousand and NCB/10
Dollars ($4,000.00) by City, the receipt of which i......s hereby acknowledged herei�n�
MYG assigns and licenses to City the ASAP! Commercial V.2 software and a
non-exclusive license in perpetuity for the software utilized in processing ASAP!
health surveys.
In consideration n of the additional payment of Two Thous nd Seven
Hundred and No/1 01 Dollars ($12,700.00), the receipt of which is acknowledged
herein,, M:YG grants, conveys and self its interest in the scanner, CIS OpSc n
6, Serial # 0601016). MYG YG conveys the scanner in as in condition.
City shall pay MYG Five Hundred Ten and N 100 Dollars ($510.00),
which represents the hiosting fey payment for Comity's utilization of ASAP! Products
on the Internet from February 1, 2003 to April 30, 2003. City is not reg,uir d to
make any further payments for pan-line serer fees. During the entire term of this
gar ent, a, representative from the City of Fort Worth is granted the
Administrative Rights to the ASAP! On-lire Server, in Order to access the data
necessary for analysis, report generation and calculation of payment due MYG..
City shall' pay to Y Eight and No/1010 Dollars ($8.00) for each on-line
ASAP! ,purvey completed and One and 1,6/100 Dollars ($1.16) for each paper
ASAP! survey completed her City employees during the term of the Agreement.
On a monthly basis City will su unit to YG the total l nu b r of the int rn t and
paper surveys completed during the prior month. Monthly payments shall be,,

Notice to either party shall be in writing, and may be hand-delivered, or
sent postage paid by certified or registered mail, return receipt requested. Notice
shall be deemed effective if sent to the parties and addresses designated hereiny
upon receipt in case of hand, delivery, and three (3) days after deposit, in the U.,S,.,
Mail in case of mailing.
