HomeMy WebLinkAboutContract 45905 CSC No. �V%5 This MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into by and between the CITY OF FORT WORTH DEPARTMENT OF Aviation (Aviation), acting by and through William B. Welstead, its duly authorized Department Director and CITY OF FORT WORTH CODE COMPLIANCE DEPARTMENT (Code Compliance), acting by and through Brandon Bennett, its duly authorized Department Director. In consideration of the mutual covenants, promises and obligations contained herein, the parties agree as follows: 1. Aviation agrees to lease Code Compliance the following real property (hereinafter referred to as "Premises") in the 51S West Administration Building ("51S") at Fort Worth Meacham International Airport ("Airport") in Fort Worth, Tarrant County, Texas: 852 square feet of office space identified as Suites 1113, 1206A and 1208A depicted on Exhibit "A", attached hereto and hereby made a part of this MOU for all purposes. 2. The term of this MOU shall commence on September 1, 2014 ("Effective Date"), and expire at 11:59 p.m. on August 31, 2016. There are no renewals for this MOU. In order to terminate this Agreement, either party must provide the other party with written notice of its intent to terminate not less than ninety (90) days prior to the effective date of such termination. 3. Code Compliance shall commence the payment of rent, in accordance with this Section 3, on the Effective Date of this MOU. From the Effective Date until August 31, 2015, Code Compliance shall pay Aviation rent based on a rental rate of$ 6.50 per square foot, for an annual amount of $5,538.00. From September 1, 2015 until August 31, 2016, Code Compliance shall pay Aviation rent based on a rental rate of$ 6.70 per square foot for an annual amount of$5,708.40. Payment in the amount of$11,246.40 for the 24 month period will be paid in its entirety on or about September 1, 2014 through an Inter-Departmental Billing (IDB)entry created by Aviation. 4. Code Compliance agrees and covenants that they have inspected the Premises and is fully advised of its own rights without reliance upon any representation made by the Aviation concerning the condition of the Premises and accepts same in its present condition as M satisfactory for all of the purposes of this agreement. Code Compliance Coordinator shall furnish all operational equipment, i.e. computer, A telephones etc. All related utility cost with the sole exception of telephone service shall be the responsibility of Aviation. Telephone service costs shall be the responsibility of Code Compliance. 00, V6. Code Compliance agrees and covenants that it will, at its own expense, make all repairs necessary to keep the Premises from deteriorating in value or condition, ordinary wear and tear expected, and to repair damages to any part of the Premises caused by the acts of Code Compliance or its personnel, agents, servants, contractors, subcontractors, invitees or trespassers. Code Compliance agrees and covenants that it shall begin such repairs within thirty (30) days of the date that such recommendations were made and such repairs shall be completed in an expeditious manner. 7. Code Compliance agrees and covenants that it will not make or suffer any wastes of the Premises, nor will it suffer any holes to be drilled or made in the brick, plaster, or cement work, nor make any material structural alterations or additions to the Premises except as may be approved in advance, in writing, by the Airport Manager. 8. It is understood and agreed between Code Compliance and Aviation that Aviation may, from time to time during the term of this agreement, amend any of its polices relative to the operations and regulations of the Meacham International Airport, and Code Compliance agrees that it will abide by and conform to any such amendments as may be made throughout the term of this agreement. 9. In the event of termination of this agreement by Aviation, all rights, powers, and privileges of Code Compliance here under shall cease and terminate and Code Compliance shall immediately vacate the Premises. A 90-day prior written notice shall be provided by either party to terminate this agreement. Please provide the FAC for the monthly IDB.
