HomeMy WebLinkAboutContract 30921 STATE OF TEXAS § COUNTY OF TEXAS § CITY SECRETARY CONTRACT NO.�� I oLI WHEREAS, the City of Fort Worth ("City") and Stanley Love-Stanley, P.C. (SLS) ("Consultant") made and entered into City of Fort Worth City Secretary Contract No. 30146, (the "Contract") which was authorized by the City Council by M&C C-20114 on June 15, 2004; and WHEREAS, the Contract involves professional services related to the Evans and Rosedale Renewal Project; and WHEREAS, it has become necessary to amend the Contract to include an increased scope of work and/or revised maximum fee. NOW, THEREFORE, City and Consultant, acting herein by and through their duly authorized representatives, enter into the following agreement that amends the contract: 1. Section I, Services of the Consultant, of the Contract is amended to include the additional consultant services specified in specified in M & C C-20294, adopted by the City Council on September 28, 2004, and further described in Consultant's proposal letter of September 15, 2004 and the attachments thereto, copies of which are both attached hereto and incorporated herein. The cost for these additional services to be performed by Consultant shall not exceed $662,078 plus $84,422 for reimbursables. 2. Section V, Compensation to the Consultant, of the Contract is amended to provide for an increase in the lump sum to be paid to Consultant for all work and services under the Contract, as amended, so that the total lump sum fee to be paid by City for all work and services is $881,178, and reimbursables shall not exceed the sum of$143,622. 3. In accord with City of Fort Worth Ordinance No. 15530, the City has goals for the participation of minority business enterprises and woman business enterprises in City contracts. Consultant acknowledges the MA"E goal(25%) established for this amendment and its commitment(30%) to meet that goal. Any misrepresentation of facts (other than a negligent misrepresentation) and/or the commission of fraud by the Consultant may result in the termination ORIGINAL of this agreement and debarment from participating in City contracts for a period of time of not less than three (3) years. 4. Section X, Indemnity and Insurance, of the Contract is amended by deleting paragraphs 3 and 4 in their entirety. After such deletion, Section X, Insurance and Indemnity, is further amended by adding a new paragraph 3, which shall be and read as follows: Consultant agrees, to the fullest extent permitted by law, to indemnify and hold City harmless from damages and losses arising from the negligent acts, errors or omissions of Consultant in the performance of Professional Services under this Agreement, to the extent that Consultant is responsible f or such damages and losses on a comparative basis of fault and responsibility between Consultant and City. Consultant is not obligated to indemnify City for City's own negligence. The remainder of the paragraphs contained in Section X is renumbered according. 5. All other provisions of the Contract that are not expressly amended herein shall remain in full force and effect. Final Programming (much of this work took place under Phase I of the consultant agreement): 1.1. The Consultant shall visit the site and make himself familiar with the scope of the assignment 1.2. Prepare alternative floor and site plans, Architectural concepts and principal equipment and finish plans and area-based cost estimates. 1.3. Consultant shall not proceed to the Design Phase until the City has approved in writing the Program Design Manual. 2. Design Phase: 2.1. The Consultant shall perform all services necessary to survey, plat, prepare and vacate easements and any other property issues necessary to complete the design and secure a construction permit. 2.2. The design shall include all site work, design and coordination of utilities, landscaping and facility design required for a complete and functional project. 2.3. The Consultant shall prepare presentation graphics using plans necessary for the design and attend two public meetings during the design of the project. 2.4. Consultant shall prepare the design in stages as follows: 2.4.1. Design Development Phase: Preparation of Architectural and MEP floor plans, principal elevations, civil and utility site plans, cartoon set, selection of principal equipment and finishes, and discipline-based cost estimates. Upon written approval of this phase of the work, Consultant may proceed to the Construction Document Phase. 2.4.2. Construction Document Phase: Preparation of details, mechanical, electrical, and plumbing plans, finishes schedules, detailed technical specifications, and detailed cost estimates. 2.5. Format of Drawings 2.5.1. Drawings at all stages of design will have the following characteristics: Scale for floor plans will be 1/8" or such other scale as may be agreed to in writing for all disciplines, elevations will be at same scale as floor plans, area plans will have same scale for all disciplines, and site plans for all disciplines will be at same scale. 2.5.2. Drawings shall plot to 22x34 sheet to facilitate half-size 11x17 prints. Fonts shall be legible at half-size. 2.6. Consultant, at its sole cost and expense, shall engage a consultant to prepare "Elimination of Architectural Barriers Registration" and submit the applications to the Texas Department of Licensing and Regulation. The City will pay all fees required for TDLR reviews and inspections. All designs shall be in conformance with the Elimination of Barriers Act, State of Texas, City of Fort Worth Building Codes and the Americans with Disabilities Accessibility Guidelines for Buildings and Facilities. 2.6.1. The Consultant shall reimburse the City of Fort Worth for all costs and . fees incurred in modifying a facility in the event it is constructed in accordance with the Consultant's designs and is subsequently determined to be in non-conformance with the above Act, Codes or Guidelines. 2.6.2. The City will bear the construction costs associated with enhancements. The Consultant will reimburse the City for costs to replace or rework features that were constructed in accordance with the design but fail to meet accessibility requirements or building codes. 2.7. The Consultant shall include procedures for mitigating environmental impact, use of recycled building materials, sustainable construction, in the design of the project. 2.8. The Consultant shall submit estimates of probable construction cost for each stage of design to the City. 2.9. The City shall acknowledge the probable construction costs and scope in writing at each stage of design. 2.10. Upon written approval of the final design, the Consultant shall make whatever final changes are necessary and submit the drawings and technical specifications to the City for use in bidding. 2.11. The Consultant shall provide electronic files in PDF or DWF format for posting to the Internet. 3. Bidding: 3.1. The Consultant shall respond to Contractors inquiries, prepare necessary addenda, and conduct the Prebid Conference. 3.2. The Consultant shall coordinate printing of documents for bidding. 3.3. Following bidding, the Consultant shall investigate the qualifications of up to three bidders and make recommendations concerning the capability of the bidder to satisfactorily perform the contract. 4. Construction Services: 4.1. The Consultant shall assist the City by approving submittals, observing construction procedures and results, reviewing methods and costs associated with proposed change orders, and resolving construction problems. 4.2. Consultant shall attend periodic job site meetings, prepare meeting notes and distribute them to all participants and key project personnel. 4.3. At the completion of construction, the Consultant shall conduct and document the final inspection and assist the City on the resolution of construction or design deficiencies. 4.4. Consultant will review contractor's pay requests. 4.5. Consultant will conduct final acceptance and end of warranty inspections. 4.6. The Consultant shall review Contractor's marked up field drawings and prepare "Record Drawings" on bond and DWF/PDF files for the City's archives. 4.7. Consultant will provide CAD files of all drawings suitable to use on AutoCAD LT or such other operating system as determined by the City. All designs, drawings, specifications, documents, and other work products of the Consultant, whether in hard copy or in electronic form, are instruments of service for this Project, whether the Project is completed or not. Reuse, change, or alteration by the City or by others acting through or on behalf of the City of any such instruments of service without the written permission of the Consultant will be at the City's sole risk. The City shall own the final printed designs, drawings, specifications and documents. Transfer of ownership of the contract documents does not constitute sale of the documents Expanded Master Plan 1. Improving linkages between the Urban Village and the surrounding area There are a number of discontinuities in the fabric surrounding the Urban Village. For example, the community center parking lot has closed through traffic on Verbena. Although Glenwood and Hillside Parks are within easy walking distance of the Urban Village, the routes are not clear. The pattern of at-grade crossings of the rail line is erratic and does not lead to easy pedestrian or vehicular continuity from one side of the line to the other, the result being confusion, wasted land, and the creation of unruly rural pockets. Where Rosedale diverts southward, both parks should be visible and accessible, but are not. Also to be addressed in conceptual form are: Glenwood and Hillside Parks and their role within the area; the I-35W underpass, and the potential for visual treatment there which can improve its appearance and signal the gateway to a revitalized community with a strong cultural identity; and the widening of Rosedale. The proposed task involves analyzing existing conditions and challenges, identifying needs for stronger linkages, and making prioritized recommendations for implementing improvements such as opening up streets, relocating at-grade crossings, etc. as depicted in a Master Plan drawing for the entire area. SL,S: Task(s): • Project management and coordination. EDAW Task(s): • Prepare the base plan for the larger area, prepare urban design diagrams illustrating linkages and new proposals for urban design interventions in the area. • Prepare implementation strategies and prioritized action steps to accompany urban design diagrams. Dennehyy Task(s): • Provide photographic survey of identified areas to be used in preparation of expanded scope deliverables. Photographic survey to be identified by address, name, or other appropriate identifier. • Provide any additional support information, such as local code requirements/limitations to preparation of expanded scope deliverables. Local codes that may impede the development should be explained and recommendations made to remove barrier. • Integration with other similar City-wide efforts related to the designated Urban Villages, especially those within close proxirruty of the Evans & Rosedale Urban Village (Fort Worth South and Texas Wesleyan). Possible integration or connection with other revitalization initiatives to be explained in written text. • Participate in discussions/brainstonT ing during the design process of the Master Plan of the expanded area. HJS Task(s): • Present street level concepts as attraction (historic and other) in addition to teaming with others to determine "mix" of area. Include written text on proposed street level concepts. Deliverables: Illustrated summary of research and analysis; conceptual master plan illustrating proposed interventions and appropriate land uses; and written report of implementation strategies and prioritized action steps. 2. Locations for specific retail facilities: Supermarket ERDT has become aware of specific retail facilities that either the community has requested, or that have been recommended by the marketing study to enhance job creation and economic health of the area, which either will not fit within the 15-acre Urban Village, or would be better located in another part of the Neighborhood Empowerment Zone. This includes particularly a new supermarket, which is likely to require at least 4 acres to encompass a 40,000-60,000 sf store plus parking. Members of the community are currently either driving many miles on I-35W to remote locations, or overpaying at small inefficient local stores. There are several sites within the proposed expanded site area that could support a new supermarket, providing a needed resource as well as localobs. The recommended approach would be more environmentally responsible and appropriate for today's communities in allowtify ing for walkable access. The proposed task involves identifying the resource needs, idening potential sites within the expanded Master Plan area, and making proposals for those facilities as part of a Master Plan drawing for the entire area. SL-S Task(s): • Develop sketch proposals for specific retail and job growth facilities. EDAW Task(s): • Integrate sketch proposals (by SL-S) for specific retail and job growth facilities into base map. Describe specific facilities in written text. Dennehy Task(s): • Provide photographic survey of identified areas to be used in preparation of expanded scope deliverables. Photographic survey to be identified by address, name, or other appropriate identifier. • Provide any additional support information, such as local code requirements/limitations in preparation of expanded scope deliverables. Deliverables: Illustrated summary of research and analysis; conceptual sketches illustrating proposed retail and job growth facilities; and written report of implementation strategies and prioritized action steps. 3. Expanded locations for housing It has become clear that additional housing units will greatly help to revitalize the Neighborhood Empowerment Zone,and the new multi-farrul and townhome units which ERDT expects to propose in the Urban Village will help to provide some of the additional economic impetus, presence of new residents, increased population base to support retail, etc which is desirable. However, the 15-acre area of the Urban Village is limited; some of that land is already occupied by churches, and other uses and buildings (including the new plaza) which should remain for good reasons; and some of the new uses designated for the site (Health Center, Library, public access to these facilities) together reduces the amount of land available for mixed-use housing and retail development. Within the proposed larger area, however, there are many sites which would be suitable for new single-family housing. The proposed task consists of identifying these sites, determirung future housing capacity, developing specific proposals for developments illustrated in the Master Plan drawing for the entire area, and producing smaller scale sketch studies. SL-S Task(s): • Prepare sketches prepared for housing around the parks and other areas to the east of the 15-acre site. Sketches to be explained by written text in addition to conceptual drawings. EDAW Task(s): • Prepare sketch studies for areas immediately adjacent to the 15- acre site, and integrate these as well as sketches prepared by SL- S for housing around the parks and other areas to the east of the 15-acre site, into base drawing. Deliverables: Illustrated summary of research and analysis of housing capacity; conceptual sketches illustrating proposed housing developments; and written report of implementation strategies and prioritized action steps. 4. African-American heritage issues associated with the larger area Thus far African-American heritage interventions into urban design and building programming have been identified and have focused on the immediate site plan area. It becomes apparent, however, that with an expanded area and scope of work that herita�e- themed identity must run throughout the entire expanded district if the notion is to nng true through all other associated development activities, i.e. housing, commercial, parks, transportation. In this re-ard the identification of linkages that connect, pedestrian- vehicular opportunities 0 streetscape experiences as defined by both terms heritage AND destination necessitate an expanded concentration on opportunities to identify both strengths and weaknesses in the larger urban fabric that will further challenge the notion of seamless connectivity to theme,place,message and media opportunities. HJS Task(s): • To emphasize that we need profit making possibilities,still being true to our documentation and telling of our history, using this to help achieve economic sustainability. Deliverable: Written summary of profit making possibilities and their connection to heritage tourism with recommendations for achieving economic sustainability. StudioRotan Task 1: To identify urban space zones and opportunities for heritage, theme, media intervention; examine access issues, linkages, connections, barriers + opportunities in larger area where gateways, nodes, hubs,open space, commercial districts,housing enclaves can take full advantage of the form, function, design and positioning of streetscape,�iistoric interpretation and media devices, within a community that insists upon becoming a heritage destination. Deliverable: A set of maps (site plan) with conceptual images of urban space opportunities with pertinent urban design solutions. Written text to accompany conceptual images. Task 2: To design streetscape in `opportunity zones" within the expanded public realm: street furniture, signage kiosks, banners, wayfinding devices, public art programming and placement etc. that carry out the heritage theme throughout the larger milieu. Deliverable: Design of a series of streetscape elements (see above) with recommendations for locational pnonties and use/placement of these devices. Street furniture design, wayfinding devices and public art performance guidelines, along wits conceptual diagrams and mapping will be included in the final scheme for the expanded distnct. Issue a $749,000 amendment to the consultant agreement with Stanley Love-Stanley, P.C. (SLS) for architectural design and construction phase services related to the Evans and Rosedale Business and Cultural District project; and 2. Adopt the attached appropriations ordinance increasing estimated receipts and appropriations in the Grants Fund by $749,000. DISCUSSION: On June 15, 2004 (M&C C-20114), City Council authorized the expenditure of $300,000 on consultant fees for market analysis, master site planning and preliminary facility programming for the Evans and Rosedale Business and Cultural District project. Additionally the M&C reported that a fee of $704,500 had been negotiated with SLS, the prime consultant for the project, for phase II of the consultant's services. Phase II is for architectural design and construction phase services for a $7,000,000/43,000 square foot Public Health Building/Branch Library complex on the 15 acre Evans and Rosedale Business and Cultural district site. After the fee of $704,500 was negotiated it was determined that, to optimize the master plan product., the consultant would need to conduct a more detailed assessment of the community surrounding the Evans and Rosedale area than originally thought. The additional fee associated with these services is $30,000. Additionally, it was discovered that the existing topographic and boundary surveys for the 15 acre site were inadequate. The fee to provide the quality of survey needed is $14,500. The total phase II consultant fees then will be $749,000. The additional fees associated with the expanded master plan and survey can be accommodated from the contingency amount established in the original project budget. No need for additional funding is anticipated as a result of these increases in consultant fees. Funds for this phase will come from the Section 108 funds designated for this project. The Section 108 Loan Application has been amended and final approval is pending with HUD Washington. HUD Washington has given written approval to the City to proceed with a pre-award of the Section 108 and expenses incurred will be eligible for reimbursement from the Section 108 funds once they are received. HUD regulations allow for funds to be made available through a pre-award process, which City staff has followed. SLS is in compliance with the City's MWBE ordinance by committing to 30% MWBE participation on the Logname: 20SLS Pave 1 of'? Phase II consultant services. The City's goal for this project is 25%. This project is located in COUNCIL DISTRICT 8.
