TO CITY SECRETARY CONTRACT No. 43155 WHEREAS, the City of Fort Worth (CITY) and Hazen and Sawyer, (ENGINEER) made and entered into City Secretary Contract No. 43155, (the CONTRACT) which was authorized by M&C No. C-25555 on the 10th day of April, 2012 in the amount of $ 353, 263; and WHEREAS, the CONTRACT was subsequently revised by: Amendment Number 1 in the amount of $128, 894 which was authorized by M&C No. C-26624 on January 7th, 2014; and WHEREAS, the CONTRACT involves engineering services for the following project: Village Creek WRF Gravity Belt Thickener Addition; and WHEREAS, it has become necessary to execute Amendment No. 2 to the CONTRACT to include an increased scope of work and revised fee. NOW THEREFORE, CITY and ENGINEER, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the CONTRACT: 1 . Article I of the CONTRACT is amended to include the additional engineering services specified in a proposal dated October 8th, 2014, a copy of which is attached hereto and incorporated herein. The cost to City for the additional design services to be performed by Engineer totals $36, 792. (See Attached Funding Breakdown Sheet, Page -3-) 2 . Article II of the CONTRACT is amended to provide for an increase in the fee to be paid to Engineer for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall be an amount of $517,949. 3. All other provisions of the Contract, which are not expressly amended herein, shall remain in full force and effect. Senior Associate Attachments— Attachment A, Attachment B, Attachment C, LOE www.hazenandsawyer.com ATTACHMENT A DESIGN SERVICES FOR VILLAGE CREEK WRF GRAVITY BELT THICKENER ADDITION CITY PROJECT NO.:01847 ATTACHMENT A Changes and Amendments to Scope for Engineering Design Related Services for Water and/or Sanitary Sewer Improvements DESIGN SERVICES FOR VILLAGE CREEK WRF GRAVITY BELT THICKENER ADDITION CITY PROJECT NO.: 01847 The scope set forth herein defines the changes and amendments to work to be performed by the ENGINEER in completing the project. These changes and amendments are for Task 10, and Additional Task 11 only. All other tasks are unchanged from the original agreement. Both the CITY and ENGINEER have attempted to clearly define the work to be performed and address the needs of the Project. WORK TO BE PERFORMED TASK 11 Electrical Room HVAC Replacement ENGINEER shall provide engineering services for design of HVAC system upgrades for the electrical room of the Gravity Belt Thickener Facility. As a component to protecting the City's investments within the GBT Facility, replacement of the aging HVAC system is crucial. 11.1 Review Existing Drawings and System ENGINEER shall review the as-built drawings and specifications for the existing AC system. ENGINEER shall review the as-built drawings for the existing structural components to evaluate potential impacts from penetrating the building shell to bring in fresh air for the AC system. 11.2 Meeting with City Staff ENGINEER shall participate with City Staff in a meeting to discuss options for the HVAC replacement with a new system, which will be designed to minimize corrosion in the electrical room through new filtered fresh air supply and maintaining a positive pressure to the space. 11.3 Design Drawings/Spec ENGINEER shall provide drawings and specifications suitable for a contractor to provide a cost proposal for the installation of the new HVAC system and an H2S monitoring system for the GBT Building. The detailed design includes not more than two HVAC sheets, one structural sheet, one architectural sheet, and two electrical drawings in addition to the sheets required for the monitoring system. Specifications will be limited to any necessary City of Fort Worth,Texas Attachment A PMO Release Date:08.27.2010 Page 1 of 3 ATTACHMENT A DESIGN SERVICES FOR VILLAGE CREEK WRF GRAVITY BELT THICKENER ADDITION CITY PROJECT NO.:01847 technical specifications only and may reference existing specifications already included in the "Project Manual for the Construction of Village Creek WRF Gravity Belt Thickener Addition Project". 11.4 Construction (GBT Facility Electrical Room HVAC Improvements and Dissolved Air Flotation Thickener Influent Pump Improvements as outlined in CMR4) ENGINEER shall provide engineering services for the following: • Review of shop drawings for electrical room HVAC and Dissolved Air Flotation Thickener Influent Pump Replacement (DI Pumps). The ENGINEER will respond to shop drawings within 30 days of receipt of shop drawing from the Contractor. • Review of a proposed change order proposal for construction of the electrical room HVAC system improvements for the GBT Facility. • Review of the Contractor installation of for conformance with the design drawings and specifications. • Review of up to three (3) Operations and Maintenance Manuals provided by the Contractor for the HVAC system. • Review of the Contractor's test and balance report. ASSUMPTIONS • It is assumed that the construction of the replacement HVAC system and the 1-12S monitoring would be performed as an additional construction item to the existing construction contract at the Village Creek WRF. The documents provided will not anticipate the work being competitively bid. DELIVERABLES • Design drawings and specifications for the installation of a HVAC system upgrades for the GBT Facility electrical room. • Design for H2S monitoring in the GBT Facility. • Review of Contractor's proposal. • Comments on the Shop Drawings for the DAFT Influent Pumps and HVAC system. • Comments on the Operations and Maintenance Manuals. • Comments on the Test and Balance Report. TASK 10 ADDITIONAL SERVICES NOT INCLUDED IN THE EXISTING SCOPE OF SERVICES CITY and ENGINEER agree that the following services are beyond the Scope of Services described in the tasks above. However, ENGINEER can provide these services, if needed, upon the CITY's written request. Any additional amounts paid to the ENGINEER as a result of any material change to the Scope of the Project shall be agreed upon in writing by both parties before the services are performed. These additional services include the following: • Daily inspection of the construction is not included. Compensation A. The ENGINEER shall be compensated for personnel time, non-labor expenses, and subcontract expenses in performing services enumerated in Attachment A as follows: i. Personnel Time. Personnel time shall be compensated based upon hours worked directly in performing the PROJECT multiplied by the appropriate Labor Category Rate for the ENGINEER's team member performing the work. Labor Category Rate as presented in the rate schedule table below is the rate for each labor category performing the work and includes all direct salaries, overhead, and profit. Non-Labor Expenses. Non-labor expenses shall be reimbursed as Direct Expenses at invoice or internal office cost. Direct Expenses (non-labor) include, but are not limited to, mileage, travel and lodging expenses, mail, supplies, printing and reproduction services, other direct expenses associated with delivery of the work; plus applicable sales, use, value added, business transfer, gross receipts, or other similar taxes. iii. Subcontract Expenses. Subcontract expenses and outside services shall be reimbursed at cost to ENGINEER plus a markup of ten percent (10%). ENGINEER will make reasonable efforts to complete the work within the budget and will keep the City informed of progress toward that end so that the budget or work effort can be adjusted if found necessary. ENGINEER is not obligated to incur costs beyond the indicated budgets, as may be adjusted, nor is the City obligated to pay ENGINEER beyond these limits. If ENGINEER projects, in the course of providing the necessary services that the PROJECT cost presented in Article 2 of this Agreement will be exceeded, whether by change in scope of the project, increased costs or other conditions, the ENGINEER shall immediately report such fact to the City and, if so instructed by the City, shall suspend all work hereunder. When any budget has been increased, ENGINEER's excess costs expended prior to such increase will be allowable to the same extent as if such costs had been incurred after the approved increase. B. The ENGINEER shall be paid monthly payments as described in Section II - Method of Payment. II. Method of Payment A. The ENGINEER shall be paid by the City based upon an invoice created on the basis of statements prepared from the books and records of account of the ENGINEER, based on the actual hours and costs expended by the ENGINEER in performing the work. B. Each invoice shall be verified as to its accuracy and compliance with the terms of this Agreement by an officer of the ENGINEER. C. ENGINEER shall prepare and submit invoices in the format and including content as presented in Exhibit B-1. D. Payment of invoices will be subject to certification by the City that such work has been performed. III. Progress Reports A. The ENGINEER shall prepare and submit to the designated representative of the Engineering Department monthly progress reports and schedules in the format required by the City.
