VANN § TARRANT COUNTY,TEXAS AGREED JUDGIME,NT Came on to be heard the above-styled and numbered cause, and came Plaintiff, City of Fort: Worth ("City"), by and through its duly authorized representative and its attorneys of record, and came Defendants Vann Cattle 'Yards, Inc., Gary Lee Vann, Roger Lynn Vann, and Weldon Ray Vann as Joint Independent Executors of the Estate of J. D. Vaaui (collectively, "Vacua Defendants"), and Crosstex North Texas Gatherhig, L.P. and Devon Energy Production Company, L.P., as Defendants, by and through their duly authorized representatives and attorneys of record, and announced ready for trial. Defendant The Frost National Bank flkla Summit National Bank has tiled a disclaimer of interest in the property and of any proceeds from this condemnation proceeding. By their approval of this Agreed Judgment, Defendants Crosstex North 'Texas Gathering, LP and Devon Energy Production Company, L.P. disclaim any interest in any proceeds and payment in this proceeding. nFI- P,W),11 p " �"/A"�\IF D JUDGM$N'r OP CnC)RT Pagc 1 F-T,���1 1711 ___-- ------- RECEIVED NOV 17 2014 Prior to the commencement of trial of this cause, the City and the Vann Defendants announced that they had agreed and reached a compromise agreement with respect to all issues between them in the case, including the amount of damages to which the Vann Defendants are entitled by virtue of the condemnation of the hereinafter described property on the date said property was condemned, said amount consisting of a total of Three Hundred Fifty-Mve Thousand and No/]00 Dollars($355,000.00),of which One Hundred Fourteen Thousand, Eight Hundred Seventy-Five and Ni o/100 Dollars ($114,875.00) was previously deposited by the City with the County Clerk of Tarrant County,Texas. 11. It is,therefore, ORDERED,AWLIDGED AND DECREED that: A. By virtue of this Judgment, the City is entitled to condemn and hereby have judgment against all Defendants as sought in the City's Second Amended Condemnation Petition for the following property interests and rights in and to those portions of the Vann Defendants' property as follows: Fee Right-of-Way A fee interest in, on, over, tinder, across, and through the property described and depicted in Exhibit"I," attached hereto and made part hereof, with the right in the City to remove therefrom so much of the earth, stone, gravel, sand and other substances and materials as may be reasonably necessary to enable the City to construct the railroad bed, FINAL AGREED JUDOWNT OP couR,r Page? save and except oil, gas, sulphur and groundwater, ownership of which is reserved to the owners of the subject property, the Vann Defendants. This acquisition shall include any casements located within said property. It is anticipated that the City will assign and deed this fee right-of-way to the B_NSF Railway Company ("BNSF") after actual progress, as that term is defined in TFx PROP, CODE § 21,101, is made on the relocation and construction of the BNSF Railroad main line tracks located near the north end of Alliance Airport Runway to the property described in Exhibit "1," and this Agreed Judgment is signed and entered. 2. Exclusive for Three(3)Years and Thereafter Non-Exclusive Dam Easement An exclusive easement for three(3) years and thereafter a non-exclusive easement on which to remove the existing dam and spillway and to construct a new dam and spillway for the pond located on the Vann Defendants' property along, upon, and across the area described in Exhibit "2," attached hereto and made pad hereof for all purposes "easement property or area'') in order to protect the BNSF's relocated railroad main line from exposure to flooding, erosion and/or overflow from the Vann Defendants' pond, and from excessive water drainage, It is further necessary for the public use and necessity for the City to construct a drainage facility or spillway within the dam easement in order to protect the main line tracks to be relocated, constructed, operated, and maintained. The City shall have the right of ingress and egress over, along, and across the easement area with the right to trim and out down and/or prevent the growth of trees, shrubbery, and craps,and the right to remove and/or prevent the erection, construction,or installment on FlINAL AGRYED JUDGMENT OF COURT Pag-,3 ti iS the easement area of any and all buildings, structures, and obstructions which may interfere with the City's use of the easement, The City shall have the right to excavate and to remove, dispose of, replace and use for any purpose necessary for the relocation and construction of the main line tracks, dam,spillway, or pond on the property described herein, such dirt, fill, surface water, earth, stone, gravel, sand, and other substances and materials as may be reasonably accessary to enable the City to construct the now darn and drainage or spillway facility, save and except oil, gas, sulphur, and groundwater, which are retained by the Vann Defendants, and the City shall take what actions are necessary in order to remove the existing dam and to replace same with a new dam and spillway and a gravel road for vehicular traffic along and across the top of the dam within the easement area described in Exhibit"I" The above-described easement shall be exclusive and Defendants and others shall not be permitted to go upon the area described in Exhibit "2" until after completion of construction of the new dam, spillway, and road, which construction shall be completed within three(3) years of the date the City becomes entitled to possession of the easement property described in Exhibit "2." After expiration of the three (3) year period, the eminent shall be non-exclusive, 3. Exclusive for Three(3)Years and There-after Non-Exclusive Grading Easement An exclusive easement for three (3) years and thereafter a non-exclusive grading easement over, across, along, and in the property described in Exhibit "3," attached hereto and made pail hereof, to deepen, reconstruct, and relocate the Vann Defendants' FINAL AGREED JUDGMBNTCAF COURT e4 Ag 41 41 pond and the dam and spillway described hereinabove, with the right in the City of ingress and egress along, under, and upon same, and to excavate, remove, dispose of, replace and use for any purpose necessary for the relocation and construction of the rail main line tracks, dam, spillway, or pond on the property described herein, water and fill (including earth, stone, gravel, sand, surface water and other substances and materials) from and on, over, and under the Vann Defendants' pond. The City shall restore the pre- construction water storage capacity of the pond in connection with the construction of the new dam and shall perform grading work- to match elevations between the top of the darn and the pond bed and to insure adequate slope, depth, and dimensions of the pond bed to restore the pre-construction water storage capacity of the Vann Defendants' pond. This grading casement consists of the area described in Exhibit "3," attached hereto and made put hereof. The above-described easement shall be exclusive and Defendants and others shall not be permitted to go upon the area described in Exhibit "Y until after completion of construction of the now dam, spillway, and road, which construction shall be completed within three(3)years of the date the City becomes entitled to possession of the easement property described in Exhibit "I" After the expiration of the three (3) year period, the easement shall be non-exclusive. 4. Permaneni Exclusive Pipeline Easement A permanent pipeline easement along, upon, over, under, across, and within the area described in ExWbit"4," attached hereto and made part hereof, with the rights in the City and those retained by the Vann Defendants as set out in the "Right-of-Way HNAL AGREED JUDGMENT OF COURT Page 5 Agreement for Parcel t-2-P," which is also part of Exhibit "4," save and except for the following rights which ate not sought by the City: (a) the right of ingress and egress over and across the Vann Defendants' lands adjacent to or ftom the permanent pipeline easement described in Exhibit"4;"and (b) the right to require the Vann Defendants to warrant title to the easement area described in Exhibit 114," This Permanent Exclusive Pipeline Easement will be used to relocate the existing gas pipeline and easement from the property described in Exhibit "I" (fee acquisition area for Burlington Northern Santa Fe Railroad) to the property described in Exhibit"4." Defendant Cross ex North Texas Gathering, L.P. is believed to be the owner of the gas pipeline and easement for same. It is contemplated that the City will assign this easement to the owner of the pipeline after actual progress, as that term is defined in TEX, PROP. CODE § 21,101, is made on the relocation of the pipeline, and the City acquires fee title to the easement. 5. Temporary Construction Easement A temporary construction easement along, upon, under, over, across and through the property described in Exhibit "5," attached hereto and made part hereof, for the purpose of relocating and constructing dam facilities necessary for the Alliance Airport Phase VIII Project — BNSF Mainline Relocation Project under the terms described in Exhibit"5," save and except for the right to require the Vann Defendants to warrant title to said easement, which right the City does not seek, and that the tern of the easement shall expire three (3) years from the date the City becomes entitled to possession of the FINAL AGREED JIJDGNffiNT OF COURT Pago 6 41 easement area, at which time all right, title, interest, and use of same shall revert to the Vann Defendants. E. Non-Exclusive Temporary Road Access Easement A non-exclusive temporary road access casement along, upon, under, over, across and through the property described in Exhibit"6," attached hereto and made part hereof ("easement area"), for the purpose of relocation and construction of the facilities described in Paragraphs I through 6, inclusive of this Judgment, all of which are necessary for the Alliance Airport Phase Vill Project — BNSF Mainline Relocation Project under the terms described in Exhibit "6," save and except for the right to require the Vann Defendants to warrant title to said casement, which right the City does not seek, and that the term of this easement shall expire three (3) years from the date the City becomes entitled to possession of the easement area, at which time this easement shall terminate, and all right, title, interest and use of same shall revert to the Vann Defendants, The City shall restore or rep* the temporary road access casement if disturbed during the three (3)year temporary term. B. There is reserved to the Vann Defendants all oil, gas, sulphur, and groundwater in, on and under the parcels described in Exhibits"I" through"6," but the Vann Defendants and their lessees shall not be permitted to explore, excavate, drill or mine for minerals mid groundwater from the surface of the parcels described in Exhibits"1" through "4," inclusive, and ftm the parcels described in Exhibits "Y' and "6" during the duration of the temporary easements, The Vann Defendants shall be permitted to extract such FINAL AGREED JUDGNIENTOF COURT Pap 7 minerals and groundwater from the parcels described in Exhibits"I" through "6," inclusive, by directional drilling and other means, so long as the City's use of said parcels is not disturbed and the lateral and subsurface support for the City's facilities is not adversely affected, The Vann Defendants shall be permitted to extract surface water from the pond so long as the City's use of said parcels is not disturbed and the lateral and subsurface support for the City's facilities described herein is not adversely affected. C. Upon the occurrence of any event described in Section 21,101, Texas Property Code, the Vann Defendants or their heirs, successors, or assigns, are entitled to repurchase the property as provided in that section with such repurchase price as set forth in Section 21.023(2) of the Texas Property Code and/or request from the City certain information relating to the use of the property and any actual progress made toward that use, A The Notice of Lis Pondens filed on October 9, 2013 by the City and recorded at Instrument -#D213264145, Official Public Records of Tarrant County, Texas, is hereby released and cancelled. The Clerk of this Court record this Judgment in the minutes of this Court. The costs of this proceeding have been id by The City. Any Court costs not yet pal incarred shall be paid by the City. Staley, Jr. RC. IOLTA Account" c/o Law Office of Joe H. Staley, Jr. P.C., 3 100 Monticello Avenue,Suite 850, Dallas,Texas 75205, 214-739-3700, attorneys for the Vann Defendants,after deducting any administrative fees. The remaining balance ($240,125.00) of the agreed consideration for the acquisition shall be paid by the City to "Lary Office of Joe H. Staley, Jr. P,C, IOLTA Account" c/o Law Office of Joe H. Staley, Jr. P.C.; 3 100 Monticello Avenue, Suite 850, Dallas, Texas 75205, attorneys for the Vann Defendants. S DISCUSSION: The City authorized condemnation proceedings against Vann Cattle Yards, Inc., in Mayor and Council Communication (M&C L-15602) to acquire a 1.71 acre parcel for a permanent right-of-way, a 1.169 acre parcel for a permanent dam easement, a 0.863 acre parcel for a permanent grading easement, a 0.5865 acre parcel for a temporary access, a 0.499 acre parcel for a pipeline easement, and a 0.634 acre parcel for a temporary construction easement from Vann Cattle Yards, Inc., legally described as portions out of the Henry Robertson Survey (A-1259) and located on the north side of U.S. Highway 287 north of Bonds i Ranch Road West. The property will be used for the relocation of the Burlington Northern Santa Fe (BNSF) Main Line and Connector Track. This relocation is necessary to accommodate the runway extension at Alliance Airport. The parties have agreed that $355,000.00 is fair compensation for the property interests sought in the condemnation action and described more specifically in the metes and bounds and surveys attached to this Mayor and Council Communication. Closing costs will not exceed the amount of$3,000.00. The Federal Aviation Administration is funding the purchase of properties for this project through grants.
