HomeMy WebLinkAboutContract 46179QI � ti� �4 EGRETARX COI�S`�'��ACT NIG. �HP179 (PREGION 1 EDUCATION SERVICE CENTER - REGION 10 EDUCATION SEICE I II Inter -Agency Agreement for Videoconference Services This Interagency Agreement (" Agreement') is entered into by and between the Region 10 Education Service Center Videoconference Network ("R10VN") and City of Fort Worth, TX a Texas home -rule municipality ("Fort Worth") The purpose of this Agreement is to establish Fort Worth as a member of the Region 10 Videoconference Network and to provide videoconference connectivity to Region 10 school districts, colleges and other entities and, receive videoconference services from R10VN as outlined below. WITNESSETH: WHEREAS, R10VN is authorized by the Texas Interlocal Cooperation Act (Chapter 791, Title 7, Government Code), to enter into agreements with Fort Worth; and WHEREAS, Fort Worth desires to join the Region 10 Videoconference Network, be connected to ESC Region 10 schools and other members and receive videoconference services from the R10VN; and WHEREAS, R10VN and Fort Worth acknowledge that the videoconference services provide real-time, live audio and video communications for fire protection, public health and welfare, planning, administrative functions, and other governmental functions in which both parties are mutually interested; and WHEREAS, Texas Education Code 8.002 states that Texas Regional Education Service Centers shall enable school districts to operate more efficiently & economically; and WHEREAS, Fort Worth offers R10VN compensation for providing videoconference connections and services, which payments will be made from current revenues available to Fort Worth; and WHEREAS, R10VN and Fort Worth agree that the amount paid fairly compensates R10Vn for the services performed under this Agreement; and WHEREAS, Fort Worth and R10VN have both sought the required authorization form their respective governing bodies to enter into this Agreement. THEREFORE, NOW BE IT AGREED that the undersigned R10VN, in return for the payment of the consideration stated below and Fort Worth, subject to all terms of this Agreemenk do hereby agree to the following terms, conditions, and general provisions. TERMS AND CONDITIONS 1. Term of the Agreement. The term of this Agreement shall be from the date this document is executed by both parties and remain in place for twelve (12) months or until terminated by either party. Additional endpoints may be registered at any time during this agreement. Depending on the month in which this agreement is executed, membership and device registration fees may be prorated through the end of R10VN's fiscal year, August 31, to facilitate a regular billing cycle. 2. Renewal This agreement will automatically renew twelve (12) months from the date of this agreement or the end of R10VN's fiscal year, whichever applies, subject to appropriation of sufficient funding for the renewal term, unless terminated by either party in accordance with this agreement. 3. Termination of the Agreement. Either party to this agreement may terminate this agreement by providing the other party with written notice 30 working days prior to the desired termination date. 4. R10VN Agrees to: Provide Fort Worth with: a. Bridging between registered videoconference devices and R10VN members and other entities as reghested. Ad hoc videoconference meeting space as requested. d. Phone, email, web -based and field troubleshooting, support and Help Desk services for devices registered to R10VN. e. Provide usage activity and other reports as requested. S• Fort Worth Agrees To: a. Become a member of the R10VN. b. Register those videoconference devices to be served and serviced by R10VN. c. Provide the organization's primary and alternate points of contact for all videoconference related communications and activities. d. Provide the organization's billing contact information. e. Provide primary and alternate contacts for site and/or technical related communications or activities. f. Provide R10VN staff facility and network access, as required, to connect to and service the videoconference equipment registered to R10VN, g. Take part in training on policies, guidelines and procedures outlined in the R10VN Videoconference Handbook. h, Provide videoconference content supporting K-12 education a minimum of twice per semester. 6. Compensation Fort Worth agrees to pay R10VN and annual membership fee of $5,000.00 (which includes registration of one (1) videoconference appliance endpoint or MCU port) and agrees to pay an annual registration fee for each videoconference endpoint and gatekeeper registered to and to be supported by R10VN based on current fee schedules. Registration fees for additional videoconference endpoints registered inside the term of this agreement will be prorated based an the remaining months of the agreement. In the event of termination by either party, R10VN agrees to refund registration fees prorated based on the number of months remaining on this agreement and prepaid by Fort Worth. DISCUSSION: The Fire Department recommends the execution of an Interlocal Agreement with the Region 10 Education Service Center (Region 10) to allow the Fire Department to use videoconference connectivity services provided by Region 10. Region 10's network services offer videoconference connectivity for real-time, live audio and video communications that can be used by the Fire Department internally, locally, state-wide and worldwide for conducting communications related to fire protection, public health and welfare, planning, administrative functions and other necessary governmental functions. Region 10 will provide the Fire Department bridging between registered videoconference devices and other Region 10 Videoconference Network members, web -based resource management and scheduling services, ad hoc videoconference meeting space and other support services. The City expects to begin implementation of a mobile video conferencing system in the Pre -Council and Council Chambers that may be consolidated with or replace this system at a later date. Chapter 791 of the Texas Government Code authorizes local government entities to enter into Interlocal Agreements for the performance of governmental functions as specified in this Interlocal Agreement. Under the terms of the Interlocal Agreement, the City will pay Region 10 an annual membership fee of $5,000.00, which includes registration, of one videoconference appliance endpoint and an annual registration fee based on current fee schedules for each videoconference endpoint to be supported by Region 10. The total expenditures for Fiscal Year 2015 for these fees and leases total $23,750.00. The Texas Department of Public Safety awarded the City the Fiscal Year 2013 Homeland Security Grant Program Urban Area Security Initiative grant (M&C C-26516). All fees associated with this Interlocal Agreement will be paid from current fund balance available to the Fire Department under this grant. The term of the Interlocal Agreement is one year beginning when both parties have signed the Interlocal Agreement and will automatically renew for additional one year periods, provided that the City Council has appropriated sufficient funding for each additional one year period.
