LICENSE AGREEMENT
This Special Event License Agreement ("Agreement") is entered
into effective as of October 2, 2014, between City of Fort Worth Code
Compliance/Solid Waste Division—("User"), and Red Oak Realty, LLC as
authorized agent for FW Magnolia Green Association/PALP ("Owner").
RECITALS:
Owner owns the land located in Fort Worth, Tarrant County, Texas,
commonly known as Magnolia Green Park (the "Land"). User desires to use
the land for the purposes of holding an Earth Party on March 28, 2015, and
Owner is willing to grant User a license to do so, subject to the terms and
conditions contained herein.
AGREEMENTS:
In consideration of the premises and for other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged,
Owner and User agree as follows:
1. License. Owner hereby grants to User the right and license to
occupy the Land between the hours of 11:00 a.m. and 3:OOp.m. on March 28,
2015, for the purpose of holding an Earth Party Event. User shall not be
required to pay rent with respect to such occupancy but shall be subject to
such other rules and regulations as Owner may reasonably require. User shall
comply with all laws in connection with its use of the Land. User's use of the
Land shall be at its sole risk, cost and expense, and Owner shall have no
obligation to provide any services with respect to such occupancy or use.
Furthermore, Owner shall have no responsibility or liability for any loss of or
damage to User's property.
2. Security Deposit. Concurrently with User's execution of this
Agreement, User shall deposit with Owner as a security deposit (the
"Security Deposit") the amount of$0.00 to be held by Owner as security for
M any excessive cleaning or damage to the Land area caused by User's
� occupancy during the license period. The Security Deposit is not a measure
rn or limit of Owner's damages upon a default by User hereunder.

® 3. Insurance. The City of Fort Worth is a self-insured entity.

0 5. Cleanup and Repair. User shall hire Owner's current janitorial
company for all cleanup at current price provided to User, if necessary.

6. Governing Law. This Agreement shall be governed by and
construed m accordance with the laws of the State in which the Building is
located.
7. Parking Attendants. User will provided parking attendants &
signs to reserved parking spaces in the areas marked on the attached ExhibitA
for visitors, customers, patients of both Wells Fargo Banking Center & the
Center for Cancer&Blood Disorders.
8. Authority. The signatories to this agreement represent that they
have the authority to enter into a binding agreement on behalf of themselves and
their principals to all of the terms and conditions herein.
