WHEREAS, the City of Fort Worth (CITY) and Kimley-Horn & Associates,
Inc. , (CONSULTANT) made and entered into City Secretary Contract No.
24975, (the CONTRACT) which was authorized by the City Council by M&C C-
17461 on the 8th day of June, 1999; and subsequently revised by Amendment
No. 1 which was authorized by the City Council by M&C C-18260 on the 3rd
day of October 2000; and subsequently revised by Amendment No. 2 which
was authorized by the City Council by M&C C-19846 on the 11th day of
November, 2003; and
WHEREAS, the CONTRACT involves consultant services for the following
project:
North Main Street from the Tarrant County Courthouse and 28th
Street; and
WHEREAS, it has become necessary to execute Amendment No. 3 to said
CONTRACT to include an increased scope of work and revised maximum fee;
NOW THEREFORE, CITY and CONSULTANT, acting herein by and through
their duly authorized representatives, enter into the following
agreement, which amends the CONTRACT:

Article I of the CONTRACT is amended to include the additional
engineering services specified in a proposal letter dated June 22 , 2005,
a copy of which is attached hereto and incorporated herein. The cost to
the City for the additional design services to be performed on an hourly
rate/not-to-exceed basis by CONSULTANT total $16, 000 . 00 .

Article II of the CONTRACT is amended to provide for an increase in
the maximum fee to be paid to Engineer for all work and services
performed under the Contract, as amended, so that the total fee paid by
the City for all work and services shall not exceed the sum of
$651, 500 .00 .

Paragraph B of Article IV of the CONTRACT is hereby amended to
include the following:
All design plans shall be prepared by, or under the direct
supervision of, a Texas licensed professional Engineer. All landscape
architecture design plans shall be prepared by, or under the direct
supervision of, a Texas licensed landscape architect. The CONSULTANT
shall design the project to comply with all current City of Fort Worth,
Texas Department of Transportation (TxDOT) , and Texas Department of Labor
Relations (TDLR) regulations. Any design changes required to comply with
these regulations shall be made by the CONSULTANT at its own cost and
expense.

Paragraph I of Article IV of the CONTRACT is hereby amended to read
as follows:
In accordance with City of Fort Worth Ordinance No. 15530, the CITY
has goals for the participation of minority business enterprises and
woman business enterprises in CITY contracts. CONSULTANT acknowledges
the M/WBE goal established for this contract and its commitment to meet
that goal . Any misrepresentation of facts (other than a negligent
misrepresentation) and/or the commission of fraud by the CONSULTANT may
result in the termination of this agreement and debarment from
participating in CITY contracts for a period of time of not less than
three (3) years .

CONSULTANT acknowledges that is has committed to additional M/WBE
participation in the amount of 20% for Amendment #3 . The CONSULTANT' s
overall commitment for the CONTRACT remains unchanged.

6 .
All other provisions of the CONTRACT, which are not expressly
amended herein shall remain in full force and effect .

Re: North Main Street Project—Amendment#3 Proposed Scope of Work)
Dear Ms. Sharpe:
As per the City's direction, we are submitting a proposal to provide additional
consulting services during the construction phase of the North Main Street Project.
The contract time for this phase of the work is 233 days or approximately 8 months.
For this phase of the work we anticipate suggest an hourly/not-to-exceed allowance
of$2,000 per month for eight months to assist the City in responding to RFI's by the
contractor and to help address minor revisions to the project. Of the total amount of
$16,000, we will commit to a goal of 20% for MWBE participation. This work will
most likely be performed by Hector Gomez Engineers.
Hourly charges for this work will be computed as follows:
Senior Professional $150.00 per Hour
Junior Professional $100.00 per Hour
Clerical $50.00 per Hour
No work beyond this scope will performed without prior authorization by the City in
writing.
