OFFICIAL RECORD CITY OF FORT WORTH CITY SECRETARY COOPERATIVE PURCHASE CUSTOMER AGREEMENT FT.WORTH,TX (Purchase order) This Cooperative Purchase Customer Agreement ("Customer Agreement') is entered into by and between Carousel Industries Inc.("Vendor") and the City of Fort Worth, ("Customer" or "Authorized Customer"), a Texas local government entity, and a Customer as defined in Section 1 of the agreement between the General Services Administration (the "Entity") and Vendor, Contract No. GS-35F-0511 T, as amended, (the "Entity Agreement") with an effective date of March 1,2015. This Customer Agreement shall be governed by the terms and conditions of the Entity Agreement, which is incorporated herein by reference and Is available online at https://www.gsaadvantage.gov/ref text/GS35F0511T/000AK3.340B81_GS35FO51IT—GS-35F-051 1T-1-14-2015- 338083.PDF or upon request from Vendor.The Entity Agreement expires on June 26,2017. Authorized Customer is eligible and desires to purchase professional services to implement Phase I of the hardware migration from the Water server room in City Hall,to the City Hall Data Center, by staging, configuring, and installing a new core at the City Hall Data Center, pursuant to the terms and conditions of the Entity Agreement as the Entity may specify from time to time,as well as the terms and conditions of this Customer Agreement. Entity will only be responsible for services provided to Entity and will not be responsible for payments for services provided to any individual Customer. The Authorized Customer agrees to the terms and conditions of the Entity Agreement as applicable.The Authorized Customer hereby agrees that it is separately and solely liable for all obligations and payments for goods and services provided hereunder. Vendor agrees that Customer shall be entitled to the same rights and protections under the law afforded to the Entity under the Entity Agreement, as applicable, as if Customer had entered into the Entity Agreement. Further, Vendor agrees that until the expiration of three (3) years after final payment under this Customer Agreement, or the final conclusion of any audit commenced during the said three years, Customer, or Customer's designated representative, shall have access to and the right to audit at reasonable times, all records of Vendor Involving transactions relating to this Customer Agreement necessary to determine compliance therewith, at no additional cost to the Customer. Vendor agrees that the Customer shall have access to such records during normal business hours. Customer shall provide Vendor with reasonable advance notice of any intended audits. This scope of work(SOW)addresses the installation of the new core phase one at the City Hall location. The new core design is based on a high availability(HA)cluster of Extreme Summit X-480 switches that will be configured in a "virtual chassis". Please note that for the initial phase,this virtual chassis will act as layer 2 access switches hanging off of the existing core(Extreme BlackDiamond). As migration of layer 2 connections from the old to the new core progress, layer 3 interfaces will be moved to the new x-480 VC. This will help minimize downtime, have a robust back up and back out plan as well as taking a phased approach. The Extreme X-480 switches will be configured in a virtual chassis and will interconnect via a 40G SummitStack cable on the back of each switch. As part of this scope of work a new IPv4,VLAN,and VLAN trunking scheme will be created for the dark fiber connection between City Hall new virtual switch and SCADA location's existing BlackDiamond. The new VC will be the termination point for the fiber link and that port/vlan needs to be added to the existing OSPF process.The assigned Carousel engineer will check with the Customer to determine the IP scheme used at the Customer's existing locations. The Extreme X-480 switches will be configured as a "virtual chassis"and will provide high availability (HA)for the network's core.Carousel Industries will stage the 3-switch stack at a central staging facility. During the staging process the switches will undergo a burn-in test,a code upgrade and a base configuration to prepare them for implementation. IP Addressing, VLAN,VLAN trunking and routing (OSPF)will be configured on the switches and they will be configured as a virtual chassis. Extreme's network management solution is not included within this scope of work. Management of all proposed switches will be via web-based(http&https)and command line interface(CLI).Carousel Industries will be providing the implementation services for this scope of work(SOW) based on the specifications provided above. Carousel's Network Operation Center(NOC)will provide level 1&2 technical support for the (3x) Extreme X-480 switches via 1-800-Carousel. Approach The recommended approach is to begin with a discovery phase(1)to define the IP/Vlan/Routing scheme and DNS host configuration. All connection moving from the old core to the new VC core are 1-gig fiber/copper. Please note that this core/server access virtual chassis is not 10-gig capable. Future 10-gig capabilities can be added via additional switches to be added to the VC(via stacking cables).The physical interface of this optics is "LC".IPv6 and Multicast will not be used. Discovery Stage The Discovery phase will begin once Carousel Industries has been awarded this project. The Discovery phase will be completed by Carousel's engineering team with assistance from the customer's IT staff. This is a collection and review stage that is non-intrusive to the network and will not disrupt network or 4 www.carouselindustries.com � Carousel I N D U S T R I E 5 a application flow.Once the proper information is collected the Carousel engineering team will analyze the data and create a configuration plan (IP/Vlan/Routing scheme, base configurations,etc.). Unknown issues or new information not released prior to the writing of this scope of work may require changes to the bill of material(BOM),this scope of work(SOW)or to the project delivery. In this event the design and service delivery modifications may require additional cost and will be subject to scheduling. • The Carousel Engineer and Customer will review all network attached devices and update the switch port to device list. • The Carousel Engineer will work on gathering the information to create the base configuration for the Extreme switches. ■ Define IP management addressing information and coach the Customer on configuring the local DNS to assign host DNS names. ■ Define switch names(Host DNS). ■ Create IPv4 subnet scheme for moving the existing layer 2 connection. • The assigned Carousel engineer with the customer's assistance will need to determine how many wired devices will be connected to the network,each devices interface(1g/10g),where they will be connected to the network and what their existing IP scheme will be. ■ Create standards based 802.1q virtual local area network(vlan)scheme that will be associated with the defined IP subnet scheme. ■ Review OSPF routing scheme. ■ Once the IP/VLAN and routing scheme is completed and documented in a Visio drawing the assigned Carousel engineer will share this document/information with the Customer. ■ The Carousel engineer will define the switch DNS host names and provide a list to the Customer. • The Customer will enter the switch DNS host names into the local DNS server. • Administrator names&passwords, host names and role based administration for all Extreme switches will be reviewed by Carousel and the customer during the discovery phase. — The customer will provide a secure password that will be applied at the end of the implementation. • Extreme switch management(ssh, HTTPs, ping)will be reviewed by Carousel and the customer during the discovery phase. • Upon successful completion of the discovery phase,Carousel's engineering team will define the associated configurations.This information will be forwarded to Caro sal'c stagine enei OFFICIAL RECORD CITY SECRETARY FT; NORTH,TX 5 WWw.carOLIselindustries.com Carousel I N D U 5 T R 1 E S a Project Management • Carousel Industries will assign a Project Manager to initiate and organize the project and to schedule Carousel Industries resources.Once completed the project manager will disengage from the project.A project manager will be assigned to complete the following tasks; o Initiating the project internally within Carousel. o A contact list is created and distributed for all parties involved. o Review with the customer the existing power environment and requirements o Weekly meetings are held to track project progress and expectation setting. o Review parts list and delivery. o Project timeline is met and if needed adjustments are made. o Inventory is properly delivered. o RMA's are addressed. o Resources are scheduled and aligned. o Appliances are properly registered for support enablement. o The focus remains on completion of this project and any additional customer requirements are addressed with a new scope of work and treated as a different project that is subject to additional pricing,availability and scheduling. o Review the customer's internal test plan(application access testing). o Determine maintenance window time.A required dedicated cutover window will be required to install the Extreme switches,test basic connectivity,install file servers, enable IP services(DHCP,AD, DNS)and for the customer to execute their internal application testing.Troubleshooting if required will be addressed within the maintenance window. o The project manager and the Carousel engineer will not be involved with the Customer's equipment(desktop,printers,etc.) o Carousel Industries will provide Project Management to organize,maintain schedule of project and manage Carousel Industries resources. o Validate existing inventory for proper power on tests,XOS versions and base configuration. o Carousel Industries will provide status meetings with the customer as needed,via teleconference. o Carousel Industries will provide documentation based on the configuration and install. Staging Process The Staging Process will take place at Carousel Industries staging facility. The staging process will be overseen by Carousel's trained engineers.This process will begin once the discovery process is completed and the information is provided to the staging engineer. General Staging tasks; These tasks apply to all devices being implemented as part of this scope of work.All the equipment specified with this scope of work will be implementation that City Hall facility. 6 www.carouselindustries.com '�Carousel I N D U S T R I E S . • All proposed Extreme equipment will be burned in for DOA(dead on arrival)detection prior to shipping to customer's location. • Carousel project management team will handle any RMA due to equipment failures during staging process. • Carousel's staging engineer will validate existing inventory for proper power on tests,firmware versions and base configuration. • Carousel's project management team will email the customer each Extreme switch serial number and instruct the customer on how to register these appliances.This step is required by Extreme to enable all licenses and maintenance support. • Carousel's staging engineer will load the recommend Extreme XOS operation system version and patch level and then create the base configuration. • Carousel's staging engineer will package and ship the associated equipment to the customer's City Hall location based on the deployment schedule defined by the customer and Carousel's assigned project manager. Extreme X-480 core switch base configuration: o Enable all licenses if required o The default user name and password will be used for the duration of staging.This will be changed after the completion of a successful cutover. o The date,time and time zone will be set according to Eastern Standard Time. NTP will not be used. o The switches will be configured for host DNS. ■ Primary DNS= Internal—TBD(determined during the discovery phase) ■ Secondary DNS=External 4.2.2.1 o The host names will be added. o The Carousel staging engineer will contact the project manager in the event the licenses are not enabled and to ensure proper registration has occurred. o The Carousel staging engineer will configure virtual chassis(VC) between the three core switches that will implemented in the City Hall Data Center. Redundant stacking cables will be used. o The Extreme switches will be configured with SSL,SSH,and Ping enabled on the management interfaces. o The Carousel engineer will enable logging on the Extreme switches. o All Extreme switches will have the Extreme discovery protocol enabled so that the core switches can identify the Extreme switches attached to them and vice versa Implementation (Cut Over) Stage Carousel's project manager will create a deployment plan and schedule in conjunction with the customer based upon availability and scheduling. Carousel will arrange for delivery of equipment to the customer site. Carousel's implementation engineer will rack all equipment as directed by the eh9t8FAeF 8R the Al f the cutover but prior to the actual maintenance(cutover)window. Racking of equipment will be done on the same day,will not affect existing network traffic and will be conducted during regular business hours,as defined by the customer. Rack space, rack screws, power,cooling,and required cables will be provided by the customer prior to the agreed upon installation date. The customer will be required to provide a dedicate resource to assist Carousel's Implementation engineer with the required logistics,access and information. The cutover(maintenance window)will be after hours/weekend. Extreme core switch implementation • Carousel's engineer will arrive on site to inventory equipment. • Carousel's engineer will unpack all equipment and physically install equipment into racks. • Carousel engineer will connect the power cables and power on the switches. o The Carousel engineer will ensure that the X-480 switches properly booted and are accessible via the management interface. • Carousel's engineer will connect the stacking modules and cabled between the three X-480 switches and ensure they are configured properly as a virtual chassis. o The Carousel engineer will pull the redundant VCP cable to ensure the virtual chassis remains operational. • The Carousel engineer will ensure the correct type and amount of optics are installed in the correct ports on the X-480 core switches. • The Carousel's engineer will review device logs for errors. • The Carousel engineer will test management access for SSL to X-480 virtual chassis. • The Carousel engineer will ensure that all local vlans are configured and are being propagated. • The Carousel engineer will ensure the default route to the core virtual chassis is configured and that SCADA location is reachable. • Carousel's engineer will validate all equipment is properly configured and will test IP connectivity. o The Carousel Engineer will troubleshoot connectivity issues.This is a critical first step that must be completed prior to proceeding.Once successfully completed all Extreme switches will be able to see one another via Extreme's discovery protocol and the Carousel Engineer will be able to access the core from any access layer switch. • Once all prior steps are completed and the new core switches(acting as access layer switches first) has been deemed"operational"by the Carousel engineer the Customer will connect their network attached devices to the assigned Ethernet ports. It is assumed that this function will happened on the same day the Carousel engineer will be onsite for the implementation. o The Carousel engineer will confirm switch configuration but will not troubleshoot desktop,server, DNS, DHCP or device issues. • Carousel's engineer will test management connectivity(ping default route,destination routes and internet)from each Extreme virtual chassis. • Once the wired LAN and the Customer's equipment is mounted,racked,configured,connected and tested the customer will execute their internal Internet test plan(application reachability). 8 www.carouselindustries.com 'E►Carousel I N D U 5 T R t E 5 a • The Carousel Engineer will assist the customer with troubleshooting connectivity(traffic)issues related to the wired LAN. • Once the cutover is successful,there are no outstanding issues or the maintenance window has expired the Carousel's engineer will clean up the work area, record the Extreme switch serial numbers,and save the last working Extreme switch configuration files.These files will be provided to the customer and to Carousel network operation center(NOC). • Carousel's engineer will remove all Extreme boxes if required by the customer • Carousel's engineer will take pictures of equipment room, racks and cabling. Pictures must be detailed enough to be used by remote technicians to get visual of rooms. • Upon successful completion of the cutover, if desired by the customer and time permitting the Carousel Engineer will provide a knowledge transfer to the customer.This will consists of reviewing the configuration, logs, LED indicators and show commands. Old Equipment There will be no old or legacy equipment to be removed at this phase of the project. Customer Responsibilities: Customer will be responsible for the following: • It is critical that the customer please read the entire scope of work and discuss the topology, approach,services offered,customer responsibilities,assumptions and caveats with the Carousel account team (Account Manager&Systems Engineer) prior to any engagement.This will align both the customer's and Carousel's expectation and will help to ensure a successful implementation. • Provide Carousel with a signed copy of the scope of work(SOW). • The customer will review the environment with the Carousel engineer to determined required power,switch ports, rack space and patch cables. • Target deployment schedule in July/August and is subject to change and scheduling based upon the findings of the discovery and analysis phase. • The customer will be responsible for configuration of all laptops, iPads,tables,smart phones and PDAs • The customer is responsible for providing any details prior to the beginning of this project that could be used to determine the scale and functionality of the wired LAN. In the absence of this important information Carousel will provide a specification based upon best practices and estimation. • The installation of any cables. • The customer will create and execute an application reachability plan.The customer will troubleshoot any application issues. • Administration access to all existing network equipment(switches,firewalls.sen CP and routers) OFFICIAL RECORD CITY SECRETARY 9 FT.WORTH TX www.carouse1Indu ries.com �►Carousel I N D V S T R I E 5 v • Available rack space,rack screws,power,fiber patch cables,copper patch cables and cooling for proper installation of the new equipment.The proper cooling units to cool the equipment being purposed within this scope of work and any equipment being placed in the IDFs and MDF by the customer. • Available copper category 6e Ethernet patch cables to network attached devices(workstations, printers,etc.). • Communicate prior to the day of the cutover any NDA or special permission required to allow the Carousel implementation engineer to connect to the customer's network. • Any issues related to the Union.Carousel is a non-union company. • Register the Extreme switches as soon as possible. • Identify and communicate any required documentation for the sharing of information or site access with the Carousel Project Management and sales account team prior to scheduled onsite work. • Working with Carousel's Project Manager on scheduling and confirming an installation date based on availability.Communicate all changes to the timeline to Carousel's Project Manager. • Schedule a time with Carousel's Pre-Sales Team to review the configuration and any additional configuration changes.Review required logging and reporting needs. • Provide Visio drawing of existing topology that includes IP address,Vlan scheme, DNS, physical switch topology and routing environment. • Disclose any known issues or recent(last 12 months)network or security changes that could impact this deployment. • The customer will be responsible for all shipping charges for equipment from Carousel staging facility to the customer site. • Designate a single point of contact for the Carousel Industries Project Manager to work with on this project. • Designate a dedicated resource to assist Carousel with logistics, information and access during the implementation phase. o The Customer will need to have a network engineer onsite at the LIC,NJ facility during the implementation to assist with troubleshooting routing, DNS,AD and application reachability issues. • Provide site access,information and equipment as appropriate • Allocated customer resources required to execute the internal test plan and if required handle troubleshooting. • Provide a dedicated maintenance window for the cutover,testing(Carousel engineer and customer internal)and any required troubleshooting. • Provide physical,cooling and electrical environmental conditions that meet or exceed manufacturer specifications.To include outlet availability, plug type,load requirements and cooling. • Provide all cabling including any fiber uplinks and fiber/copper patch cables with the correct physical connectors and length. • Inventory and disposal of old equipment(if required) 10 www.carouselindustries.com � Carousel I N D U S T R e E S a • Meet all project deliverables on time to keep project on-track • Provide required information for Carousel Industries engineers to perform the staged configuration • Provide detailed address and location information. • All communication and interaction with the union. • Attend all schedule implementation or design meetings. Assumptions & Caveats: • All discovery and staging to be performed under this Scope of Work will be done Monday— Friday between the hours of 8:00 a.m.and 5:00 p.m. Cut over will be scheduled for after hours. • All information listed and required as part of the discovery phase has been provided prior to the staging phase of this scope of work and with enough time for the Carousel engineer to create configurations and modify documentation. o With the tight timeframe it is critical that this information is provided as soon as possible. • Racks, In-Row cooling, UPS,Generator upgrades and power work is being installed by the general contractor. • All racking of equipment and cutover work to be performed on the same day as the installation but prior to the maintenance window. • All work being provided by Carousel is non-union. • The work to be performed is limited to the details defined within the Scope of Work.All task performed will be the tasks listed in this scope of work.Additional tasks can be addressed but will be treated as a separate scope and will be subject to additional cost and dependent upon availability and scheduling.Any additional agreed upon tasks will be completed at a later scheduled date. • The customer has read the entire scope of work and is in full agreement and has provided a signed copy to Carousel. • Upon successful completion of this scope of work(SOW)the Extreme switches for the new core switches will be in place,fully operational and the Carousel engineer will randomly test Ethernet and IP connectivity. • IPV6 and Multicast are not in use and will not need to be configured. • All applications run natively on TPC/IP. • All fiber and copper patch cables will be provided by the customer. • The Ethernet copper and fiber cabling are within the published guidelines and do not exceed the distant limitations.This cabling has been properly tested and has successfully passed. o All troubleshooting associated with the cabling will be handled by the Customer. Carousel will not be involved with the testing of the physical cabling plant. Staffing Carousel Industries will staff the project with the appropriate technical resources. A Carousel engineer specializing in Extreme will be assigned to this project. The engineer will be certified,skilled at and/or have access to technical information in the following areas: • Proficient with the Extreme's XOS operation system. • Access to Extreme Systems Engineers,Corporate Systems Engineers and TAC. • Access to Carousel's networking experts. In all cases,Carousel Industries will be responsible for the selection of suitable resources and reserves the right to allocate resources in a manner that allows for the most efficient completion of work.The customer shall provide the Carousel Industries representatives full and free access to the facilities and appropriate personnel.Failure to arrange suitable access to facilities or personnel necessary to conduct services on behalf of the customer shall result in billing for such services even if services are unable to be performed through no fault of Carousel Industries. Project Control To effectively determine the degree to which the project plan is being met,the Carousel Industries Project Manager will follow a plan to control and manage CUSTOMER's project through a communication plan,change control,and variance management. As part of the communication plan the Carousel Industries PM and CUSTOMER will jointly establish the time and frequency for status meetings(or conference calls),document meeting results,and distribute meeting notes,including action items. For effective scheduling and cost control,progress measurements will start as the project begins and continually utilized throughout to measure the performance of the customer's project. The project roadmap provides a baseline from which to judge progress,comparing planned activities,in-progress activities,and the actual completion of those activities. The PM will identify variances to plan and take action to correct or limit its impact on the project. Professional Services The Pricing of work to be performed limited to this Statement of Work. DISCUSSION: The Water Department has a previous relationship with Carousel Industries, Inc., from which it purchased maintenance and support of its Extreme Networks switches and routers in the amount of $32,063.43. It is recommended that Carousel Industries, Inc. also be utilized to implement the migration of the network equipment from the existing server space in City Hall, into the consolidated server room, by staging, configuring, and installing a new network core at the consolidated server room. The migration into the consolidated server room is made in support of the City's ESPC Phase 7 project, designed to reduce energy costs at City Hall. The migration occurs at milestones in the lifecycle of existing network equipment. PRICE ANALYSIS -The prices were obtained using General Services Administration (GSA) contract number GS-35F-0511T. The GSA contract offers fixed discounts for these services. Water Information Technology staff has reviewed the pricing and determined it to be fair and reasonable. COOPERATIVE PURCHASING - State law provides that a local government purchasing an item/service under a Cooperative Purchasing Agreement satisfies state laws requiring that the local government seek competitive bids for purchase of the item/service. GSA contracts have been competitively bid to increase and simplify the purchasing power of government entities. GSA is authorized to offer the cooperative purchasing program to state agencies, public institutions of higher learning, public school districts and local governments. ADMINISTRATIVE CHANGE ORDER -An administrative change order or increase may be made by the City Manager in an amount up to $50,000.00 and does not require specific City Council approval as long as sufficient funds have been appropriated. M/WBE OFFICE -A waiver of the goal for MBE/SBE subcontracting requirements was requested by the Department and approved by the M/WBE Office, in accordance with the M/WBE or BDE Ordinance, because the purchase of goods or services from source(s) where subcontracting or supplier opportunities exist is negligible. AGREEMENT TERMS - Upon City Council approval, this Agreement shall begin on March 1, 2015, and end on February 29, 2016. RENEWAL OPTIONS -This Agreement will need no renewals. FISCAL INFORMATION/CERTIFICATION: The Financial Management Services Director certifies that funds are available in the current operating budget, as appropriated, of the Water and Sewer Fund.
