FIRST AMENDMENT TO THE SECOND RENEWAL TO
CITY SECRETARY CONTRACT NO. 40164
This First Amendment to the Second Renewal to City Secretary Contract Number 40164
is by and between the City of Fort Worth ("City"), a home-rule municipality organized under the
laws of the State of Texas, acting by and through its duly authorized Assistant City Manager, and
Unified Fine Art Services, L.L.C. (the "Contractor").
WHEREAS, City and Contractor entered into an Agreement identified as Fort Worth
City Secretary Contract No. 40164 ("Agreement") for the provision of services for the purpose
of assisting with the care and maintenance of the Public Art Collection, the same being City
Secretary Contract ("CSC")No. 40164. along with seven addenda (CSC Nos. 40614-A1, 40614-
A2, 40614-A3, 40614-A4, 40614-A5, 40614-A6, 40614-A7, and two amendments (CSC no.
40164_1 A, 40614_A7AI, 40614_A7A2) (collectively, the "Agreement");
WHEREAS, the Contract provided for an initial three-year term and for the possibility of
three one-year renewals, at the sole discretion of the City;
WHEREAS, City agreed to pay the Contractor an amount of up to $24,999.00 on May 7,
2010 and amended that amount on February 15, 2012 to $49,999.00 for the initial three year
term;
WHEREAS, City has renewed the Contract twice (CSC numbers 40164-R1, 40164-R2);
WHEREAS, City anticipates that services provided under the Second Renewal will cause
expenditures to Contractor to exceed the total Fee amount allowed for in the Term of the
Renewal per the original agreement; and
WHEREAS, it is the collective desire of City and Contractor to amend the Agreement to
increase the fee for services provided in the Second Renewal.
NOW, THEREFORE, City and Contractor do covenant and agree as follows:
I.
Fort Worth City Secretary Contract No. 40164-R2 is hereby amended to be effective on
August 22, 2014 by:
mAdding the following sentence to the end of section one:

rn "In consideration of the Services to be performed by Contractor under this Second
m Renewal, City agrees to pay the Contractor an amount up to FORTY NINE
® THOUSAND AND NINETY-NINE DOLLARS AND NO CENTS ($49,999.00)
in accordance with the terms of Article 3 of the Agreement."

All other terms, provisions, conditions, covenants and recitals of said Agreement not expressly
amended herein shall remain in full force and effect.
