CONTRACT NO.
THIRD RENEWAL OF CITY SECRETARY CONTRACT NUMBER 40164, AS
PREVIOUSLY AMENDED AND ADDENDED,
PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF FORT WORTH AND UNIFIED FINE ARTS SERVICES, LLC
This THIRD RENEWAL OF CITY SECRETARY CONTRACT NO. 40164. as
previously renewed, amended, and addended ("Third Renewal"), is made and entered into by and
between the CITY OF FORT WORTH, a home-rule municipal corporation of the State of Texas,
acting by and through its duly authorized Assistant City Manager, and UNIFIED FINE ARTS
SERVICES, LLC, acting by and through Victor Bissonnette. its Member. The City has
designated the ARTS COUNCIL OF FORT WORTH & TARRANT COUNTY, INC., to
manage this Agreement on its behalf. The Contract Manager shall act through its designated
Public Art Collection Manager.
WHEREAS, the City is implementing the Fort Worth Public Art Program pursuant to the
Chapter 2, Section 2-56 through 2-61 of the Fort Worth Code of Ordinances to insure proper
stewardship of the City's public art collection,
WHEREAS, the City and Contractor entered into a Professional Services Agreement for
specific services for the purpose of assisting with the care and maintenance of the Public Art
Collection, the same being City Secretary Contract ("CSC") No. 40164, along with eight
addenda (CSC Nos. 40164-A 1, 40164-A2, 40164-A3, 40164-A4, 40164-A5, 40164-A6, 40164-
A7, 40164-A8), four amendments (CSC No. 40164-IA, 40164-R2A 1, 40164-A7A 1, and 40164-
A7A2), and two renewals (CSC 40164-R1 and CSC 40164-R2) (collectively, the "Agreement"),
WHEREAS, pursuant to the Agreement, Contractor has agreed to perform services for
the City on an as-needed basis through individual addenda;
WHEREAS, the Contract provides for an initial three-year term and for the possibility of
three one-year renewals, at the sole discretion of the City;
WHEREAS, the parties exercised the first renewal option, which expires on May 1,
2014, and a second renewal options, which expires on May 1, 2015:
M WHEREAS, the City and Contractor desire to continue this relationship by extending

M and renewing the Agreement for a third one-year renewal period effective beginning on May 2,

NOW, THEREFORE, City and Contractor do covenant and agree as follows:

The City and Contractor hereby agree to renew and extend the Agreement for a third one-
year renewal period, effective on May 2, 2015, and expiring on May 1. 2016 ("Third
Renewal Term").
2.
All terms and conditions of the Agreement shall remain in full force and effect during the
Third Renewal Term unless specifically amended herein.
3.
All terms in this Third Renewal that are capitalized but not defined shall have the
meanings assigned to them in the Agreement.
