AND The City of Fort Worth (Hereinafter referred to as "Contractor") Entered into this o�I 3fday of May 2015 I. That in consideration of the Contractor's promises to: (1) Render payment to Safe City Commission for a minimum of 60 participants at $100.00 each enrolled in the Policing in Our Schools course from August 4 — 5, 2015 at 1100 Hemphill, in the auditorium located in the Training Center at One Safe Place. II. The Safe City Commission, Inc. agrees to: (1) Administer the training course entitled Policing in Our Schools, which will be conducted from August 4 — 5, 2015 at 1100 Hemphill in the Auditorium located in the Training Center at One Safe Place. (2) Provide all course materials and handouts necessary for successful completion of the courses. (3) Provide certificates for all participants who attend the full 16 hours and successfully complete the course. (4) Provide TCLOSE report of training if available. III. Miscellaneous provisions and conditions: (1) Either party may terminate this contract at any time by giving written notice to the contractor or Safe City Commission at the following address: For Safe City Commission, Inc.: For Contractor: City of Fort Worth Brenda O'Quin James Rodriguez, Contract Manager 1100 Hemphill, 350 W. Belknap Street Fort Worth, Texas 76104 Fort Worth, Texas 76102 (5) This contract contains the entire agreement between the parties relating to the rights herein granted and the obligations herein assumed. Any oral representations or modifications concerning this instrument shall be of no force or effect excepting a subsequent modification in writing, signed by M the parties or their representative and attached hereto. C-) rn (6) This contract constitutes the only agreement of the parties and supersedes any prior understanding Z-: or written or oral agreements between the parties respecting the within subject matter. v z (7) This contract shall be construed under and in accordance with the laws of t all obligations of the parties. If any action, whether real or asserted, at law occ ,Li�Z1�x6aRD Contract between Safe City Commission and City of Fort Worth-2015,Page 1 of 2 CITY SECRETARY FT.WORTH,TX on the basis of this contract, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas, Fort Worth Division. (8) It is expressly understood and agreed in that the execution of this contract, neither parry waives or shall be deemed hereby to waive immunity. The parties agree that nothing in the contract waives any immunity, protection, right, limitation or cap on damages, as recognized in the Texas Tort Claims Act as to either of the parties, or as to any third party. (6) Each party shall operate hereunder as an independent contractor and not as an officer, agent, servant or employee of the other party. (7) Safe City Commission agrees that the Contractor shall, until the expiration of three (3) years after final payment under this contract, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records of the Safe City Commission involving transactions relating to this contract at no additional cost to the Contractor. The Safe City Commission agrees that the Contractor shall have access during normal working hours to all necessary Safe City Commission facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. The Contractor shall give the Safe City Commission reasonable advance notice of intended audits. (8) No waiver by the parties hereto of any default or breach or the failure to insist upon the performance of any term, condition, provisions or covenant of this contract shall be deemed to be a waiver or relinquishment to any extent of any other breach of the same or any other term, condition, provision, or covenant herein or the right of the parties to asset or rely upon any such term. (9) The undersigned officers and/or agents of the parties hereto are the properly authorized officials and have the necessary authority to execute this contract on behalf of the parties hereto.
