THIS CONTRACT AND AGREEMENT made and entered into thi4-- 1971,
by and between the City of Fort Worth , a municipal corporate n locat d in Tarrant
County, Texas, acting by and through its duly authorized City Manager, R. N. Line, and
the City of Westworth Village, a municipal corporation located in Tarrant County,
Texas, acting by and through its duly authorized Mayor, L. G. Worthington.
W I T N E S S E T H:
WHEREAS, the City of Fort Worth has built or caused to be built and maintains
a sanitary sewerage system including interceptor or collector lines, mains, submains,
laterals, sewage treatment facilities and other appurtenances for the purpose of col-
lecting sewage and other acceptable wastes and transporting same to places of treat-
ment and disposal; and,
WHEREAS, the City of Westworth Village is served by a sanitary sewage collec-
tion system within the limits of its own municipality; and,
WHEREAS, the City of Westworth Village desires to provide for connection of
the sanitary sewerage system within its limits to that of the City of Fort Worth
at a point or points on the West Fork Collector Sewer Main of the City of Fort Worth;
and,
WHEREAS, the City of Fort Worth, for and in consideration of the performance of
the covenants and agreements hereinafter contained, will accept sewage from the lines
serving the City of Westworth Village into its own sewer lines at point or points
mutually agreed upon, and to transport and treat said sewage in the same manner that
sewage from within the limits of the City of Fort Worth is transported and treated,
NOW THEREFORE
KNOW ALL MEN BY THESE PRESENTS:
That for and in consideration of the execution and performance of the mutual
covenants herein set forth, the City of Fort Worth and the City of Westworth Village
do hereby covenant and agree as follows:
1.
TERMS AND CONDITIONS
a. The City of Fort Worth hereby grants to the City of Westworth Village the
right to connect the sanitary sewerage system serving the City of Westworth Village
to the West Fork Collector Sewer Main of the City of Fort Worth, conditioned upon
the plumbing facilities of each residential, commercial and industrial connection
to the sewerage systftm in the City of Westworth Village served under the terms of
this contract conforming to and being in compliance with standards equal to or better
than applicable ordinances governing similar connections within the corporate limits
of the City of Fort Worth.
b. Any lateral sewer, main or submain serving two or more units of any classifi-
cation of customer, and which is connected directly or ultimately with the sanitary
sewers of the City of Fort Worth, shall be designed by and construction supervised by
licensed professional engineers. Prior to the construction by the City of Westworth
Village of any lateral sewer, main, or submain which is to be connected directly or
indirectly to the Fort Worth Sanitary Sewerage System, two (2) complete sets of con-
struction plans and specifications for such proposed facilities shall be submitted
to the Director of the Water Department of the City of Fort Worth for approval, said
plans to include plans and profile drawings, locations, grades, pipe sizes, details,
etc. , for each of the proposed facilities.
The Director of the Water Department shall review, or cause to be reviewed, the
plans and specifications submitted and shall approve same by affixing .his signature
to the plans, provided the standards of construction are not less than the standards
for construction of similar sanitary sewerage facilities by the City of Fort Worth.
The Director of the Water Department will return one (1) approved set of plans and
specifications to the City of Westworth Village.
The City of Weswerth Village specifically agrees to inform the City of Fort
Worth when such co6struet-1-6n is to start and the City of Fort Worth shall have the
right to make inspections while such construction is in progress and to require
compliance with the approved plans and specifications.
C. The City of Westworth Village will not make or cause to be made, any
extension of sewer lines within the extraterritorial jurisdiction of the City of
Fort Worth without the approval of the City of Fort Worth, In the event the City
of Fort Worth agrees to any extension by the City of Westwortth Village or its agent
any sanitary sewer service within the extraterritorial jurisdiction of the City of
Fort Worth, such extensions shall be of sufficient size and capacity to serve the
drainage area involved, and the rates to be charged its customers by the City of
Westworth Village and the compensation to be paid by it to the City of Fort Worth
shall be determined and fixed at the time such action is taken, and further, it is
contemplated that the cost of the extensions within the extraterritorial jurisdiction
of the City of Fort Worth shall be proportioned between the parties hereto in accord-
ance with the capacity requirements of each.
The City of Westworth Village shall not make a smaller monthly sanitary sewer
service charge for any connection to its sanitary sewerage system than is made by the
City of Fort Worth -for a similar connection within the Fort Worth city limits.
2.
MAINTENANCE OF SANITARY SEWERAGE SYSTEMS
All sanitary sewers, laterals, mains, submains and appurtanances owned by or
acquired by the City of Westworth Village or by its agent, shall be properly main-
tained in good condition by the City of Westworth Village or its agent, and the

City of Fort Worth shall not have any responsibility or liability now or ever for
the operation"'•or maintenance of said sewers.
All sanitary sewers, laterals, submains, mains , and appurtenances owned by or
acquired by the City of Fort Worth shall be properly maintained in good condition by
the City of Fort Worth, and the City of Westworth Village shall not have any responsi-
bility or liability now or ever for the operation or maintenance of same.
3.
RATES
1. RATE TO BE USED
The charge rate to be applied under the terms of this contract is the charge rate
per residential connection per month and/or the charge per 1,000 gallons of metered
sewage. It is intended that the charge rate per connection per month will be applied
to determine the monthly charge to be paid by the City of Westworth Village. However,
if at any .time the sewage flow generated by one or more areas in the City of Westworth
Village and served by a sewer main which is connected to the Fort Worth Sewer System
is, in the judgment of the Director of the Fort Worth Water Department, insufficient
to be accurately measured by the per connection charge method, it is agreed that the
charge for sanitary sewer service for such areas shall be paid on a per 1,000 gallons
of metered sewage basis. In all cases an approved metering station shall be included
as part of any connection to be made directly to the Fort Worth sanitary sewerage
system.
2. CHARGE RATE COMPOSITION AND OTHER CHARGES
If the charge rate during the initial period of this contract, which will ter-
minate September 30, 1973, is -to be on a per connection basis, the charge rate per
residential connection shall be $1.044. The charge rate per commercial connection
shall be computed as hereinafter described.
If the charge rate during this initial period is to be on a metered sewage
basis, the charge rate per 1,000 gallons sewage received into the City of Fort
Worth sanitary sewerage system from City of Westworth Village shall be $0.0994.

b. When the payment is computed on a per connection basis, the charge rate per
residential connection of City of Westworth Village shall be $1.044 per month, and
the charge rate for each commercial connection shall be equal to the gallons of water
consumed per month by the commercial customer divided by 10,500 gallons multi-
plied by $1.044. The charge rate for each commercial connection shall not be less
than the residential charge rate.
C. The service charge shall be $25.00 per month for billing on a connection
basis, plus $25.00 per month per metering station in use for billing purposes, if
any. The meter service charge includes the costs of billing, meter reading, charts
and routine minor maintenance of metering equipment. Cost of electric power and/or
telephone lines, and costs of major repairs to the metering station, including the
costs of materials,, parts, labor and equipment costs, shall be paid by the City of
Westworth Village in� addition to the $25.00 meter service charge, and these costs
shall be. paid by the City of Westworth Village whether or not the metering stations
monitoring sewage flows from the City of Westworth Village are being used for billing
purposes.
d. If during any month in a given calendar year the monitored sewage load con-
tributed by the City of Westwor�h Village exceeds 3,100 gpc, a surcharge factor shall
be applied to the total monthly sewer service charge computed under a, b, and c as
follows:

This surcharge shall be applied beginning with the first month of the calendar year
following the calendar year in which the excess flow rate occurs and shall be based
on the highest excess flow rate measure in that year. It shall continue in effect
until the end of the calendar year in which it is applied.
3. ADJUSTMENT OF CHARGE RATE
The charge rate shall be reviewed and adjusted every five years. The first
such review shall be based on the annual costs of operation for the fiscal year
1972-73. Cost trends including the average rate of increase or decrease in the
annual cost of operation shall be projected to determine a fair adjusted charge
rate and meter service charge. The adjusted rate shall be made effective October 1,
1973. A similar review and rate adjustment shall be made for each succeeding five-
year period for the term of the contract.
The adjusted charge rate for transporting and treating sewage from the City of
Westworth Village shall be determined in the following manner:
a. The portion of the charge rate relating to rental charge for transporting
facilities is $0.0362 per 1,000 gallons. This portion of the charge rate shall be
subject to adjustment
b. The adjustment of the rental charge can be made based on a rate study pre-
pared by a firm of- rate consultants.
c. The portion of the charge rate relating to rental charge for treatment
facilities shall vary as the product of 0.0254 multiplied by the result obtained

by dividing the average construction cost per million gallons of sewage treatment
capacity at the Fort Worth Village Creek Sewage Treatment Plant in existence at
the time of such recomputation by $163,400.00. The average construction cost is
defined as the total final cost for all existing facilities at the Fort Worth
Village Creek Sanitary Sewage Treatment Plant at the time of such recomputation
divided by the total capacity in millions of gallons per day of such existing
facilities in use at the time of recomputation. ($163,400.00 is to be taken as the
average construction cost per million gallons per day of treatment capacity in use
at the time of execution of this contract.)
d. The portion of the -charge rate relating to sewage treatment plants operating
and maintenance costs shall vary as the product of $0.0365 multiplied by the result
obtained by dividing the combined total costs of operating and maintaining all City
of Fort Worth Sewage Treatment Plants per million gallons of sewage treated in such
plants , less net revenues from the sale of any sewage,:e€fluent, during the fiscal
year most recent to the time of such recomputation, adjusted to reflect anticipated
trends in such costs over the five years to be governed by the recomputed charge
rate, by $35.48. (The $35.48 amount was the cost ,per million gallons sewage treated
during the fiscal year 1967-68 for operation and maintenance of all City of Fort Worth
Sewage Treatment facilities. )
e. The portion of the charge rate relating to transporting facilities mainte-
nance cost shall vary as the product of $0.0013 multiplied by the result obtained
by dividing the average expenditure per mile of sanitary sewer in the Fort Worth
sanitary sewage collection system for maintenance of that system during the fiscal
year most recent to the time of such recomputation, adjusted to reflect anticipated
trends in such costs over the five years to be governed by the recomputed charge
rate, by $423. 60. (The $423.60 amount was the average cost per mile of sewer in the
Fort Worth sewage collection system during the fiscal year 1967-68 for maintenance
of that system. )
f. The revised charge rate shall be taken as the sum of the constant set forth
in a. above added to the results of the computation described in b. , c. , and d. above.
g. When the payment is based on a per connection charge, the adjusted charge
rate shall be taken as the product of the sum obtained under (e) above multiplied
by 10.5.
4.
PAYMENT FOR SANITARY SEWER SERVICE
Payment of charges to the City of Fort Worth for sanitary sewer services used
by the City of Westworth Village shall be made as follows :
a. The City of Westworth Village shall remit to the City of Fort Worth at the
end of each monthly billing period:
1. The service charge of $25.00 per month for billing on a per connection
basis.
2. The sum of money obtained by multiplying $1.044 times the total number
of residential customers plus the computed charge for commercial cus-
tomers discharging sewage into the City of Fort Worth sewerage system
through unmetered connection.

3. The costs incurred by the City of Fort Worth in sampling and analyzing
the sewage produced by industries connected to the sanitary sewers
serving the City of Westworth Village.
b. The billing period shall be either the calendar month or a 30-day period.
Initially the billing period shall be the calendar month. The City of Westworth
Village shall make payment of the charges to the City of Fort Worth within 10 days
following each such period.
The billing period and the payment date may be changed by written agreement by
the Director of the Fort Worth Water Department and the Mayor of the City of West-
worth Village.
C. Records Available: The City of Westworth Village agrees to furnish a
current statement each month showing the number and types of sewer connections to
the sanitary sewerage system serving its citizens for said preceding month, and
further agrees to permit the City of Fort Worth, at reasonable times, to examine
the water and sewer records and customer accounts of the City of Westworth Village.
d. When billing is made on the basis of the charge rate per 1,000 gallons of
sewage handled: The City of Fort Worth shall bill the City of Westworth Village at
each billing date for services rendered during the billing period preceding such
billing date an amount equal to the sum of:
1. The meter service charge of $25.00 per metering station used, plus
metering station repair costs incurred by the City during the billing
period.
2. The sum of money obtained by multiplying by the then appropriate charge
rate per 1,000 gallons the total number of thousands of gallons of sewage
flowing from the sewerage system serving the City of Westworth Village,
into the Fort Worth sanitary sewerage system during the billing period.
3. The cost incurred by the City of Fort Worth in sampling and analyzing
the sewage produced by industries connected to the sanitary sewerage
system serving the City of Westworth Village.
5.
METERING STATIONS
The construction of metering stations may be made by the City of Fort Worth or
by the City of Westworth Village, or its agent, but all construction costs, including
meter, recording and transmitting devides and the site acquisition, will be an expense
of the City of Westworth Village, Each metering station shall be equipped at the City
of Westworth Village expense, with an electrically operated flow recorder equipped to
totalize and transmit data to the Village Creek Plant, and it is further agreed that
equipment as may be required by the City of Fort Worth to adequately measure, record
and monitor sewage flows. The City of Fort Worth shall operate and maintain the in-
stalled sewage flow metering stations in good order at all times and record the total
volume of sanitary sewage delivered into the Fort Worth sanitary sewerage system during
each subsequent billing period. Metering stations shall be accessibly located. Both
parties have the right to observe performance of metering devices at any time. Both

the City of Fort Worth and the City of Westworth Village shall have the right to test
any metering station at any time by first giving the other party notice of its inten-
tion to make such a test and therefore give reasonable opportunity to the other party
to have representatives participate in such test. Should any malfunction be observed at
any time, it shall be the duty of each party immediately to notify the other, and cor-
rection of such malfunction shall be made promptly by the City of Fort Worth. When
any metering station is in need of major repairs, such as the replacement of major
equipment components or conversion to different types of measuring device, the City of
Westworth Village shall be consulted prior to the beginning of such repairs or modifi-
cations.
6.
INDUSTRIAL CONNECTIONS AND WASTES
No person, firm or corporation operating or maintaining ally commercial manufactur-
ing or industrial establishment discharging into the sewers any "industrial waste," as
defined in the Code of the City of Fort Worth and amendments thereto, shall have the
right hereunder to connect, directly or indirectly, to the sanitary sewerage system
of the City of Fort Worth unless prior approval is granted by the Director of the Fort
Worth Water Department; and it is understood that no such approval shall be granted
unless the quality of the waste to be introduced is controlled in compliance with the
peptinent ordinances, rules and/or regulations of the City of Fort Worth governing such
industrial wastes. All provisions and terms relating to industrial wastes and industrial
connections contained in said City Code and amendments thereto are referred to and
incorporated herein the same as if set out verbatim.
The City of Westworth Village agrees to cooperate with the City of Fort Worth in
inspecting industrial wastes produced by all industries connected to the sanitary sewer
system serving the City of Westworth Village in order to determine the quality of
sewage introduced into that sanitary sewer system by such industries. The City of
Westworth Village agrees, at any or all reasonable times requested by Fort Worth, to
permit an authorized City of Fort Worth inspector to participate in such inspections.
Such inspections may include, but will not be limited to, sampling the sewage produced
by industries connected to the sanitary sewer system serving the City of Westworth
Village.
Further, the quality of the sewage delivered into the Fort Worth Sanitary
Sewerage System from the sanitary sewerage system serving the City of Westworth Village
shall be equal to or better than the quality standards established by current or
future ordinances of the City of Fort Worth regulating industrial wastes to be injected
into the Fort Worth sanitary sewerage system from connections within corporate boun-
daries of the City of Fort Worth, and the City of Westworth Village covenants and agrees
to be liable for and assume the same penalties for violation of such quality standards
applicable to a producer of industrial wastes located within the corporate boundaries
of the City of Fort Worth.
7.
REGIONAL AUTHORITY
If the City of Fort Worth should elect at some future time to be designated as a
regional authority or agency, by a duly authorized regulatory body, or if the City
assumes the responsibility as a regional authority, or if the City should elect to
contract with a regional authority to provide all or a part of the services covered by
this agreement, it is agreed that the terms of this contract shall be modified to con-
form with the requirements of the regional authority and that the charges paid by
the City of Westworth Village to the City of Fort Worth for services to be performed
by the regional authority shall not be less than the charges paid by the City of
Fort Worth to the regional authority for such services.

8.
LIFE OF CONTRACT
The life of this contract shall be thirty-three (33) years from the date of its
execution, and thereafter shall be subject to renegotiation between the parties hereto.
It is contemplated by the parties hereto that the basis for renegotiation for
this agreement upon its expiration will have as its object computing a fair charge
for services that recovers all costs direct and indirect that might be incurred by
the City of Fort Worth in providing such services.
9.
EFFECTIVE DATE FOR BILLING
The effective date of this contract for billing purposes shall be the first
day of the month following the month during which the first introduction of sewage
into the City of Fort Worth's system under the terms of this agreement occurs.
10.
The City of Fort Worth and the City of Westworth Village each binds itself, its
successors and assigns , to the other party to this agreement and to the successors
and assigns of each other party with respect to all covenants contained in this
agreement. Neither party hereto shall assign, sublet or transfer any rights here-
under without the written consent of the other party.
IN TESTIMONY WHEREOF, after proper action by the respective governing bodies
of the parties hereto, we have caused these presents to be executed in quadruplicate
copies, each of which is considered to be an original, and the seals of the respect-
ive parties are hereto affixed on the date hereinabove set forth.

Sewer Service
On February 18, 1953, the City Council authorized water service to be fur-
nished a housing development being constructed by Seward and Shurtleff,
developer, in the City of Westworth Village on the unit billing basis with
sanitary sewer service to be furnished at 80(,, per residential customer per
month. The City has been selling water to the Westworth Water Company based
on this agreement, and charges have been increased proportionately as Fort
Worth's rates have changed.
The Westworth Water Company has approximately 450 customers connected to its
water and sewer mains in Westworth Village. The Company has no facilities '
such as pumping stations or storage reservoirs. On June 25, 1966, the
attorney representing the Westworth Water Company requested the City of Fort
Worth to enter into long-term contracts with that company similar to the
contractual arrangements the City has with surrounding suburban communities,
for the purchase of treated water and sanitary sewer service.
The request was presented to the City Council on July 25, 1966, and the
Council indicated that it would not enter into a long-term water and sewer
service sales contract with a private water company. The Council indicated
its willingness to negotiate contracts with the City of Westworth Village.
On January 27, 1971, Mayor L. G. Worthington of Westworth Village requested
by letter to negotiate contracts between the Cities of Fort Worth and
Westworth Village and the Westworth Water Company for water and sanitary ,
sewer service.
On May 25, 1971, after several meetings, the drafts of the proposed contracts
between the two cities were delivered to the attorney representing Westworth
Village for review.
On December 15, 1971, Mayor Worthington met with the Water Director and
advised that the City of Westworth Village would purchase the water from the
City of Fort Worth and would establish the water and sewer rates for Westworth
Village customers. The Westworth Water Company will continue to operate ,the
systems. Mayor Worthington asked the Water Director to proceed with prepara-
tion of the contracts for consideration by the City Council of Westworth
Village. On December 20, 1971, the City Council of Westworth Village approved
the proposed contracts for water and sewer service.
Approval of the proposed long-term contracts will place the City of Westworth
Village on an equal basis with eleven other suburban City water customers
and thirteen suburban City sanitary sewer customers.

Water Contract
Summary of Contract Provisions
The proposed contract has been prepared in accordance with the standard policy
of the City of Fort Worth for the sale of treated water to neighboring com-
munities. The proposed contract includes the following major provisions :
Rates - The charges for water service are the same charges paid by other
City purchasers of treated water under long-term contracts and are based
on the following schedule:
Commodity Charge - 17.9c per 1000 gallons purchased. This amount
includes a raw water charge of 8�, per thousand
gallons. The City of Westworth Village is
located within the boundaries of the Tarrant
County Water Control and Improvement District
No. 1.
Cost of Facility
Charge - An annual charge of. $15 ,810 per M.G.D. for maxi-
mum day usage; and $7,070 per M.G.D. for maximum
hour usage in excess of maximum day usage.
Service Charge - $25 per month per meter, for meter reading,
billing and miscellaneous expense incurred with
metering operations.
Payment for Water - The City of Westworth Village agrees to purchase and
pay for all water distributed through facilities owned by the Westworth
Water Company. Monthly payments from the City of Westworth Village will be
computed based on the "DY1 Schedule. The "D" Schedule is the wholesale water
contract rate which is the City of Fort Worth rate plus 10 per cent of said
rate (which includes raw water costs) plus service charge, for the quantity
of water withdrawn from the Fort Worth System during the month.
The actual annual payment by the purchaser for water service is related to
the annual usage and peak volume used but cannot be less than the charge paid
for the equivalent amount used by a water consumer within the corporate limits
of Fort Worth plus 10 per cent plus a $25 monthly service charge per meter.
Rate Adjustments - The contract provides for rate adjustments based on actual
costs and rates of use, which will be reviewed at five-year intervals during
the contract time. The first such review and rate adjustment will be effec-
tive October 1, 1972. The amount charged for raw water shall be increased or
decreased proportionately when the raw water cost paid by the City of Fort
Worth for water available for treatment and sale to the City of Westworth
Village is increased or decreased. The term of the contract is 27 years .
Resale of Water - The City of Westworth Village agrees not to sell water
at a rate lower than the City of Fort Worth rate charged a similar customer
located within Fort Worth.

Meters - The master meter serving the City of Westworth Village will continue
to be located at its present location and will be equipped with flow recorder
and transmitting equipment for peak period recording purposes with such
facilities to be installed at no cost to the City of Fort Worth.
Sanitary Sewer Contract
Summary of Contract Provisions - The proposed contract has been prepared in
accordance with the standard policy of the City of Fort Worth for the treatment
of sanitary sewage from neighboring communities. The proposed contract includes
the following provisions:
Rates - The rates charged the City of Westworth Village are based on the
complete cost of operation and maintenance and the pro rata capital cost of
Fort Worth facilities used in transporting and treating the City of Westworth
Village sewage, in accordance with the standard charge rate established by
the City Council for providing sanitary sewer service to neighboring communi-
ties. The charge rate is $1.04 per residential connection. The City of
Westworth Village will pay for sanitary sewer service on the "per connection"
basis. However, conversion to the meter basis of payment can be initiated by
either city, and any meters installed under terms of the agreement will be at
the expense of the City of Westworth Village.
The charge rate will be reviewed and adjusted every five years after the
first s-uch review. In order to conform with contracts of other cities , the
first review will be based on the annual charge of operations , fiscal year
1972-73. Cost trends , including average rate of increase or decrease in the
annual cost of operation will be projected to determine the fair adjusted
charge rate and metering service charge. The adjusted rate shall be made
effective October 1, 1973. A similar review and rate adjustment shall be
made for each succeeding five-year period for the time of the contract.
Industrial Wastes - Approval of connection, directly or indirectly to the
Fort Worth Sewer System must be obtained from the Director of the Fort Worth
Water Department before industrial wastes (as defined in City of Fort Worth
Industrial Waste Ordinances) may be discharged to the sewers. All provisions
and terms relating to industrial wastes and the industrial connections con-
tained in said city ordinances and amendments thereto are referred to and
incorporated herein as the same as set out before and are to be adhered to .
The sewage delivered to the Fort Worth Sanitary Sewage System from that, of the
City of Westworth Village shall be equal to or better than the quality
standards established by current or future ordinances of the City of Fort
Worth regulating industrial wastes.
Regional Authority - If the City of Fort Worth should elect at some future
time to be designated as a regional authority or agency by a duly authorized
regulatory body, or if the City assumes responsibility as a regional authority,
or if the City should elect to contract with a regional authority to provide
all or part of the services covered by this agreement, terms of the agreement
will be modified to conform with requirements of the regional authority and

charges paid by the City of Westworth Village to the City of Fort Worth for
services to be .performed by the regional authority shall not be less than
the charges paid by the City of Fort Worth to regional authority for such
services.
Term of Contract - The term of the contract is for 33 years.
Recommendation
It is recommended that the contracts to sell treated water and provide
sanitary sewer service to the City of Westworth Village be approved and that
the City Manager be authorized to execute the contracts on behalf of the City
of Fort Worth.
