THIS CONTRACT AND AG made and entered into this date by and between
the CITY OF DALTAS, Texas, a municipal corporation of Dallas County, Texas, and
the CITY OF FORT WORTH, Texas, a municipal'corporation of Tarrant County, Texas.,
hereinafter referred to as "Ci.tie s";, and TIPPETTS-ABBETT--McCARTIEl moSTRATTON.9 a
partnership organized under the laws of the State of Nev York, with offices
at 375 Park Avenue, New York, 22 New York, hereinafter referred to'as I`Engineers."
W I T N E S S E T H:
WHEMS, the-Ci.tie s have previously entered into a memorandum of under
standing that they would secure as promptly as possible, the services of a
completely independent airport consultant or engineer to study and then to
recommend to the Cities, the site, size and configuration of a regional airport
to be located between Dallas and Fort Forth, limited only to Dallas and Tarrant
Coimtie s north and south, in such a manner as to jointly serve the needs of both
Cities and limited only by the bounds of the Counties of Dallas and Tarrant; and
WHEREAS, the Engineers d.i.d by letter dated June 1.1,., 1.965, submit to the
Cities the qualifications of their firm to conduct the study and outlined the
scope of work that they anticipated would be necessary„ together with an estimate
of the engineering. fee; and
WREREASv the Cities have agreed to engage the services of the Engineers
and the Engineers have agreed to furnish such services upon the following terms
and conditions 3 to-wit
Z. SCOPE OF SERVICES TO BE PERFORM BY ENGINEERS:
In g eneral, the Engineers shah.. be, responsible for the selection of the

site, determination of the size and configuration of a regional airport to be
located in Dallas and f or Tarrant Counties., Texas, and it is anticipated that to
accomplish this study, the work will

roads, railroads, power lines, fences and the like which would

interfere vith the development of the proposed site, A schematic
arrangement would show the location of the airport in relation to
its tributary area, indicate the extent of the necessary land
required and would be checked with regard to obstructions and zoning
of the surrounding a xe a s e
The proposed arrangement would conform, to the standards and
requirements of the Civil Aeronautics Board for a Class T
International Airports
II-0 LOCATION:
The site gelected by the Engineers shall be in either Dallas or Tarrant
County or partially in each of said Counties, and shall be so located as to
serve each of said Cities*
III. TIM SCHEDJLDI
it is estimated by the Engineers that the time necessary to complete the
pre 3 J Linary study is approximately" sixty (60) days after the date of this contract,
but it is understood between the Parties that additional time may be necessary
to complete such study and recommendations, which additional time shall not
emceed one hundred twenty (1.20) days from the date of execution hereof*

and detailed supervision of the work shall be performed by a senior member

V. PRMnAINARY INFORMATION
The Cities agree to furnish to the Engineers any and all prel�.minary
information y
ation that the may have available to them, and shall assist the Engineers _
in securing any additional information that may be helpful in the completion of
the work. However, the Cities shall not be required to go to any additional
expense to procure an information that is not at this time available in -their
P y
f ile s or from their cooperating agencies.
VI. INDEOMUENT STUDY

of either of said Cities or of any individuals of said Cities.,

important in the selection of the regional airport to serve said Cities
VII, REPORTS:
(1) At the conclusion of the study, the Engineers sha ll. prepare a written

re ort fifty (50) copies of which shall. be furnished to each of said Cities,,
report,
This report shall include all recommendations made and any and all other considera-
tions that should be taken into account by the Cities in the location of the
regional po air rt, Including such maps as may be necessary to fully explain the
report and stating the 'basis for the recommendations
(2) The reports and information prepared by the Engineers shall be the
exclusive of the Cities and shall not be transmitted to any Other
properties
person or gr ou p of persons without the consent to said Cities, nor shall the
Engineers reveal any of the contents thereof exc(apt as and when directed by
the Cities*
VIII. CpMMSATION
(l)
The Cities shall compensate the Engineers in accordance with the -
f ol.l.oving: �'►
Payroll
(a) Costs of technical employees, consisting of engineers y
technicians and draftsmen, actuate engaged in the work. payroll
costs shall not include any amounts for clerical., stenographic or
general administrative costse
(b) An amount equal. to 100% of payroll costs for'overhead and net
fee.
(c) Any partner of Engineers shall be compensated at the flat rate
of Two Hundred Fifty Dollars ($250) per day while away from his
home office in connection with the Work or hearings related to the
project*
(d) Actual out.-of-pocket expenses incurred in performing the work,
including travel and living expenses, telephone toll calls, printing
and reproduction costs, and costs, at Engineers' standard rates,
for electronic computer and soils laboratory uses.
(e) Actual per diem fees of i.ndividugl outside consultants when engaged
up= the work.
(f) All actual, expenses and costs not referred to above, but necessarily
incurred in furtherance of the work, and which are authorized by the
Cities bef cre being incurred.
(2) The budget established by the Cities for payment of these items
in this Section, is Thirty Thousand Dollars ($30.,000-00)y to be paid Fifteen
Thousand Dollars ($151000.00) by each City, and. the Engineers agree not to exceed
this budget without written consent frm both Cities.
IX. LIABILITY
Engineers shall indemnify and hold the 'Cities and all of their officers,
agents, s er vant s and employees ha rmle s s f r cn any lo s s, damage, liability or
expense., on account of damage to property and. injuries., iaaclu.ding death, to all

s including employees of the Engineers, of•subcontractors, and. of all ether

persons performing any part of the work, which-may ari6e from any act or
negligence on the part of the Engineers or any breach of any of their obliga-
tions under the Agreement, and shall defend at their awn expense any suits or
other proceedings brought against the Cities and their officexsx agents, servants,
and employees, or any of them on account thereof, and pay all expenses and
satisfy all judgments which may be incurred by or rendered against.them. car any
of theca in connection therewith*

The Engineers shall effect and maintain the following owing insurance in con-
nection with the ,work, with not less than the f olloving limits:

This contract shall not be assignable in whole or in part without the consent
