HomeMy WebLinkAboutContract 29709-R1 City CONTRACT No. FIRST RENEWAL TO CITY SECRETARY CONTRACT NO. 29709 AN AGREEMENT WITH FORT WORTH YOUTH SOCCER ASSOCIATION,INC. THIS FIRST RENEWAL TO CITY SECRETARY CONTRACT NUMBER 29709 ("First Renewal"), as amended, is made and entered into by and between the City of Fort Worth, Texas, a home- rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized Assistant City Manager, and Fort Worth Youth Soccer Association, Inc., an unincorporated nonprofit association("Licensee"), acting by and through its duly authorized representative. WHEREAS, Licensee is an unincorporated nonprofit association that consists of three or more members joined by mutual consent for a common, nonprofit purpose, including the following: (1) to promote soccer in Fort Worth and surround areas; (2)to elevate the standards of integrity, honor, loyalty, courage, and courtesy among the youth of the community and all other participating in the game of soccer; and (3)to cultivate the spirit of brotherhood and good fellowship; WHEREAS, per Licensee's bylaws, it is empowered to exercise all rights and powers conferred by the laws of the State of Texas upon non-profit corporations, including those set forth in Chapter 252 of the Texas Business Code; WHEREAS,the Department of the Army is the owner of approximately 651.91 acres of land and water in the Benbrook Dam and Reservoir Area, more commonly known as Pecan Valley — Longhorn Park; WHEREAS, the City currently leases Pecan Valley—Longhorn Park from the Department of the Army, said contract recorded with the City Secretary as Contract Number 24843 and with the Army as DACW63-1-98-06699; WHEREAS, on February 2, 2004, the City granted a license to Licensee for the use of approximately 32 acres of Pecan Valley — Longhorn Park to operate, construct, and maintain a public recreational facility, said contract being City Secretary Contract Number 29709 ("Agreement") WHEREAS, the primary term of the Agreement was for ten (10) years, and included one renewal term of ten (10)years; WHEREAS, the parties desire to exercise the ten year renewal option; and NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the City and the Licensee do mutually covenant and agree to renew and extend the Agreement as follows: I. The City and Licensee hereby agree to renew and extend the Agreement for ten (10) additional years, effective beginning on March 31, 2014 and expiring on March 30, 2024. All terms and conditions of the Agreement that are not expressly amended pursuant to this First Renewal shall remain in full force and effect. III. All terms in this First Renewal that are capitalized but not defined shall have the meanings assigned to them in the Agreement.
