AMENDMENT NO. 1 TO CITY SECRETARY CONTRACT NO. 47494 CONTRACT FOR SERVICES BETWEEN THE CITY OF FORT WORTH AND BARBIZON LIGHT OF THE ROCKIES,INC. DB/A/BARBIZON LIGHT OF TEXAS This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a home rule municipal corporation organized under the laws of the State of Texas, with its principal place of business at 1000 Throckmorton Street, Fort Worth, Texas, and Barbizon Light of the Rockies, Inc. d/b/a/Barbizon Light of Texas (hereafter"Contractor"), a corporation. WHEREAS, the parties have previously entered into City of Fort Worth City Secretary Contract No. 47494 (the "Contract"), which was executed on February 3, 2016; and WHEREAS, the Contract involves purchase and installation of a theatrical lighting system for the Dorothea Leonhardt Lecture Hall ("Lecture Hall") in the Fort Worth Botanic Garden in accordance with the specifications outlined in RFP 15-0216 Theatrical Lighting System Upgrade attached to the original Contract as Exhibit"A"; and WHEREAS,the original term of the Contract expires on February 29, 2016; and WHEREAS, the Contractor requires additional time to complete the installation and training due to previously scheduled events at the Lecture Hall; and WHEREAS, the City and Contractor now wish to amend the original Contract to extend the expiration date to April 30, 2016 with one additional 30 day renewal term in order to allow complete installation of the upgraded lighting system and training of staff. NOW, THEREFORE, City and Contractor, acting herein by and through their duly authorized representatives, enter into the following agreement to amend the contract: FFICIAIL RECORD CITY SECRETARY FT. WORTH, TX 1. Section 2 of the Contract shall be amended to read as follows: Section 2. Contract Term. The Work required under this Agreement shall begin no later than February 3, 2016 and shall be completed no later than April 30, 2016. Thereafter, City and Contractor may further extend the term of this Agreement for one renewal period of an additional 30 days, a renewal term, if agreed to in writing by both parties. However, any extensions or renewals of the term shall not require nor allow an increase of Contractor's Fee under the Contract.Time is of the essence for this Agreement. 2. Adopt the attached appropriation ordinance increasing receipts and appropriations in the Special Purpose Fund - Botanic Garden Project in the amount of$125,870.00; and 2. Authorize purchase with Barbizon Light of the Rockies, Inc., d/b/a Barbizon Light of Texas, in the amount of$125,870.00 for the installation of a theatrical lighting system for the Botanic Garden. DISCUSSION: The Park and Recreation Department(PRD)will use this purchase authority to acquire an up-to-date theatrical lighting system in the Dorothea Leonhardt Lecture Hall at the Botanic Garden. The existing lighting system was installed when the building was built in 1987 and has reached the end of its useful life. The Request for Proposals (RFP) included specifications describing the type of equipment to be purchased, installation, training for employees to use equipment, warranty and service. Proposal evaluation factors included price, stability of proposing company, qualifications and completeness of proposal. PRD certifies the proposal from Barbizon Light of the Rockies, Inc., d/b/a Barbizon Light of Texas, presents the best value to the City as best evaluated theatrical lighting system offered. RFP ADVERTISEMENT-This Request for Proposals (RFP)was advertised in the Fort Worth Star- Telegram on June 17, 2015, June 24, 2015, July 1, 2015, July 8, 2015, July 15, 2015 and July 22, 2015. A total of 13 bidders were notified; 2 responses were received. PRICE ANALYSIS—The City of Fort Worth has no history in the purchase of theatrical lighting. Purchasing and the Park and Recreation Department reviewed and concluded pricing is fair and reasonable based on the proposals received. M/WBE OFFICE -A waiver of the goal for MBE/SBE for subcontracting requirements was requested by the Purchasing Division and approved by the M/WBE Office, in accordance with BDE Ordinance, because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. The Botanic Garden is located in COUNCIL DISTRICT 7 and serves All Fort Worth Residents and Visitors. FISCAL INFORMATION/CERTIFICATION: The approval of this action provides purchasing authority in the amount up to $125,870.00, as specified. The Director of Finance certifies that, upon approval of this appropriation ordinance, funds are available in the current operating budget, of the Special Purpose Fund and that prior to an expenditure being made, the Park and Recreation Department has the responsibility to validate the availability of funds.
