COUNTIES OF TARRANT, § DENTON, PARKER AND WISE § FIRST AMENDMENT TO CITY SECRETARY CONTRACT NO. 47614 WITH ARCADIS U.S., INC. This First Amendment ("Amendment") is entered into by and between the City of Fort Worth ("City"),a home-rule municipality in the State of Texas,acting through,its duly authorized Assistant City Manager,Jesus J.Chapa,(City)and Arcadis U.S.,Inc.,acting through its duly authorized Vice President, Jennifer Ivey, ("Consultant"). WHEREAS,the City and Consultant entered into that certain agreement identified as City Secretary Contract No. 476144 for professional services in assisting the City in performing a Wholesale Wastewater Cost of Service and Rate Study to assist the City in establishing appropriate rates for service(the"Contract"); and WHEREAS,in addition to the Cost of Service Study for wholesale wastewater customers,the City would also like to update its study on rates charged to outside City customers; and WHEREAS,the Consultant has agreed to provide this service under the same terms and conditions as stated in the Contract. NOW,THEREFORE,for and in consideration of the mutual covenants contained herein,and other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged and confessed, the parties hereto agree as follows: I. OUTSIDE CITY RATES STUDY Pursuant to the schedule establish in Section 2 of the Contract, Consultant shall: 1. Review the previous outside city rate study completed by Black &Veatch in 2004; 2. Determine the City's retail revenue requirements; 3. Determine the allocation of operation and maintenance expenses to functional categories, cost components, and customer classes; 4. Calculate the unit costs to provide water and wastewater service for each customer class and subsequent outside city differentials; and 5. Prepare a technical memorandum summarizing study assumptions, findings and recommendations. II. COMPENSATION: Compensation to the Consultant for the performance of such cost of service study shall not exceed$14, 956. It is estimated the Consultant will need the following hours in labor at the rates listed: Project Manager 12hours at $275 an hour 01 9 - -OFFICIAI-RECORD G1j4F ALI CITY SECRETARY FT�WORTH,TX Senior Technical Advisor 24 hours at$275 an hour Financial Consultant 32 hours at$158 an hour Consultant shall comply with Section 4 of the Contract for payment. III.Other Terms and Conditions. All other terms and conditions of the Contract remain in full force and effect, except that if there is a conflict between the Contract and this Amendment, the Contract shall control. IV.Counterparts. This Amendment may be executed in counterparts(but all counterparts,taken together,shall constitute only one agreement) and facsimile or electronic copies of signatures shall be treated as originals for all purposes.
