AMENDMENT No.1
TO CITY SECRETARY CONTRACT No.
WHEREAS, the City of Fort Worth (CITY) and Baird, Hampton & Brown,
Inc. , (ENGINEER) made and entered into City Secretary Contract No . 45844,
(the CONTRACT) which was authorized by M&C C-26833 on the 10th day of June,
2014 in the amount of $1, 000, 000 . 00; and
WHEREAS, the CONTRACT involves engineering services for the following
project:
North Riverside Drive from North Tarrant Parkway to Old Denton Road;
and
WHEREAS, it has become necessary to execute Amendment No. 1 to the
CONTRACT to include an increased scope of work and revised fee.
NOW THEREFORE, CITY and ENGINEER, acting herein by and through their
duly authorized representatives, enter into the following agreement, which
amends the CONTRACT:

Article I of the CONTRACT is amended to include the additional
engineering services specified in the proposals dated January 19th and
February 26, 2016, a copy of which are attached hereto and incorporated
herein. The cost to City for the additional design services to be performed
by Engineer totals $392, 000. 00 . (See Attached Funding Breakdown Sheet, Page
-3-) .

Article II of the CONTRACT is amended to provide for an increase in
the fee to be paid to Engineer for all work and services performed under
the Contract, as amended, so that the total fee paid by the City for all
work and services shall be an amount of $1, 392, 000 . 00.

Mr. Weiss,
As requested,we've evaluated the additional time and effort required,to complete the referenced Task
Order within an expedited schedule. Our original project schedule provided for approximately five
months to complete the design and prepare the bid documents.The City requested schedule reduces
this time to two months; a significant acceleration to the schedule.
To meet this schedule we've added design staff to the project team and propose to work overtime...
there is no other way to complete this assignment within the desired schedule. We, BHB,seldom require
our staff to work a significant amount of overtime; and propose they be compensated for this
extraordinary effort.
The overall project scope and effort, as defined in Task Order#4, remain unchanged... and we only
request the not-to-exceed amount be increased to accommodate the cost premium associated with the
required overtime.This cost premium has been estimated as follows:

Specifically we request the not-to-exceed amount of$466,599 be increased by$22,620,to a total, not-
to-exceed amount,of$489,219 for this task order. We understand the schedule is critical, and we
propose to continue working on this project while our request is evaluated.

As requested,we've re-evaluated the time and effort required,to modify the substantially complete
(final) plans,specifications and estimates, and to incorporate the revised roadway cross-section. Our
scope of work and fee proposal is included herewith in the form of the City's standard Level of Effort
Spreadsheet,Task Order#4,and updated Project Schedule.
Specifically,the revision provides for a 24-ft wide parkway,a 16-ft median, an 8-to 10-ft space between
the multi-use trail and the curb line, relocation of the franchise utilities to within this space, and
installation of street lights within the median. See enclosed roadway cross-sections.
The enclosed scope of work also provides for updating of the previously completed SUE to document the
relocated franchise utilities—work which we believe will be underway shortly.This new SUE data will be
shown and noted on the plans as relocated utilities—the original location of these utilities will also be
shown.
We've coordinated with Storm Water Management(SWM)and have included the regrading and
reshaping of Victoria and Emerywood Channels.This additional SWM scope of work has been estimated
to cost a total of$780,000;see enclosed opinion of probable cost.
We understand the schedule is critical, and we propose to continue working on this project while you
review this request for Task Order#4.

ATTACHMENT "A Channel"
Scope for Engineering Desiqn Services for Channel Improvements—TASK ORDER#4
The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project. Under this scope, "ENGINEER"
is expanded to include any sub-consultant, including surveyor, employed or contracted by
the ENGINEER.
OBJECTIVE
The objective of this Task Order Agreement is to modify the substantially complete final
plans, specifications and estimates, and to incorporate changes to the roadway cross-
section. Specifically, the revision provides for a 24-ft wide parkway, a 16-ft median, an 8- to
10-ft space between the multi-use trail and the curb line, relocation of the franchise utilities
to within this space, and installation of street lights within the median. This revisions will be
performed consistently with the scope of work described in Task Order#3.
Furthermore, the agreement provides for the preparation of construction plans for dredging
and regrading of(Victoria Channel) the existing trapezoidal channel, from N. Riverside
eastward 625 linear feet, to (Emerywood Channel) an unnamed tributary to Big Fossil Creek
(BFC-2); and then south approximately 925 linear feet along said tributary. This Attachment
"A—Channel" is a supplement to Attachment "A" of Task Order#3 which provides for the
construction plans for North Riverside Drive, from North Tarrant Parkway to Old Denton
Road, as a four-lane divided arterial street, with two-lane roundabouts at Thompson Road
and Summerfields Boulevard.

TASK 1. DESIGN MANAGEMENT—N/A
TASK 2. CONCEPTUAL DESIGN (30 PERCENT).
The purpose of the conceptual design is for the ENGINEER to identify, develop,
communicate through the defined deliverables, and recommend the design concept that
successfully addresses the design problem, and to obtain the CITY's endorsement of this
concept. ENGINEER will utilize concepts and criteria contained in the current CITY— iSWM
Criteria Manual for Site Development and Construction for conceptual planning and design.
ENGINEER will develop the conceptual design of the infrastructure as follows.

2.1. Data Collection
• In addition to data obtained from the CITY, ENGINEER will research and make
efforts to obtain pertinent information to aid in coordination of the proposed
improvements with any planned future improvements that may influence the
project. ENGINEER will also identify and seek to obtain data for existing
conditions that may impact the project including; utilities, agencies (such as
TxDOT and railroads), CITY Master Plans, CITY drainage complaint files,
existing applicable drainage studies, FEMA floodplain and floodway maps,
existing models of project area (if any) and property ownership as available from
the Tax Assessor's office.
2.2. Drainage Computations
• ENGINEER will delineate the watershed based on contour data and field
verification and document existing street, right-of-way and storm drain capacities
for the subject site. A drainage area map will be drawn at maximum 1" = 200'
scale from available 2-foot contour data with the contours labeled. Data source
and year will be provided by the CITY. Calculations regarding channel capacities
and design discharge (100-year frequency) will be provided. Other frequencies
as required by iSWM criteria may be appropriate for outfalls and sensitive
locations. Capacities of existing storm drain will be calculated and shown. All
calculations shall conform to CITY criteria delineated in the current CITY iSWM
Criteria Manual for Site Development and Construction.
• The contributing drainage area is significant and the ENGINEER shall develop an
appropriate hydrologic model. At this time, the ENGINNEER anticipates
developing a HEC-HMS model with a modified hydrograph to better conform to
the previously completed rational method analyses.
• ENGINEER shall develop a hydraulic (HEC-RAS) model of the channel;
consisting of a segment of Victoria Channel (east-west reach) and Emerywood
Channel (north-south reach)
2.3. Subsurface Utility Engineering— N/A
2.4. The Conceptual Design Package shall include the following: N/A
TASK 3. PRELIMINARY DESIGN (60 PERCENT).
Preliminary plans shall be submitted to CITY per the approved Project Schedule.
ENGINEER will develop the preliminary design of the infrastructure as follows.
3.1. Development of Preliminary Design Drawings shall include the following:
• Drainage area maps showing proposed improvements with drainage calculations
and hydraulic computations in accordance with the current iSWM Criteria Manual
for Site Development and Construction.
• A Project Control Sheet, showing all Control Points, used or set while gathering
data. Generally on a scale of not less than 1:400. The following information shall
be indicated for each Control Point: Identified (existing City Monument#8901, PK
Nail, 5/8" Iron Rod); X, Y and Z Coordinates, in an identified coordinate system,
and a referred bearing base. Z coordinate on City Datum only; descriptive location

(i.e. set in the centerline of the inlet in the South curb line of North Side Drive at the
East end of radius at the Southeast corner of North Side Drive and North Main
Street).
• Overall project easement layout sheet(s).
• Preliminary iSWM Checklist in accordance with the current iSWM Criteria Manual
for Site Development and Construction
• Plan and profile drawings of proposed channel improvements, including existing
lot layout with property ownership, streets, curb lines, fences, existing utilities and
existing easements within the project limits.
• ENGINEER shall incorporate a single span pedestrian bridge to replace the
existing box-culvert pedestrian bridge located northeast of the N. Riverside
Elementary School.
• No less than two bench marks per channel plan/profile sheet.
• The ENGINEER will prepare standard and special detail sheets that are not
already included in the City's standard details. These may include connection
details between various parts of the project, tunneling details, boring and jacking
details, waterline relocations, details unique to the construction of the project,
trenchless details, and special service lateral reconnections.
ASSUMPTIONS
• All storm water calculations and design shall conform to the current CITY iSWM
Criteria Manual for Site Development and Construction.
• 4 borings at a bore depth of 10 to 30 feet will be provided; along with foundation
recommendation for the pedestrian bridge.
• 1 electronic copy of the geotechnical report will be delivered to the CITY.
• 1 full size 22"X34"electronic PDF set of plans will be delivered for Utility
Clearance.
• 2 full size 22"X34" plans will be delivered for Constructability Review.
• 2 half size 11"X17" drawings will be delivered for Preliminary Design.
• DWF files created from design CAD drawings will be uploaded to the designated
project folder in Buzzsaw.
• All submitted documents and checklists will also be uploaded to the designated
project folder in Buzzsaw.
ENGINEER shall not proceed with Final Design activities without written approval
by the CITY of the Preliminary Design plans.

TASK 4. FINAL DESIGN (90 PERCENT)AND FINAL CONSTRUCTION DOCUMENTS
(100 PERCENT).
Upon approval of the Preliminary plans, ENGINEER will prepare construction plans as
follows:
• Final draft construction plans and specifications included iSWM Construction Plan shall
be submitted to CITY per the approved Project Schedule.
• Final iSWM Checklist in accordance with the current CITY iSWM Criteria Manual for Site
Development and Construction.
• The ENGINEER shall submit a final design estimate of probable construction cost with
the final design plans submitted. This estimate shall use ONLY standard CITY bid items.
• Following a 90% construction plan review meeting with the CITY, the ENGINEER shall
submit Final Plans (100%) to the CITY per the approved Project Schedule. Each plan
sheet shall be stamped, dated, and signed by the ENGINEER registered in State of
Texas.
ASSUMPTIONS
• All storm water calculations and design shall conform to the current CITY iSWM Criteria
Manual for Site Development and Construction.
• All work is covered under the US COE Nationwide channel maintenance Permit, NWP
41, Reshaping of Existing Drainage Ditches, requiring a Pre-Construction Notification
only.
• 2 half size11"X17" and 1 full size 22"X34"drawings and 2 specifications will be delivered
for the 90% design.
• A DWF file for the 90% Design will be created from design CAD drawings and will be
uploaded to the project folder in Buzzsaw.
• 2 half sizel 1"X17" and 1 full size 22"X34" drawings and 2 specifications will be delivered
for the 100% design.
• A DWF file for the 100% Design will be created from design CAD drawings and will be
uploaded to the project folder in Buzzsaw.

COMPENSATION—TASK ORDER#4
Design Services for
N. RIVERSIDE DRIVE
N. Tarrant Parkway, south approximately one-mile to Old Denton Road
City Project No. 02272
I. Compensation
A. The ENGINEER shall be compensated for personnel time, non-labor expenses,
and subcontract expenses in performing services for Task Order No. 4 up to
$466,699.00, and shall be based on time and materials as summarized in Exhibit
B-1 —Engineer Invoice and Section IV—Summary of Total Project Fees. The total
lump sum fee shall be considered full compensation for the services described in
Attachment A, including all labor materials, supplies, and equipment necessary to
deliver the services.
B. The ENGINEER shall be paid monthly payments as described in Section II -
Method of Payment.
II. Method of Payment
A. Partial payment shall be made to the ENGINEER monthly upon City's approval of
an invoice prepared and submitted by the ENGINEER in the format and including
content as presented in Exhibit B-1, Progress Reports as required in item III of this
Attachment B, and Schedule as required in Attachment D to this Agreement.
B. The estimated current physical percent complete as required on the invoice shall
be calculated from the progress schedule as required in Attachment D to this
Standard Agreement and according to the current version of the City of Fort
Worth's Schedule Guidance Document.
C. The cumulative sum of such monthly partial fee payments shall not exceed the
total current project budget including all approved Amendments.
D. Each invoice shall be verified as to its accuracy and compliance with the terms of
this Agreement by an officer of the ENGINEER.
111. Progress Reports
A. The ENGINEER shall prepare and submit to the designated representative of the
Transportation and Public Works Department monthly progress reports and
schedules in the format required by the City.

Introduction
TRG will perform the SUE work required for this project in general accordance with the recommended
practices and procedures described in ASCE Publication CI/ASCE 38-02 (Standard Guideline for the
Collection and Depiction of Existing Subsurface Utility Data). As described in the mentioned ASCE
publication, four levels have been established to describe the quality of utility location and attribute
information used on plans. The four quality levels are as follows:
❑ Quality Level D(QL"D")—Information derived from existing records.
❑ Quality Level C(QL"C")-QL"D"information supplemented with information obtained by surveying
visible above-ground utility features(i.e. valves, hydrants, meters,manhole covers,etc.).
❑ Quality Level B(QL"B")—Two-dimensional (x,y) information obtained through the application and
interpretation of non-destructive surface geophysical methods. Also known as"designating"this quality level
provides the horizontal position of subsurface utilities within approximately one foot.
❑ Quality Level A(QL"A")—Also known as"locating",this quality level provides precise three dimensional
(x,y, z) information at critical locations by exposing specific utilities. Non-destructive vacuum excavation
equipment is used to expose the utilities at specific points which are then tied down by survey.
It is the responsibility of the SUE provider to perform due-diligence with regard to records research(QL"D")and
acquisition of available utility records. The due-diligence provided for this project will consist of visually
inspecting the work area for evidence of utilities, requesting records from utility owners identified within the
project limits, and reviewing utility record information available from ANA. Utilities that are not identified
through these efforts will be here forth referred to as"unknown"utilities. TRG personnel will scan the defined
work area using electronic prospecting equipment to search for"unknown"utilities. However, TRG makes no
guarantee that any"unknown"utility will be identified through the scanning process.

CLIENT SATISFACTION IS OUR BUSINESS
Scope of Work
Based on information provided by ANA, TRG has developed a preliminary scope for the SUE work required
for this project. The scope of work may be modified, with ANA's concurrence, during the performance of the
SUE fieldwork if warranted by actual field findings.
Tile scope of work includes Quality Level"B"only. QL"B"SUE will be performed along the alignment of
the newly adjusted utilities within the 5,400 LF of N. Riverside Drive project for the purpose of this proposal
We have three(3)utilities(1.5—telecommunication, 1 —gas, 0.5—miscellaneous)along the entire alignment.
Surveying required to tie in the SUE will be provided by TRG, using control provided by ANA.
Designating Procedures
Prior to beginning field designating activities,TRG's field manager will review the project scope of work and
available utility records. Once these initial reviews are complete, the field manager and technicians will begin
designating the approximate horizontal position of known subsurface utilities within the specified project
limits. A suite of geophysical equipment(electromagnetic induction, magnetic)will be used to designate
metallic/conductive utilities (e.g. steel pipe, electrical cable, telephone cable). Non-metallic/non-conductive
utilities will be designated using other proven methods,such as rodding,and probing. Where access is
available, a sonde will be inserted into the utility line(e.g. PVC gravity sewer pipe)to provide a medium for
signal transmission, which can then be designated using geophysical equipment.
Accurate collection and recording of designated utilities is a critical component of the SUE process.TRG has
developed a proven method of collecting and recording survey information once the utilities have been
designated in the field. Each utility will be labeled with a unique ID code. For example, if two buried electric
cables exist on the project, one will be labeled EI and the other E2. Paint and pin flags will be used to
designate the utilities in the field. A labeled pin flag or paint mark will be used to mark each location where a
survey shot is required. Shot points will typically be placed at 100-foot intervals on utilities running parallel to
the alignment and at 50-foot intervals on utility crossings. The locations will be numbered sequentially for
each individual utility line. For example, if there are 50 shots required on buried electric line E1, the points
will be numbered E1-1 through E1-50.
Preliminary field sketches depicting the designated utilities will be prepared for use during subsequent
surveying activities. These sketches will also be used to check the survey information for completeness and
accuracy.
Deliverables
TRG will produce a SUE file depicting the type and horizontal location of the designated utilities. TRG will
utilize its standard SUE line styles and symbology. Signed and sealed SUE plans will be prepared upon
request.
Schedule
TRG can commence work upon receipt of a notice to proceed(NTP)and utility adjustment plans. We
estimate that the field investigation and the required surveying can be completed in 3 work weeks(weather
permitting). We estimate that deliverables can be completed within 2 weeks after completion of field work.
Estimated Fees
TRG proposes to perform the above services on a unit price basis as detailed in the attached Table 1. Based on
the assumed quantities,the estimated cost of the work is Eighteen Thousand Four Hundred Fifty and
00/100 Dollars($18,450.00).

Stantec is looking forward to the opportunity to serve your traffic engineering needs. The following
details our proposal for your project and identifies the fee associated with the work.
Scope of Services
Stantec will provide traffic engineering services to Baird, Hampton, and Brown, Inc. (Client) as
detailed below. The scope is based on our understanding of what will be required by the City of
Fort Worth (City). It is assumed for this scope of work that the permanent traffic signal designs will
be developed using City of Fort Worth standards and specifications. Any change to the scope of
work based on additional requirements by the City or changes in the roadway geometry by the
Client may result in an increase in the fee associated with the project.
Prerequisites
1. Detailed,scaled survey base file containing existing and proposed edge of pavement, existing
and proposed underground and overhead utilities, existing and proposed drainage structures,
and other relevant survey data in CADD format.
Task p: Permanent Traffic Signal Modification
Stantec will design permanent modifications to one existing signal at the intersection of N. Tarrant
Parkway and Riverside Drive. The purpose of the signal modification is to account for the roadway
realignment that began after signal modification plans reached a 90%design effort.
After the base files with the new alignment have been received from the client, Stantec will
conduct a field review if necessary to verify signal pole locations for the signal modification.
Roadway and utility information will be verified during the field visit. The information verified will
include the lane configurations, any existing traffic control devices, and existing signal equipment.
Stantec may need access to the existing signal cabinet and pull boxes to field verify the
equipment and conduit fills.

Stantec engineers will meet with City engineers to discuss signal design requirements for the traffic
signal design based on the new alignment. This meeting will be scheduled to occur on the same
day as the field visit (if the field review is necessary).
Stantec engineers will use the proposed pavement base file provided by the Client to prepare
permanent signal design plans.
The designs will use standard signal poles to replace the ones required to be moved due to the
construction of the eastern leg of the intersection.
Once the signal design parameters have been discussed with the City and the Client, Stantec will
prepare proof Final plans for inclusion in the roadway design plays. The sheets will contain the
following sheets:
1. General Notes Sheets
2. Traffic Signal Layout Sheet
3. Traffic Signing Sheet
4. Charts and Details Sheets
5. TxDOT and/or City Standard Sheets
Stantec will submit the proof Final design package to the City for review. Once review comments
are received, a final signed and sealed design package will be prepared to address review
comments.A summary of quantities and engineer's opinion of probable cost will also be prepared
along with the final design package.
The design sheets will be printed on 11" x 17" size sheets of standard paper or delivered as
electronic PDF files.
Deliverables
1. Signed and Sealed Signal Modification Plans.
2. Specifications, Estimates, and bid documents necessary for the signal modification.
3. Record Drawings

The scope and fee do not include temporary signal design, traffic control plan design,
communication design, roadway design, signal warrant or other traffic analysis, signal timing,
roadway illumination beyond placing a luminaire on each pole, or meetings beyond what is
stated in the scope.

We assume that all review and approval authority for this project resides with the City of Fort
Worth. No coordination with TxDOT or any other agency is included.
No attendance at pre-bid meetings, bid openings, or pre-construction meetings is included in this
scope of services. It also does not include any review of contractor submittals. If needed, they
may be added at an additional hourly fee.
Schedule
We request 6 weeks to develop the initial signal design plans; however we will work with the Prime
firm to meet reasonable City deadlines.
Task A: Permanent Traffic Signal Modification $11,100 lump sum
Task B: hourly, plus expenses, as requested
Any tasks completed that are outside the above defined scope will be performed on an hourly
basis, and an upset limit will be established. The upset limit is the amount of money that may be
billed without further authorization and a best estimate of what is realistic to complete the task
with the information available. You may choose to authorize an increase should you feel that the
scope warrants a change.
This agreement is also subject to the Stantec Professional Services Terms and Conditions attached
to this proposal as Exhibit A.

The following Terms and Conditions are attached to and form part of a proposal for services to be performed by Consultant
and together,when the CLIENT authorizes Consultant to proceed with the services, constitute the AGREEMENT. Consultant
means the Stantec entity issuing the Proposal.
DESCRIPTION OF WORK: Consultant shall render the services described in the Proposal(hereinafter called the"SERVICES")to
the CLIENT.
DESCRIPTION OF CLIENT: The CLIENT confirms and agrees that the CLIENT has authority to enter into this AGREEMENT on its
own behalf and on behalf of all parties related to the CLIENT who may have an interest in the PROJECT.
TERMS AND CONDITIONS: No terms,conditions,understandings,or agreements purporting to modify or vary these Terms and
Conditions shall be binding unless hereafter made in writing and signed by the CLIENT and Consultant. In the event of any
conflict between the Proposal and these Terms and Conditions, these Terms and Conditions shall take precedence. This
AGREEMENT supercedes all previous agreements, arrangements or understandings between the parties whether written or
oral in connection with or incidental to the PROJECT
COMPENSATION: Payment is due to Consultant upon receipt of invoice. Failure to make any payment when due is a
material breach of this AGREEMENT and will entitle Consultant, at its option, to suspend or terminate this AGREEMENT and
the provision of the SERVICES. Interest will accrue on accounts overdue by 30 days at the lesser of 1.5 percent per month
(18 percent per annum) or the maximum legal rate of interest. Unless otherwise noted, the fees in this agreement do not
include any value added,sales,or other taxes that may be applied by Government on fees for services.Such taxes will be
added to all invoices as required.
NOTICES: Each party shall designate a representative who is authorized to act on behalf of that party.All notices,consents,
and approvals required to be given hereunder shall be in writing and shall be given to the representatives of each party.
TERMINATION: Either party may terminate the AGREEMENT without cause upon thirty (30) days notice in writing. If either
party breaches the AGREEMENT and fails to remedy such breach within seven (7) days of notice to do so by the non-
defaulting party, the non-defaulting party may immediately terminate the Agreement. Non-payment by the CLIENT of
Consultant's invoices within 30 days of Consultant rendering same is agreed to constitute a material breach and, upon
written notice as prescribed above,the duties,obligations and responsibilities of Consultant are terminated.On termination
by either party, the CLIENT shall forthwith pay Consultant all fees and charges for the SERVICES provided to the effective
date of termination.
ENVIRONMENTAL: Except as specifically described in this AGREEMENT,Consultant's field investigation,laboratory testing and
engineering recommendations will not address or evaluate pollution of soil or pollution of groundwater.
PROFESSIONAL RESPONSIBILITY: In performing the SERVICES, Consultant will provide and exercise the standard of care, skill
and diligence required by customarily accepted professional practices normally provided in the performance of the
SERVICES at the time and the location in which the SERVICES were performed.
LIMITATION OF LIABILITY: The CLIENT releases Consultant from any liability and agrees to defend, indemnify and hold
Consultant harmless from any and all claims, damages, losses, and/or expenses, direct and indirect, or consequential
damages,including but not limited to attorney's fees and charges and court and arbitration costs,arising out of,or claimed
to arise out of, the performance of the SERVICES, excepting liability arising from the sole negligence of Consultant. It is
further agreed that the total amount of all claims the CLIENT may have against Consultant under this AGREEMENT,including
but not limited to claims for negligence, negligent misrepresentation and/or breach of contract, shall be strictly limited to
the lesser of professional fees paid to Consultant for the SERVICES or $50,000.00. No claim may be brought against
Consultant more than two (2) years after the cause of action arose. As the CLIENT's sole and exclusive remedy under this
AGREEMENT any claim, demand or suit shall be directed and/or asserted only against Consultant and not against any of
Consultant's employees,officers or directors.
Consultant's liability with respect to any claims arising out of this AGREEMENT shall be absolutely limited to direct damages
arising out of the SERVICES and Consultant shall bear no liability whatsoever for any consequential loss, injury or damage
incurred by the CLIENT,including but not limited to claims for loss of use,loss of profits and/or loss of markets.
INDEMNITY FOR MOLD CLAIMS: It is understood by the parties that existing or constructed buildings may contain mold
substances that can present health hazards and result in bodily injury, property damage and/or necessary remedial
measures. If, during performance of the SERVICES, Consultant knowingly encounters any such substances, Consultant shall
notify the CLIENT and,without liability for consequential or any other damages, suspend performance of services until the
CLIENT retains a qualified specialist to abate and/or remove the mold substances.The CLIENT agrees to release and waive
all claims, including consequential damages, against Consultant, its subconsultants and their officers, directors and
employees arising from or in any way connected with the existence of mold on or about the project site whether during or
after completion of the SERVICES.The CLIENT further agrees to indemnify and hold Consultant harmless from and against all
claims,costs, liabilities and damages,including reasonable attorneys' fees and costs,arising in any way from the existence
of mold on the project site whether during or after completion of the SERVICES, except for those claims, liabilities, costs or
damages caused by the sole gross negligence and/or knowing or willful misconduct of Consultant. Consultant and the
CLIENT waive all rights against each other for mold damages to the extent that such damages sustained by either party are
covered by insurance.

DOCUMENTS: All of the documents prepared by or on behalf of Consultant in connection with the PROJECT are instruments
of service for the execution of the PROJECT. Consultant retains the property and copyright in these documents,whether the
PROJECT is executed or not. These documents may not be used for any other purpose without the prior written consent of
Consultant. In the event Consultant's documents are subsequently reused or modified in any material respect without the
prior consent of Consultant, the CLIENT agrees to defend, hold harmless and indemnify Consultant from any claims
advanced on account of said reuse or modification.
Any document produced by Consultant in relation to the Services is intended for the sole use of Client.The documents may
not be relied upon by any other party without the express written consent of Consultant, which may be withheld at
Consultant's discretion.Any such consent will provide no greater rights to the third party than those held by the Client under
the contract,and will only be authorized pursuant to the conditions of Consultant's standard form reliance letter.
Consultant cannot guarantee the authenticity, integrity or completeness of data files supplied in electronic format
("Electronic Files"). CLIENT shall release, indemnify and hold Consultant, its officers, employees, Consultant's and agents
harmless from any claims or damages arising from the use of Electronic Files. Electronic files will not contain stamps or seals,
remain the property of Consultant,are not to be used for any purpose other than that for which they were transmitted,and
are not to be retransmitted to a third party without Consultant's written consent.
FIELD SERVICES: Consultant shall not be responsible for construction means,methods,techniques,sequences or procedures,
or for safety precautions and programs in connection with work on the PROJECT, and shall not be responsible for any
contractor's failure to carry out the work in accordance with the contract documents. Consultant shall not be responsible
for the acts or omissions of any contractor,subcontractor,any of their agents or employees,or any other persons performing
any of the work in connection with the PROJECT. Consultant shall not be the prime contractor or similar under any
occupational health and safety legislation.
GOVERNING LAW/COMPLIANCE WITH LAWS: The AGREEMENT shall be governed, construed and enforced in accordance
with the laws of the jurisdiction in which the majority of the SERVICES are performed. Consultant shall observe and comply
with all applicable laws, continue to provide equal employment opportunity to all qualified persons, and to recruit, hire,
train, promote and compensate persons in all jobs without regard to race, color, religion, sex, age, disability or national
origin or any other basis prohibited by applicable laws.
DISPUTE RESOLUTION: If requested in writing by either the CLIENT or Consultant,the CLIENT and Consultant shall attempt to
resolve any dispute between them arising out of or in connection with this AGREEMENT by entering into structured non-
binding negotiations with the assistance of a mediator on a without prejudice basis. The mediator shall be appointed by
agreement of the parties. If a dispute cannot be settled within a period of thirty (30) calendar days with the mediator, if
mutually agreed, the dispute shall be referred to arbitration pursuant to laws of the jurisdiction in which the majority of the
SERVICES are performed or elsewhere by mutual agreement.
ASSIGNMENT: The CLIENT and Consultant shall not,without the prior written consent of the other party,assign the benefit or
in any way transfer the obligations under these Terms and Conditions or any part hereof.
SEVERABILITY: If any term, condition or covenant of the AGREEMENT is held by a court of competent jurisdiction to be
invalid,void,or unenforceable,the remaining provisions of the AGREEMENT shall be binding on the CLIENT and Consultant.

Globe Engineers, Inc. (GEI) is pleased to submit the following proposal for a soil investigation.
The purpose of the study is to explore subsurface soil conditions and to develop
recommendations for the Pedestrian Bridge Reconstruction and Emerywood and Victoria
Channel Dredging and Regrading.
Field explorations will consist of four (4) core borings that will be drilled below existing ground
surface as presented in boring map plan and at the following locations:
Two (2)core borings at depths of thirty(30)feet each at bridge embankment, and
Two(2)core borings at depths of ten(10)feet in channel area
Suitable representative portions of all samples will be sealed and packaged for transportation to
our laboratory. A laboratory-testing program will be planned to determine the pertinent
physical properties of soils and to develop an engineering analysis. The findings, conclusions,
and recommendations of GEI will be presented in an engineering report.
The estimated cost of this service will not exceed$9,959.00 without your prior approval. Detail
estimate is presented in appendix A.
Laboratory tests that will be performed on the selected soil samples in order to evaluate the
engineering properties of the soil are in accordance with the indicated standards listed below.

two weeks upon completion of drilling. Total fee is due upon delivery of report. 10%fee will be

RECOMMENDATION:
It is recommended that the City Council authorize execution of Amendment No. 1 to the Engineering
Services Agreement with Baird, Hampton & Brown, Inc., in the amount not to exceed $392,000.00 for
the design of North Riverside Drive from North Tarrant Parkway to Old Denton Road for a revised
project design amount of$1,392,000.00.
DISCUSSION:
The 2014 Bond Program provides funding for improvements to North Riverside Drive from a two-lane
roadway to a four-lane divided arterial street from North Tarrant Parkway to Old Denton Road. Two
new travel lanes will be constructed on the west side of the existing roadway and the existing
pavement on the east half will be rehabilitated or replaced. The project includes turn lanes, median
openings, sidewalks, streetlights, roundabouts and shared use paths as necessary to improve overall
connectivity. On June 10, 2014 (M&C C-26833), the City Council authorized the execution of an
Engineering Services Agreement with Baird, Hampton, & Brown, Inc., in an amount not to exceed
$1,000,000.00 for the design of North Riverside Drive from North Tarrant Parkway to Old Denton
Road.
This Amendment No. 1 for professional services will provide for additional engineering services for
the design of North Riverside Drive. These revisions include changes to the proposed cross section
to provide wider parkways with 10 foot wide shared use paths, a 16 foot wide center median and 11
foot travel lanes in accordance with the proposed Master Thoroughfare Plan amendment and
complete streets initiative. Baird, Hampton, & Brown, Inc., will also design improvements to the
existing Victoria and Emerywood Channels for the TPW Stormwater Division, as well as provide
additional Subsurface Utility Investigations and Right-of-Way/Easement exhibits and legal
descriptions. The total cost of Amendment No. 1 to be performed by Baird, Hampton, & Brown, Inc.,
will not exceed $392,000.00. Staff considers this not-to-exceed cost to be fair and reasonable for the
anticipated services to be performed.

This design/engineering contract will be funded through the 2014 Bond Program. Available
resources within the General Fund will be used to provide interim financing for these expenses until
debt is issued. Once debt associated with this project is sold, bond proceeds will reimburse the
General Fund in accordance with the statement expressing official Intent to Reimburse that was
adopted as part of the ordinance canvassing the bond election (Ordinance No. 21241-05-2014).
Construction is anticipated to commence in Fall 2016 and to be substantially complete by Spring
2018.
M/WBE OFFICE — Baird, Hampton & Brown, Inc., is in compliance with the City's BDE Ordinance by
committing to an additional 14 percent SBE participation on this Amendment No. 1. The City's SBE
goal on this amendment or extra work is 10 percent.
The project is located in COUNCIL DISTRICT 4.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current capital budget, as
