AMENDMENT NO. 1 TO
CITY SECRETARY CONTRACT NO. 47246
PROFESSIONAL SERVICES AGREEMENT
Archive Digitalization Services
This Amendment is made and entered into by and between the CITY OF FORT
WORTH (the "City"), a Texas home-rule municipal corporation, acting by and through its duly
authorized Assistant City Manager, and Backstage Library Works, Inc. ("Contractor"), a Utah
corporation, acting by and through its duly authorized Controller, each individually referred to
herein as a"party" and collectively referred to as the"parties".
WHEREAS, the parties have previously entered into City of Fort Worth City Secretary
Contract No. 47246 (the "Contract"), which was executed on the November 18, 2015 with an
effective date of November 1, 2015; and
WHEREAS, the Contract provides the City with professional consulting services for
archive digitization services; and
WHEREAS, the City and Contractor now wish to amend the original Contract to
incorporate the additional services that Contractor has agreed to provide.
NOW, THEREFORE, City and Contractor, acting herein by and through their duly
authorized representatives, enter into the following agreement to amend the contract as follows:
1.
Exhibit`B"of the Contract is replaced with the attached Exhibit"B".
2.
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.

Note: Final unit prices for metadata services will be confirmed with a sample
Pricing Conditions and other Provisions:
1. All prices are in US dollars.
2. Unit prices are firm. The final invoice will reflect the actual number of items processed.
3. Unless stated otherwise, pricing is valid 90 days.
4. Unless otherwise stated, Backstage Library Works will apply 100% Quality Assurance to the master
files.
5. If in the course of digitization, Backstage Library Works determines that the sample (or other
information given by the Library) does not accurately reflect the actual composition of the collection, the
pricing will be re-negotiated.
6. Project will be placed on hold and the client will be contacted immediately, if agreed upon
specifications cannot be met or material is in danger of getting damaged in the chosen approach.
7. Preferred payment plan: 100% upon delivery. Terms are net 30 days. Interest may be charged on
past due accounts. Payment plans may be negotiated.
8. When materials are shipped or delivered to Backstage Library Works, we will require a packing list
and a statement of the items' values for insurance purposes. Backstage Library Works has liability
insurance with a$1,000,000 limit per occurrence. If collection exceeds this amount a statement of
value will be required &we will provide a quote for extra insurance coverage of materials insured at
higher rates.
9. All responsibility for copyright belongs to the client. All products created under the terms of this
proposal are the property of the client and no copies will be made without the written permission from
the client.
10. There is a planned 60-day acceptance of delivered files. Backstage Library Works will retain the
images for 60 days from delivery and then permanently delete them. We request an e-mail notification
of receipt of images and acceptance of images, but if we do not hear from you will assume acceptance
after 60 days.
11. All prices are based on scanning material in its entirety. Scanning partial items will add cost.
