HomeMy WebLinkAboutContract 47958 RECEIVED CITY SECRETARY r r_.1g5_9 jUL 12 2016 CONTRACT NO. r my of FORTWOR[I-", CITY OF FORT WORTH, TEXAS Gfi(SRCREfAAY STANDARD AGREEMENT FOR PROFESSIONAL SERVICES This AGREEMENT is between the City of Fort Worth, a Texas home-rule municipality (the "CITY'), and T.Smith Inspection and Testing, LLC, authorized to do business in Texas, an independent contractor ("Consultant"), for a PROJECT generally described as: Geotechnical Investigation, Eugene McCray Community Center Addition. Article Scope of Services (1) Consultant hereby agrees to perform as an independent contractor the services set forth in the Scope of Services attached hereto as Attachment "A". These services shall be performed in connection with Consultant's letter "Re: Geotechnical Investigation, Eugene McCray Community Center Addition, 4932 Wilbarger Street, Fort Worth, Texas 76119, TSIT Proposal P16052R2 (Attachment A), dated June 7, 2016 including JQ Engineering, LLP's request for geotechnical report letter dated February 10, 2016. (2) Additional services, if any, will be requested in writing by the City. City shall not pay for any work performed by Consultant or its subconsultants, subcontractors and/or suppliers that has not been ordered in writing. It is specifically agreed that Consultant shall not be compensated for any alleged additional work resulting from oral orders of any person. Article II Compensation Consultant shall be compensated in accordance with the Fee Schedule shown in Attachment "A". Payment shall be considered full compensation for all labor, materials, supplies, and equipment necessary to complete the services described in Attachment "A". However the total fee paid by the City shall not exceed a total of $3,480.00 unless the City and the Consultant mutually agree upon a fee amount for additional services and amend this Agreement accordingly. The Consultant shall provide monthly invoices to the City. Payment for services rendered shall be due within thirty (30) days of the uncontested performance of the particular services so ordered and receipt by City of Consultant's invoice for payment of same. n p Acceptance by Consultant of said payment shall operate as and shall release the City from 'n all claims or liabilities under this Agreement for anything related to, done, or furnished in c� connection with the services for which payment is made, including any act or omission of pm , the City in connection with such services. n 64 x a4 vtd.Agreement for Prof.Services(PMD)—Geotechnical Investigation,Eugene McCray Community Ctr.Addition Page 1 of 8 T.Smith Inspection and Testing,LLC June 2016 Article III Term Unless terminated pursuant to the terms herein, this Agreement shall be for the duration of design and construction, beginning upon the date of its execution, or until the completion of the subject matter contemplated herein, whichever occurs first. Article IV Independent Contractor Consultant shall operate hereunder as an independent contractor, and not as an officer, agent, servant, or employee of the City. Consultant shall have exclusive control of and the exclusive right to control the details of its work to be performed hereunder and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents, employees, contractors and subcontractors. The doctrine of respondent superior shall not apply as between City and Consultant, its officers, agents, employees, contractors, and subcontractors, and nothing herein shall be construed as creating a partnership or joint venture between City and Consultant. Article V Professional Competence and Indemnification (1) Work performed by Consultant shall comply in all aspects with all applicable local, state and federal laws and with all applicable rules and regulations promulgated by the local, state and national boards, bureaus and agencies. Approval by the City shall not constitute or be deemed to be a release of the responsibility and liability of Consultant or its officers, agents, employees, contractors and subcontractors for the accuracy and competency of its services performed hereunder. (2) In accordance with Texas Local Government Code Section 271.904, the Consultant shall indemnify, hold harmless, and defend the City against liability for any damage caused by or resulting from an act of negligence, intentional tort, intellectual property infringement, or failure to pay a subcontractor or supplier committed by the Consultant or Consultant's agent, consultant under contract, or another entity over which the Consultant's exercises control. Std.Agreement for Prof.Services(PMD)—Geotechnical Investigation,Eugene McCray Community Ctr.Addition Page 2 of 8 T.Smith Inspection and Testing,LLC June 2016 Article VI Insurance (1) Consultant shall not commence work under this Agreement until it has obtained all insurance required under this Article and the City has approved such insurance, nor shall Consultant allow any subcontractor to commence work on its subcontract until all similar insurance of the subcontractor has been so obtained and approval given by the City; provided, however, Consultant may elect to add any subconsultant as an additional insured under its liability policies. Commercial General Liability $1,000,000 each occurrence $2,000,000 aggregate Automobile Liability $1,000,000 each accident (or reasonably equivalent limits of coverage if written on a split limits basis). Coverage shall be on any vehicle used in the course of the Project. Worker's Compensation Coverage A: statutory limits Coverage B: $100,000 each accident $500,000 disease - policy limit $100,000 disease - each employee (2) Additional Insurance Requirements a. Except for employer's liability insurance coverage under Consultant's worker's compensation insurance policy, the City, its officers, employees and servants shall be endorsed as an additional insured on Consultant's insurance policies. b. Certificates of insurance shall be delivered to the Property Management Derartment, Attention: Brian R. Glass, Architectural Services Manager, 401 West 13t Street, Fort Worth, TX 76102-4616, prior to commencement of work. c. Any failure on part of the City to request required insurance documentation shall not constitute a waiver of the insurance requirements specified herein. d. Each insurance policy shall be endorsed to provide the City a minimum thirty days notice of cancellation, non-renewal, and/or material change in policy terms or coverage. A ten days notice shall be acceptable in the event of non-payment of premium. e. Insurers must be authorized to do business in the State of Texas and have a current A.M. Best rating of A: VII or equivalent measure of financial strength and solvency. Other than worker's compensation insurance, in lieu of traditional insurance, City may consider alternative coverage or risk treatment measures through insurance pools or risk retention groups. The City must approve in writing any alternative coverage. g. Workers' compensation insurance policy(s) covering employees employed on the Project shall be endorsed with a waiver of subrogation providing rights of recovery in favor of the City. h. City shall not be responsible for the direct payment of insurance premium costs for Consultant's insurance. i. Consultant's insurance policies shall each be endorsed to provide that such insurance is primary protection and any self-funded or commercial coverage maintained by City shall not be called upon to contribute to loss recovery. j. In the course of the Agreement, Consultant shall report, in a timely manner, to City's officially designated contract administrator any known loss occurrence which could give rise to a liability claim or lawsuit or which could result in a property loss. k. Consultant's liability shall not be limited to the specified amounts of insurance required herein. I. Upon the request of City, Consultant shall provide complete copies of all insurance policies required by these Agreement documents. Article VII Transfer or Assignment City and Consultant each bind themselves, and their lawful successors and assigns, to this Agreement. Consultant, its lawful successors and assigns, shall not assign, sublet or transfer any interest in this Agreement without prior written consent of the City. Article VIII Termination of Contract (1) City may terminate this Agreement for its convenience on 30 days' written notice. Either the City or the Consultant for cause may terminate this Agreement if either Party fails substantially to perform through no fault of the other and does not commence correction of such nonperformance with 5 days of written notice and diligently complete the correction thereafter (2) If City chooses to terminate this Agreement under Article Vlll, upon receipt of notice of termination, Consultant shall discontinue services rendered up to the date of such termination and City shall compensate Consultant based upon calculations in Article II of this Agreement. Std.Agreement for Prof.Services(PMD)—Geotechnical Investigation,Eugene McCray Community Ctr.Addition Page 4 of 8 T.Smith Inspection and Testing,LLC June 2016 (3) All reports, whether partial or complete, prepared under this Agreement, including any original drawings or documents, whether furnished by the City, its officers, agents, employees, consultants, or contractors, or prepared by Consultant, shall be or become the property of the City, and shall be furnished to the City prior to or at the time such services are completed, or upon termination or expiration of this Agreement. Article IX Right to Audit (1) Consultant agrees that the City shall, until the expiration of three (3) years after final payment under this Agreement, have access to and the right to examine any directly pertinent books, documents, papers and records of Consultant involving transactions relating to this Agreement. Consultant agrees that the City shall have access during normal working hours to all necessary facilities and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this section. City shall give Consultant reasonable advance notice of intended audits. (2) Consultant further agrees to include in all its subcontracts hereunder, a provision to the effect that the subcontracting consultant agrees that the City shall, until the expiration of three (3) years after final payment under the subcontract, have access to and the right to examine any directly pertinent books, documents, papers and records of such sub-consultant, involving transactions to the subcontract, and further, that City shall have access during normal working hours to all sub- consultant facilities, and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this article. City shall give Consultant and any sub-consultant reasonable advance notice of intended audit. (3) Consultant and sub-consultants agree to photocopy such documents as may be requested by the City. The City agrees to reimburse Consultant for the cost of copies at the rate published in the Texas Administrative Code in effect as of the time copying is performed. Article X Minority Business and Small Business Enterprise (MBE)(SBE) Participation MBE& SBE Participation paragraph is not applicable for this project. Std.Agreement for Prof.Services(PMD)—Geotechnical Investigation,Eugene McCray Community Ctr.Addition Page 5 of 8 T.Smith Inspection and Testing,LLC June 2016 Article XI Observe and Comply Consultant shall at all times observe and comply with all federal, state, and local laws and regulations and with all City ordinances and regulations which in any way affect this Agreement and the work hereunder, and shall observe and comply with all orders, laws ordinances and regulations which may exist or may be enacted later by governing bodies having jurisdiction or authority for such enactment. No plea of misunderstanding or ignorance thereof shall be considered. Consultant agrees to defend, indemnify and hold harmless City and all of its officers, agents and employees from and against all claims or liability arising out of the violation of any such order, law, ordinance, or regulation, whether it be by itself or its employees. Article XII Venue and Jurisdiction If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas — Fort Worth Division. This Agreement shall be construed in accordance with the laws of the State of Texas. Article XIII Contract Construction The Parties acknowledge that each party and, if it so chooses, its counsel have reviewed and revised this Agreement and that the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party must not be employed in the interpretation of this Agreement or any amendments or exhibits hereto. Article XIV Severability The provisions of this Agreement are severable, and if any word, phrase, clause, sentence, paragraph, section or other part of this Agreement or the application thereof to any person or circumstance shall ever be held by any court of competent jurisdiction to be invalid or unconstitutional for any reason, the remainder of this Agreement and the application of such word, phrase, clause, sentence, paragraph, section, or other part of this Agreement to other persons or circumstances shall not be affected thereby and this Agreement shall be construed as if such invalid or unconstitutional portion had never been contained therein. SMITH INSPECTION AND TESTING, LLC TSITGEOTECHNICAL ENGINEERING&CONSTRUCTION MATERIAL&TESTING& INSPECTION A PROJECT SCOPE The project consists of the construction of a one-story addition to an existing building which is believed to have been constructed with a drilled pier and slab-on-void foundation. The structure will consist of a steel-framed building. The total building pad area is approximately 1,700 sf. The building addition anticipates a drilled pier and structural slab over carton void forms. Alternate recommendations for slab on grade construction is also requested. (Concentrated column loads of 10 kips to 150 kips). The structure will be located at 4932 Wilbarger Street Fort Worth, Texas. TSIT will need all boring locations cleared for access on the day of drilling. A site plan has been provided with an architectural layout plan shown for the building and proposed paving area. A geotechnical investigation is required to aid the planning, design and construction teams for this project site. A seismic site class of the soils has also been requested. 1 GEOTECHNICAL SUBSURFACE INVESTIGATIONS 1.1 Proposed Drilling and Sampling In accordance with ASCE guidelines, TSIT proposes investigating the site by drilling a total of two (2) building test borings and one (1)pavement boring as follows: • Pad areas: two (2) soil borings to a minimum depth of 35 feet, assumed limestone foundation depth to be 25 feet. There will be an additional charge of $14.50 per lineal foot for boring depths below 35 feet. If the limestone strata is encountered between 25 and 35, the borings will need to be extended to provide 107f of boring below the top of limestone. If no rock is encountered by 35'the boring will be terminated. • Pavement Area: One (1) boring to a depth of 5 feet. Cohesive soils will be sampled with thin-walled tube samplers. Standard penetration tests will be performed on very sandy or cohesionless soils. The sampling intervals will be at each change in material or a maximum of 5 feet. Any unweathered bedrock encountered will be evaluated by means of the Texas Highway Department's Cone Penetrometer Test. All samples will be extruded in the field and packaged to protect them from disturbance and preserve their in-situ moisture. 1.2 Utilities TSIT assumes that you have the right of entry to the property and that the boring locations are accessible to drilling equipment during normal working days. Items to be provided by the client include the right of entry to conduct the exploration and an awareness and/or location of any private subsurface utilities existing on the property. Client shall provide documents i.e. surveys. TSIT will request DIGTESS to clear public utilities (electric, water lines, sewer lines, fiber glass, cable etc.) prior to our firm performing drilling services. This service may take 3 days or longer to have DIGTESS locaters clear the site. 2 T. SMITH INSPECTION AND TESTING, LLC TSITGEOTECHNICAL ENGINEERING&CONSTRUCTION MATERIAL&TESTING&INSPECTION A TSIT will request DIGTESS to clear public utilities (electric, water lines, sewer lines, fiber glass, cable etc.) prior to our firm performing drilling services. This service may take 3 days or longer to have DIGTESS locaters clear the site. 1.3 Laboratory Testing Laboratory tests will be performed on representative samples to establish the pertinent engineering properties of the various strata. We anticipate these tests will primarily consist of moisture content and dry density determinations, Atterberg Limits, unconfined compression tests and absorption swell tests. Laboratory testing of rock core will consist primarily of unconfined compression testing. 1.4 Engineering Report The results of all field and laboratory studies will be compiled into an engineering report with our comments and recommendations on various appropriate design parameters and construction procedures. Electronic PDF reports with original seals will be furnished. The report will include the following: 1. Logs of borings, laboratory test results, and groundwater observations. 2. Recommended foundation types, depths and design parameters (e.g. bearing capacities, skin friction values etc.)with alternatives if appropriate. 3. Recommendations for support of a structural slab over carton void forms and slab on grade will be provided. Also, shallow foundation design parameters for landscape elements and/or site walls will be provided.These will include estimated post construction movements and methods to reduce these movements. Our recommendations will only provide improvement to 1" or less of PVR as per the standard TxDOT calculations utilized as the industry standard. 4. The presence of groundwater and its effect on foundation installation. 5. Pavement recommendations for the support of light and heavy duty vehicles. This will include pavement thickness, compressive strength, and subgrade preparation. 6. Discussions and recommendations regarding site grading and drainage.These will include the use of on-site materials as fill, fill placement and compaction, and recommended requirements for off-site borrow. TSIT will, of course, remain available throughout the project to consult on geotechnical matters with you and other members of the design team. 1.5 Time Estimate It is estimated that the project will require 10 to 15 working days to complete all field and laboratory work and prepare the final report with our analyses and recommendations after the samples are delivered to the laboratory. Normally there is a 3 to 7 day delay to allow 3 T. If the weather condition is wet and muddy, the drillers anticipate a 1-2 week delay. The estimated cost is based on TSIT staking the borings based on a site plan provided with your authorization. The boring program is based on the assumption that soil conditions will be relatively uniform across the site. Should unusual soil conditions be encountered, we will call you with a recommendation and cost estimate to explore these unusual conditions. 2 ESTIMATED BUDGET The cost of performing the complete geotechnical subsurface Investigations (Drilling, Sampling & Field Testing; Laboratory Testing; and Engineering Analysis & Report) Is $ 3,200.00. The RFP requires estimation of depth to provide 10' of boring below bottom of an assumed foundation member by TSIT calculations. If L.S./shale is not encountered at 25' depth, an additional $14.50 111near foot will be added for boring costs which shall not exceed$280. The total estimated budget for initial services is not to exceed$3,480. Unit fees from the CFW CIP contract were used in preparation for this proposal. Our terms are net 30 days from the date of the invoice. Any additional costs beyond this figure will be subject to approval by the client. This cost is a budget figure and will not be exceeded, for the described scope of work,without prior approval. 3 SOIL TEST BORINGS All soil borings will be located within the proposed building footprints and may be staked by TSIT at the client's request, per site layout upon receiving a site plan. Building Description The project consists of a one-story,1,700 SF addition to the Eugene McCray Community Center located at 4932 Wilbarger Street in Fort Worth, Texas 76119. The addition will be located on the west side of the existing building and the parking lot will be expanded to the south as shown on the enclosed site plan. The existing building consists of concrete tilt-up panels with a steel framed roof. Existing structural drawings are not available,but the architectural drawings depict a drilled pier and slab-on-void foundation system. The ground floor slab for the building addition is anticipated to consist of a structural slab over carton void forms. However,recommendations for pad preparation for slab-on-grade construction is also being requested in case an alternate slab system needs to be evaluated. Site Investigation and Report The geotechnical properties under the proposed structure shall be investigated and the information obtained shall be summarized in a written report, including recommendations for the following: I. Slabs-on-grade A. Soil preparation for slab-on-grade construction at existing ground level or above,required to limit heave or settlement to 3/4 inches. II. Foundations A. Foundation support for concentrated column loads of 10 kips to 150 kips. STRUCTURAL I CIVIL I SURVEYING Request for a Geotechnical Report Eugene McCray Community Center Addition 02.10.16 Page 2 B. Sea level elevation at each boring and the depth to primary bearing stratum. C. Anticipated magnitude of total foundation settlement and differential settlement between adjacent foundation elements. D. Minimum penetrations of foundations into bearing stratum and/or minimum penetration to diameter ratios required to achieve the allowable capacities of the bearing stratum. E. Capacity reduction for foundations of close proximity. F. Pull-out resistance of the bearing stratum for tension foundations. G. Magnitude of uplift skin friction pressures on the foundations due to expansive clay. H. Recommendations regarding the design of foundations subject to bending and lateral loads. I. Recommendations on the construction of foundations including the need for casing,time limitations on placement of concrete, and any special preparation of the excavation surface to achieve the allowable capacities. J. Soil characteristics and design criteria for input into LPILE design program. K. Shallow foundation design parameters for landscape elements and/or site walls. III. Miscellaneous A. Special details of construction required to remove ground water or surface water, including need for and location of drains around perimeter of building and/or under the building. B. Special details of construction required by the existence of expansive clay. C. Maximum safe slope for sides of excavation left unprotected. D. Special construction details or materials required for protection in corrosive soil conditions. E. Seismic site class of soils as defined in the 2009 International Building Code (IBC). IV. Site work A. Pavement design recommendations; including thicknesses, reinforcement, and compressive strength(s) for Portland Cement Concrete Pavements subject to (1) Request for a Geotechnical Report Eugene McCray Community Center Addition 02.10.16 Page 3 passenger vehicular traffic, (2) fire trucks, and (3) garbage trucks. Provide subgrade preparation recommendations for pavements. We suggest that a minimum of two (2) borings be made at the locations indicated on the enclosed site plan and at least one (1) (B-1) of the borings be into the primary bearing stratum at least 10 feet below the bottom of the deepest anticipated foundation. The geotechnical engineer should estimate the depth of the foundations, based on the loads listed above and his knowledge of site conditions, and determine the required depths of borings before proceeding. However, the final total quantity, depth and exact location of the borings shall be determined by the geotechnical engineer based on his experience in the area and geological findings at the site. If, in the opinion of the geotechnical engineer, additional borings or tests are required to properly evaluate and analyze the subsurface conditions, the geotechnical engineer shall propose that such additional borings and/or testing be provided. Professional Liability Insurance The geotechnical engineer should maintain an errors and omissions insurance policy, with an aggregate limit of at least $1,000,000.00 per year and should submit a certificate of insurance for your file before commencing with the work.
