HomeMy WebLinkAboutContract 47917 CITY SECRETARY q� . ! Partial Relocation Assistance Agreement CONTRACT NO �'w � Between the City of Ft. Worth and Bodycote Thermal Processings Inc. This agreement is entered into between the City of Fort Worth ("City") and Bodycote Thermal Processing,Inc. ("Bodycote"). WHEREAS, the City has presented four bids from Able Machinery for moving Bodycote's equipment totaling $1,995,128 with certain move and relocation items expressly excluded from those bids. In the interest of beginning that moving process in earnest Bodycote is prepared to accept that sum as compensation for moving the equipment described in the bids, including, without limitation, all of the equipment described in Exhibit 1 to the September 18, 2015 "Personal Property Appraisal of Bodycote Thermal Processing" by J. Michael Clarkson, Technical Valuation Services, Inc., attached hereto as Exhibit 5, and for related services described and included in those bids. (All four bids shall be collectively called the "Bids"). Based on the foregoing,the City and Bodycote agree as follows: The City agrees to pay to Bodycote the sum of $1,995,128.00 (the Payment") within twenty-one(2 1)days of this agreement. In exchange for this Payment, Bodycote will accept this sum as full compensation for the moving and services included in the Bids, including, without limitation, moving the equipment and items described in each of the four phased Able Machinery Bids attached as Exhibits 1,2,3, and 4, and in Exhibit 5. The City and Bodycote agree that this Payment excludes relocation assistance compensation that may be available for items expressly excluded from the Able Machinery Bids and for items the Bids state are to be performed by others before or after the moving and services quoted by.Able Machinery. The City and Bodycote agree that the Bids and this Payment exclude relocation assistance compensation for office moving expenses including expenses for moving furniture, documents, filing cabinets, computers, copiers, kitchen equipment,appliances and lockers. Further,the parties agree that the Payment does not preclude Bodycote from seeking any other available relocation assistance that it may be entitled to receive under federal, state, or city law or relocation assistance guidelines, but not satisfied by the Paymennt. The parties further agree to continue to negotiate in good faith the remaining items of relocation assistance Bodycote is entitled to receive with both Bodycote and the City reserving all rights and defenses related to relocation assistance not covered by this "Partial Relocation Assistance Agreement." We propose to furnish the necessary skilled labor and equipment to perform the following tasks: Phase I Disconnect remaining equipment in the lower level(mechanical &electrical), load,and transport to Bodycote Arlington facility, unload and stage as directed only.(Not including the working ovens and car bottom furnace located on the lower level) • Mechanical(isolate,disconnect,tag&box,dismantle piping&racking then connect machines back up with in ten feet only.) • Electrical (disconnect,tag& mark and reconnect up to ten feet.) • Riggers(palletize materials on racks,dismantle racks, load equipment and materials in the lower level,and transport, unload and stage. • Return on a later day and set twelve pieces of equipment(on two different mobilizations only)and tie in only up to ten feet. Our price to perform the above tasks is$198,472.00 Assumptions: 1) Work will be preformed during Monday-Friday. 2) Other will be responsible for providing a clear path at the Arlington facility. 3) If there are any changes made or delays not by Able Machinery to the scope of work that we are to perform as per the walk thru,an additional charge will be added to our prevailing quote. 4) Price does not include cost for any repairs,upgrades or replacement of non-working or missing items associated with the equipment. 5) Price does not include any permits for electrical or mechanical. Our price to perform the above tasks is$355.950.00 Our price is based on the following assumptions: 1) Work will be performed normal working hours Monday-Friday. 2) Others will be responsible for providing a clear path for movement of all equipment. 3) Able will provide 40 standard DOT shipping barrel,others will be responsible for removal,transportation and replacement of salt quench liquids at no cost to Able Machinery Movers, Inc. 4) Others will be responsible for removal and replacement of all embedded rails or tracks. 5) Others will be responsible for providing cooling tower manifold for reconnection of Vacuum furnace at new facility. 6) Others will provide all disconnects,panels or switches required at service connection point. 7) Others will be responsible to remove and replace any tracks/mils embedded in the existing foundation at the new facility. 8) All air,water gas lines necessary for equipment hookup will be provided by others within 20' of the machine connection point. 9) Any repairs,upgrades or replacement of non-working items will be an additional charge based on our time&material rates. 10) If there are any changes made or delays not by Able Machinery to the scope of work that we are to perform as per the walk thru,an additional charge will be added to our prevailing quote. 11) Price does not include any building permits for electrical or mechanical. 12)All equipment will need to be to its original configuration, if not materials&labor to modify configuration will be billed on our Time&Material rates. DISCUSSION: On April 12, 2016 (M&C L-15892), the Fort Worth City Council authorized the acquisition through settlement of the Bodycote property located at 2005 Montgomery Street. This property is required for the construction of the WRMC Multipurpose Arena and associated parking facilities. As of September 1, 2011, in accordance with state law, the City is required to provide relocation assistance in accordance with the Uniform Relocation Assistance and Real Property Acquisitions Policy Act (URA). These services are provided to qualifying individuals and business owners who are displaced by public projects from their homes and/or business locations. For this acquisition, Bodycote is eligible to receive relocation assistance. Displacees have up to 18 months to file a claim for their relocation assistance payments. The actual amounts to be paid will be determined by the type of payments the displacees qualify for and the total costs of their moving expenses. The relocation costs will be paid out of the Culture & Tourism Capital Projects Fund. Staff through the City's relocation specialist has obtained a bid from Able Moving Company to provide moving and re-establishment services for the furnaces, quenches and other equipment associated with Bodycote's core operations in an amount of$1,995,128.00. Bodycote wishes to accept payment in the amount of$1,995,128.00 and perform a negotiated self-move. Staff expects this Agreement will be amended to increase the amount payable to Bodycote to cover the relocation and reestablishment of their general front office operations and other materials not covered in the bid. The total project budget is $225,000,000.00 of which $13,699,251.00 has already been appropriated with the remainder funded from future bond proceeds. Construction of the multi-purpose arena is anticipated to begin following the 2017 Stock Show with anticipated completion in late 2019.
