Airport Freeway Bedford, Texas 76201 Subject: City of Fort Worth Water Department Assembly 35-U-0502-0001 North Tarrant Express Segment 3A Conflicts 30 (W1-18). 31 (W1-19), 32 (W1-77), 36 & 37 (WW1-24) Dear Mr. Toner, The Design-Build Contractor, North Tarrant Infrastructure, LLC (NTI) is submitting the attached Utility Assembly in compliance with the Facility Agreement to remove and replace approximately 932 linear feet of 16" water line (Conflict 30131) across 28th Street and along Warfield Avenue, 214 linear feet of 12" water line (Conflict 30131) along 28th Street, 54 linear feet of 8" water line (Conflict 32-A) along Warwick Avenue, 187 linear feet of 12" water line (Conflict 32-13) along Warwick Avenue, and 1163 linear feet of 8" wastewater line (Conflict 36137) laterally along the east side of IH35W. The existing 16" water transmission line (X-09006) located under 28' Street at Station 786+52 is within the ROW for State Highway 183 (28th Street) connects to the existing 24" cast iron water transmission line (X-9062) located along Cold Springs Road south from Station 786+52 will be abandoned. The existing 8" water line (X-16702) located under Warfield Avenue will be abandoned and replaced with a water transmission line. The adjustment will consist of installing a new 12" water facility along the north side of 28th Street with a connection to a new 16" water facility crossing 28th Street inside of a new 30" steel casing approximately 8' deep within the ROW for State Highway 183 and continuing south along Warfield Avenue. The new 16" water facility along Warfield Avenue will stub out south of Warwick Avenue where an existing 4" water line will be abandoned. The existing 6" water line along Warwick Avenue will be abandoned and replaced with an 8" water facility on the west side of Warfield Avenue and a 12" water facility on the east side of Warfield Avenue. The 12" water facility along Warwick Page 1 of 3 Avenue will be connected to the 16" water facility along Warfield Avenue and to the existing 24" cast iron water line along Cold Springs Road. Portions of this adjustment will be abandoned and plugged during a second phase of work (to be submitted in a later amendment for clarity) including the abandonment of the 24" cast iron water transmission line along Cold Springs, and a proposed betterment along Warfield Avenue south of Warwick Avenue. The existing 8" wastewater line (X-4364) is located along 28th Street and the existing 8', wastewater line (X-6373) crosses IH35W at Station 783+61 and connects at both the east and west ROW lines. The adjustment will consist of installing a new 8" PVC wastewater line in 20" steel casing under the north bound frontage road and 28th Street, and continuing south along Industrial Drive (closed road)where it will tie into the existing 8" VC wastewater line. The estimate cost to replace this facility is $1,526,277.20. The final cost will be paid by NTI according to actual accumulated costs. The relocation is 100% compensable for the City of Fort Worth because the existing facilities are located on a Federal Interstate Highway. There are no betterments or salvage values associated with this Utility Assembly. This 'Developer Managed' Assembly Amendment consists of components including Assembly Summary, TxDOT Checklist, Utility Adjustment Agreement, Plans & Specifications, Estimate, No Conflict Sign-Off Forms, Bonds & Insurance, Affidavit, Quitclaim, Abandonment Documents, Joint Use Acknowledgement, Right of Way Maps, and TxDOT Approval. Freese & Nichols, Inc. provided the plans on behalf of the Developer, which were signed and sealed by Daniel Stoutenburg, PE on November 7, 2014. NTI and North Tarrant Express Mobility Partners Segments 3 LLC recommend approval of the Assembly and have acknowledged the Traffic Control Plan and the Environmental Plan as defined in NTI's General & Construction Notes contained in FNI's plan set. North Tarrant Express Mobility Partners Segments 3 LLC, NTI and the City of Fort Worth have executed this Assembly. NTI will conduct the necessary pre-construction meeting to address NTI Safety and environmental issues prior to performing any adjustment related activities on the project. All safety, traffic control, and environmental issues will be complied with during construction activities in the vicinity of the line to maintain the integrity of the City of Fort Worth facilities, and protect the traveling public. CSJ No.:0014-16-179 Highway: NTE(IH 35W) Limits:(From 1H 820 to 1H 30) UTILITY ADJUSTMENT AGREEMENT AMENDMENT Amendment No.0001 to Agreement No.: 35-U-0502 Conflict Nos.30,31,32,36&37 THIS AMENDMENT TO PROJECT UTILITY ADJUSTMENT AGREEMENT (this "Amendment'), by and between NTE Mobility Partners Segments 3 LLC, hereinafter identified as the "Developer",North Tarrant Infrastructure,LLC,hereinafter identified as the"Design-Build Contractor" and City of Fort Worth,hereinafter identified as the"Owner",is as follows: WITNESSETH WHEREAS, the STATE of TEXAS, acting by and through the Texas Department of Transportation, hereinafter identified as "TxDOT", proposes to construct the turnpike project identified above (the "Facility",as more particularly described in the"Original Agreement",defined below); and WHEREAS, pursuant to that certain Facility Agreement ("FA") by and between TxDOT and the Developer with respect to the Facility, the Developer has undertaken the obligation to design, construct, finance, operate and maintain the Facility, including causing the removal, relocation, or other necessary adjustment of existing utilities impacted by the Facility(collectively,"Adjustment");and WHEREAS, pursuant to that certain Design-Build Contract by and between the Developer and the Design-Build Contractor with respect to the Facility (the "Design-Build Contract"), the Design-Build Contractor has undertaken the obligation to design and construct the Facility, which includes the Adjustment;and WHEREAS, the Owner, the Developer, and the Design-Build Contractor are parties to that certain executed Project Utility Adjustment Agreement designated by the "Agreement No." indicated above, as amended by previous amendments, if any (the "Original Agreement'), which generally provides for the adjustment of certain utilities owned and/or operated by the Owner(the"Utilities"); and WHEREAS, the parties are required to utilize this Amendment form in order to modify the Original Agreement to address the adjustment of Owner facilities contemplated by the Original Agreement; and WHEREAS, the parties desire to amend the Original Agreement to add additional Owner utility facility(ies),on the terms and conditions hereinafter set forth. NOW, THEREFORE, in consideration of the agreements contained herein, the parties hereto agree as follows: 1. Amendment. (a) The description of the Owner Utilities and the proposed Adjustment of the Owner Utilities in the Original Agreement is hereby amended to add the following utility facility(ies)("Additional Owner Utilities")and proposed Adjustment(s)to the Owner Utilities described in the Original Agreement,to wit The proposed adjustment includes approximately 932 linear feet of 16"water line (Conflicts 3 013 1)along 28th Street and Warfield Avenue, 2141inear feet of 12"water line (Conflicts 30131)along 28th Street, 54 linear feet of 8"water line(Conflict 32-A)along Warwick Avenue, 18 7 linearfeet of 12"water line(Conflict 32-B)along Warwick Avenue, and 1,163 linearfeet of 8"wastewater line(Conflict 3613 7)laterally along the east side ofIH35W. • Conflicts 30 and 31: The existing 16"water transmission line(Conflict 31,X- 09006) located under 28m Street within ROWfor State Highway 183 (28Th Street)will be abandoned from west of Sterling Street(Station 786+52)to the connection to the existing 24"cast iron water transmission line(Conflict 30,X- 9062)at Cold Springs Road(Station 786+52). The existing 24"cast iron water transmission line(Conflict 30,X-9062)along Cold Springs Road will be abandoned from 28m Street to Station 787+57. The abandoned water lines will be replaced by a 12 716"water transmission main (Conflicts 30131)running along the north side of 28th Street and along Warf eld Avenue. The adjustment will consist of installing a new 12"water facility along the north side of 28`h Street with a connection to a new 16"water facility crossing 28th Street inside of a new 30"steel casing approximately 8'deep within the ROWfor State Highway 183 and continuing south along Warfield Avenue. The new 16"water facility along Warfield Avenue will stub out south of WarwickAvenue where an existing 4"waterline will be abandoned The existing 8"waterline(X-16702)located under Warfield Avenue will also be abandoned Conflicts 32A and 32B The existing 6"water line along Warwick Avenue will be abandoned and replaced with 54 linear feet of 8"water line(Conflict 32-A)on the west side of Warfield Avenue and 187 linear feet of 12"water line(Conflict 32-B)on the east side of Warfield Avenue. The 12"water facility along Warwick Avenue(Conflict 32-B)will be connected to the 16"water facility(Conflicts 30131)along Warfield Avenue and to the existing 24"cast iron water line (Conflict 30)along Cold Springs Road. Conflicts 36 and 37: The existing 8" wastewater line X-4364 (Conflict 37) is located along 28th Street and crosses IH35W at Station 783.61. The existing 8" wastewater line X-6373 (Conflict 36) is located east of IH35W and north of 2e Street. Conflict 36 connects to Conflict 37 on the south side of 28th Street. The adjustment will consist of abandoning the crossing of IH35W, and installing a new 8"PVC wastewater line in 20"steel casing under the north bound frontage road and crossing 28`h Street, and continuing south along Industrial Drive (closed road) where it will tie into the existing 8" VC wastewater line X-7033. An abandonment plug will be placed in the east connection (Conflict 36) at the existing manhole on the west side of IH35W at Station 783+61.; and UAAA City of Fort Worth 11/20/2014 Texas Department of Transportation Form TxDOT-FA-U-35A-DM -NTE Page 3 of 8 (b) The Plans, as defined in Paragraph 1 of the Original Agreement, are hereby amended to add thereto these Conflict 30,31, 32, 36 & 37's specific plans, specifications and cost estimates attached hereto as Exhibit A. (c) The Plans attached hereto as Exhibit A, along with this Amendment, shall be submitted upon execution to TxDOT in accordance with Paragraph 2 of the Original Agreement, and Paragraph 2 shall apply to this Amendment and the Plans attached hereto in the same manner as if this Amendment were the Original Agreement. If the Owner claims an Existing Interest for any of the Additional Owner Utilities, documentation with respect to such claim shall be submitted to TxDOT as part of this Amendment and the attached Plans,in accordance with Paragraph 15(a)of the Original Agreement. 1.2 Advancement of Funds by Owner for Construction Costs. (a) Exhibit A of the Original Agreement is hereby amended to add for the Additional Owner Utilities and proposed Adjustment(s) the following information set forth on Exhibit A hereto: (i) all estimated engineering and construction-related costs, including labor, material, equipment and other miscellaneous construction items, and(ii)the Owner's and Design-Build Contractor's respective cost sharing responsibility for the estimated costs, as more fully described in Section 1.4 below. The Owner shall advance to the Design-Build Contractor its allocated share, if any,of the estimated costs for construction and engineering work to be performed by Design-Build Contractor under this Amendment,in accordance with the following terms: ® The adjustment of the Owner's Utilities does not require advancement of funds. ❑ The adjustment of the Owner's Utilities does require advancement of funds and the terms agreed to between the Design-Build Contractor and Owner are listed below. (b) Adjustment Based on Actual Costs or Agreed Sum. For purposes of Paragraph 7(b) of the Original Agreement, the following terms apply to the Additional Owner Utilities and proposed Adjustment. NIA [Check the one appropriate provision]: ❑ The Owner is responsible for its share of the Design-Build Contractor's actual cost for the Adjustment,including any identified Betterment. Accordingly, upon completion of all Adjustment work to be performed by both parties pursuant to this Amendment, (i) the Owner shall pay to the Design-Build Contractor the amount, if any, by which the actual cost of the Betterment (as determined in Paragraph 9(b)) plus the actual cost of Owner's share of the Adjustment (based on the allocation set forth in Exhibit A) exceeds the estimated cost advanced by the Owner, or (ii) the Design-Build Contractor shall refund to the Owner the amount,if any,by which such advance exceeds such actual cost,as applicable. ❑ The Agreed Sum is the agreed and final amount due for the Adjustment, including any Betterment, under this Amendment. Accordingly, no adjustment (either up or down)of such amount shall be made based on actual costs. 1.3 Reimbursement of Owner's Indirect Costs. For purposes of Paragraph 6 of the Original Agreement, the following terms apply to the Additional Owner Utilities and proposed Adjustment: UAAA City of Fort Worth 11/20/2014 Texas Department of Transportation Form TxDOT FA-U-35A-DM -NTE Page 4of8 (a) Design-Build Contractor agrees to reimburse the Owner its indirect costs (e.g., engineering,inspection,testing,ROW)as identified in Exhibit A. When requested by the Owner,monthly progress payments will be made. The monthly payment will not exceed 80% of the estimated indirect work done to date. Once the indirect work is complete, final payment of the eligible indirect costs will be made. Intermediate payments shall not be construed as final payment for any items included in the intermediate payment. (b) The Owner's indirect costs associated with Adjustment of the Owner Utilities shall be developed pursuant to the method checked and described below[check only one box]: ® (1) Actual related indirect costs accumulated in accordance with (i) a work order accounting procedure prescribed by the applicable Federal or State regulatory body, or (ii) established accounting procedure developed by the Owner and which the Owner uses in its regular operations or, ❑ (2) The agreed sum of$ ("Agreed Sum") as supported by the analysis of the Owner's estimated costs attached hereto as part of Exhibit A. 1.4 Resiponsibility for Costs of Adjustment Work. For purposes of Paragraph 4 of the Original Agreement, responsibility for the Agreed Sum or Actual Cost, as applicable, of all Adjustment work to be performed pursuant to this Amendment shall be allocated between the Design-Build Contractor and the Owner as identified in Exhibit A hereto and in accordance with §203.092, Texas Transportation Code. An allocation percentage may be determined by application of an Eligibility Ratio,if appropriate,as detailed in Exhibit A,provided however,that any portion of an Agreed Sum or Actual Cost attributable to Betterment shall be allocated 100% to the Owner in accordance with Paragraph 9 of the Original Agreement. 1.5 Betterment. (a) Paragraph 9(b) (Betterment and Salvage) of the Original Agreement is hereby amended to add the following[Check the one box that applies, and complete if appropriate]: ® The Adjustment of the Additional Owner Utilities, pursuant to the Plans as amended herein,does not include any Betterment. ❑ The Adjustment of the Additional Owner Utilities, pursuant to the Plans as amended herein,includes Betterment to the Additional Owner Utilities by reason of[insert explanation, e.g. "replacing 12"pipe with 24"pipe]: . The Design-Build Contractor has provided to the Owner comparative estimates for (i)all work to be performed by the Design-Build Contractor pursuant to this Amendment, including work attributable to the Betterment, and (ii) the cost to perform such work without the Betterment,which estimates are hereby approved by the Owner. The estimated cost of the Design-Build Contractor's work under this Amendment which is attributable to Betterment is $ , calculated by subtracting(ii) from(i). If the Owner fails to advance payment to the Design-Build Contractor on or before the foregoing deadline, the Design-Build Contractor shall have the option of commencing and completing (without delay) the Adjustment work without installation of the applicable Betterment. The second half of the payment less 5% retainage will be due to Design-Build Contractor when the Utility that is the subject of the Betterment is put into service. The retainage will be paid when as-built and close-out documents are provided to Owner.[Check the one appropriate provision]: ❑ The estimated cost stated in Paragraph 1.5(a) of this Amendment is the agreed and final amount due for Betterment under this Amendment, and accordingly no adjustment (either up or down) of such amount shall be made based on actual costs. ❑ The Owner is responsible for the Design-Build Contractor's actual cost for the identified Betterment. Accordingly, upon completion of all Adjustment work to be performed by both parties pursuant to this Amendment, (i) the Owner shall pay to the Design-Build Contractor the amount, if any, by which the actual cost of the Betterment (determined as provided below in this paragraph) exceeds the estimated cost advanced by the Owner, or (ii) the Design-Build Contractor shall refund to the Owner the amount, if any, by which such advance exceeds such actual cost, as applicable. Any additional payment by the Owner shall be due within sixty(60) days after the Owner's receipt of the Design-Build Contractor's invoice therefor, together with supporting documentation; any refund shall be due within sixty (60) days after completion of the Adjustment work under this Amendment. The actual cost of Betterment incurred by the Design-Build Contractor shall be calculated by multiplying(i)the Betterment percentage stated in Paragraph 1.5(a) of this Amendment, by (ii.) the actual cost of all work performed by the Design-Build Contractor pursuant to this Amendment (including work attributable to the Betterment), as invoiced by the Design-Build Contractor to the Owner. (c) The determinations and calculations of Betterment described in this Amendment shall exclude right-of-way acquisition costs. Betterment in connection with right-of-way acquisition is addressed in Paragraph 15 of the Original Agreement. 1.6 Miscellaneous. (a) Owner and Design-Build Contractor agree to refer to this Amendment, designated by the "Amendment No." and "Agreement Number" indicated on page 1 above, on all future correspondence regarding the Adjustment work that is the subject of this Amendment and to track separately all costs relating to this Amendment and the Adjustment work described herein. (b) Design-Build Contractor may place meters and meter boxes affected by this UAAA as prescribed in UAR 21.40 (c) 5(B).;provided,however that Design-Build Contractor shall acquire a permanent access easement as to each meter placed outside of the ROW. Owner will coordinate and approve easement acquisition with the Design-Build Contractor. Said easement(s) shall be of sufficient size to allow for future maintenance, and shall inure for the benefit of and be filed in the name of the Owner. General (a) All capitalized terms used in this Amendment shall have the meanings assigned to them in the Original Agreement,except as otherwise stated herein. (b) This Amendment may be executed in any number of counterparts. North Tarrant Express (NTE) Segment 3A consists of proposed highway improvements along IH- 35W from IH-820 to IH-30. NTEMPS 3 has hired a Design - Build Contractor, NTI, to facilitate design and construction of the highway improvements as well as the required utility relocations. Design and construction of relocation costs of City facilities under the PUAA 100 percent will be funded by NTI, except the betterments requested by the City (e.g., new facilities or the difference in pipe size)will be 100 percent funded by the City. The project limits for NTE Segment 3A will include the relocation of additional water and sanitary sewer mains, which will be designed and constructed through future Utility Adjustment Agreement Amendments (UAAAs) supplemental to this PUAA. In addition to the proposed relocations by NTI, there are several water and sanitary sewer mains not in direct conflict with the highway expansion or NTI-proposed relocations the City desires to have improved that are considered betterments. These consist of new water mains to improve the City's water distribution system reliability, and relocation of existing sanitary sewer mains in order to improve access for future maintenance. This water facility is identified as X-09006 in the City of Fort Worth mapping documents. This facility occupies TxDOT ROW by permit and there are no existing property interests associated with this relocation. • (Conflict 30/31): 1,135 LF of 8"14"waterline along Warfield Ave. This water facility is identified as X-16703 in the City of Fort Worth mapping documents. • (Conflict 30/31): 815 LF of 24"water line along Cold Springs Road. This water facility is identified as X-16702 in the City of Fort Worth mapping documents. • (Conflict 32-A): 52 LF of 6" water line along Warwick Ave, and crossing Warfield Ave. • (Conflict 32-B): 178 LF of 6"water line along Warwick Ave, and crossing Warfield Ave. These City Facilities are located in Public ROW. • (Conflict 36137): 1,163 LF 8" wastewater line along SH183/28th St crossing IH35W Right of Way and laterally along IH35W. This wastewater facility is identified as X- 4364 in the City of Ft Worth mapping documents. During the utility relocation process, the permanent vacated facilities to remain and abandoned in place shall be capped and filled with a minimum of 100 psi grout. Abandoned facilities conflicting with roadway construction shall be removed by others during the construction and excavation stages. The existing to be abandoned Conflict 30 (24" cast iron water line) is lateral to Cold Springs Rd. The existing Conflict 31 (12"/16" ductile iron water line) is lateral to SH 183/NE 28s` St between Sterling St. and Cold Springs Rd and will be abandoned. The existing Conflict 32 (6" unknown material water line) is lateral to Warwick Ave from west of Warfield Ave to Cold Springs Rd and will be abandoned. The existing 12" ductile iron water line lateral to the north side of SH 183/NE 281 St, and the 8" and 12" ductile iron water lines connecting this line to Conflict 30,will be abandoned. The existing 8"PVC water line lateral to Warfield Ave from south of Warwick Ave to NE 28'h St will be abandoned. The existing conflict 36(8"cast iron wastewater line)is lateral to NE 28th St as it crosses under UB5 and will be abandoned. The existing conflict 37 (8" cast iron wastewater line) crosses NE 286' St at the intersection with N Freeway SR NB and will be abandoned. All water and wastewater lines are in good working condition,and currently active. The existing facilities will be cut,capped, and grouted according to UAR regulations. This abandonment shall not be construed as a change in ownership of the facilities. The City of Fort Worth will be responsible for maintaining abandonment facility records (unless used for casing pipe), offset from property lines,coordinates,and the type,quantity,and size of abandoned material. The City of Fort Worth certifies that this abandonment conforms with all requirements of rule 21.39 of the UAR and all current federal, state, and local laws and codes, or industry standards,whichever is more stringent. There is no hazardous material associated with this proposed abandonment. If in the future, a utility company requests a transfer of ownership of a facility described above from the City to be used as a casing for its facilities and the City agrees to transfer ownership,that permission will require concurrence of TxDOT and North Texas Infrastructure,LLC(NTI).
