COUNTY OF TARRANT § KNOW ALL BY THESE PRESENTS:
This Iterlocal Contract and Agreement is made and entered into this c7 day of
2000 by and between the City of Fort Worth, Texas acting by and
through its City Manager, hereinafter referred to as " City" and the Tarrant County 9-1-1
Emergency Assistance District, hereinafter referred to as "District", acting by and through its
governing body.
WITNESSETH:
WHEREAS. the Texas State Legislature has authorized the formulation of interlocal
cooperating agreements between and among governmental entities; and
WHEREAS, this Interlocal Contract is made under the authority granted by and pursuant to
Chapter 791 of the Texas Government Code; and
WHEREAS, residents of Tarrant County specifically including residents of the City of Fort
Worth, Texas pay a monthly fee in conjunction with their residential and cellular
telephone bills related to the provision of 9-1-1 emergency service; and
WHEREAS, the money collected from such monthly fee is forwarded to the DISTRICT to
assure that persons throughout Tarrant County, Texas have access to and receive
9-1-1 emergency services, and
WHEREAS, the DISTRICT fulfills its purpose by, among other things, assisting municipalities
defray the expense associated with the purchase, installation and operation of
equipment needed to provided 9-1-1 emergency services to persons throughout
Tarrant County, Texas; and
WHEREAS, the CITY's current Nortel PBX option 61 (`PBX") equipment, which is
equipment that is beim utilized in 9-1-1 calltaking operations is option 61 and
needs to be upgraded to option 61c; and
WHEREAS, DISTRICT desires to replace the CITY's current PBX equipment to Nortel PBX
Option 61 c; and
WHEREAS, the governing bodies of each entity find that the project or undertaking is
necessary for the benefit of the public and that each party has legal authority to

provide the governmental function which is the subject matter of this contract;
and
WHEREAS, the governing bodies further find that the performance of this contract is in the
common interest of all parties, and that the division of costs fairly compensates
the performing party for the services of functions performed under this Interlocal
Contract; and
WHEREAS, the parties, in paying for the performance of governmental functions or in
performing such governmental functions, shall make payments therefore only
from current revenues legally available to such party; NOW THEREFORE,
FOR IN CONSIDERATION of the mutual promises and agreements contained herein,
the parties do hereby agrees as follows:
I.
DISTRICT consents to the CITY purchase and installation of PBX equipment identified
in Exhibit "A" attached hereto and incorporated herein, to be used in conjunction with the
CITY's provision of 9-1-1 emergency service from its existing PSAP and a new site in Fort
Worth, Texas in accordance with this Contract.
II.
CITY agrees to purchase and install such PBX equipment at the locations stated. CITY
shall be responsible for ordering, receipt, storage, installation and operation of the
telecommunications equipment. CITY further agrees to report any damage to, problem with or
malfunction of the telecommunications equipment to DISTRICT as soon as is reasonably
possible after discovery thereof. The CITY shall be responsible for the risk of loss, theft,
destruction of or damage to the telecommunications equipment during delivery, storage,
installation and operation of the equipment during its servable life.

DISTRICT's RESPONSIBILITIES
The DISTRICT has allocated funds to cover costs of upgrade of the PBX/ACD currently
serving the primary 9-1-1 answering point located at 3000 W. Bolt Street for the CITY at an
estimated cost of $113,909.00 allocated from FY2001 budget and such sum will be paid upon
receipt from the CITY of an invoice from its vendor together with a letter from the CITY
certifying that the equipment has been received and installed and is operating to the CITY's
satisfaction.

IV.
TERM
Prior to the CITY ordering and receiving the equipment covered hereby this Contract
may be canceled by either party hereto on ninety days notice to the other party. This Contract
may not be canceled after the CITY orders and receives the equipment covered hereby,
otherwise it shall automatically terminate upon the satisfactory receipt and installment of the
equipment listed above, and the payments provided for herein made by the DISTRICT.
VI.
IMMUNITY
It is expressly understood and agreed that in the execution of this Contract, no party
waives nor shall be deemed hereby to waive any immunity or defense that would otherwise be
available to it against claims arising in the exercise of governmental powers and functions.
VII.
SUCCESSORS AND ASSIGNS
CITY and DISTRICT each bind themselves, their successors, executors, administrators
and assigns to the other party to this Contract. Neither CITY nor DISTRICT will assign, sublet,
subcontract or transfer any interest in this Contract without the written consent of the other party.
No assignment, delegation of duties or subcontract under this Contract will be effective without
the written consent of the other party.
VIII.
VENUE
The parties to this Contract agree and covenant that this Contract will be enforceable in
Fort Worth, Texas; and that if legal action is necessary to enforce this Contract, exclusive venue
will lie in Tarrant County, Texas.
IX.
REMEDIES
No right or remedy granted herein or reserved to the parties is exclusive of any other right
or remedy herein by law or equity provided or permitted; but each shall be cumulative of every
other right or remedy given hereunder. No covenant or condition of this Contract may be waived
without consent of the parties. Forbearance or indulgence by any party shall not constitute a
waiver of any covenant or condition to be performed pursuant to this Contract.

X.
SEVERABILITY
If any of the terms, sections, subsections, sentences, clauses, phrases, provisions,
covenants. conditions or any other part of this Contract are for any reason held to be invalid, void
or unenforceable, the remainder of the terms, sections, subsections, sentences, clauses, phrases,
provisions, covenants, conditions or any other part of this Contract shall remain in full force and
effect and shall in no way be affected, impaired or invalidated.
Xi.
APPLICABLE LAW
This Agreement is entered into subject to the City Charter and Ordinances of the CITY,
as they may be amended from time to time, and is subject to and is to be construed, governed and
enforced under all applicable State of Texas and Federal law. Situs of this Agreement is agreed
to be "Tarrant County, Texas, for all purposes including performance and execution.
XII.
ENTIRE AGREEMENT.
This Contract embodies the complete agreement of the parties hereto superseding all oral
or written previous and contemporary agreements between the parties relating to matters herein;
and except as otherwise provided herein, cannot be modified without written agreement of the
parties.
XIII.
NON-WAIVER
It is further agreed that one or more instances of forbearance by CITY or DISTRICT in
the exercise of its rights herein. shall in no way constitute a waiver thereof.
XIV.
AUTHORIZATION
The undersigned officers and/or agents are properly authorized to execute this Contract
on behalf of the parties hereto and each party hereby certifies to the other that any necessary
resolutions or actions extending such authority have been duly passed and are now in full force
and effect.

SUBJECT INTERLOCAL AGREEMENT WITH TARRANT COUNTY 9-1-1 DISTRICT FOR
FUNDING THE PURCHASE OF EMERGENCY TELECOMMUNICATIONS
EQUIPMENT
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the City Manager to enter into an interlocal agreement with Tarrant County 9-1-1
Emergency Assistance District (District) for the District to fund $113,909.00 in telecommunications
equipment upgrades in the City's Public Safety Communications Center; and
2. Adopt the attached appropriation ordinance increasing by $113,909.00 the estimated receipts and
appropriations in the Information Systems Fund from available revenue; and
3. Authorize the purchase of equipment and installation services from Southwestern Bell Telephone to
upgrade an existing Nortel Private Branch Exchange (PBX) from option 61 to option 61 C at a cost
not to exceed $113,909 and utilizing State of Texas Catalogue Purchasing Procedures for the
Information Technology Solutions Department.
DISCUSSION:
Part of the ongoing Public Safety Dispatch and Mobile Data Communications System project involves
upgrading the telephone communications equipment located at the Bolt Street Communications Facility
used in 9-1-1 call-taking operations. On December 7, 1999 (M&C C-17766), the City Council approved
equipment acquisitions and upgrades for the backup public safety answering point located in the tunnel
between City Hall and the Public Safety Building. The upgrade to the Bolt Street facility's existing PBX
system will make it identical to the equipment now in the backup center. This will standardize features
and training requirements between the primary and backup facilities.
The District has agreed to fund the $113,909 cost of the telecommunications equipment upgrade for the
Bolt Street Communications Facility, just as the District funded the $465,000..cost of the PBX upgrade
and equipment acquisition for the backup center in December 1999.
The City will purchase the required equipment and installation services and manage the installation
process. Upon completion of the project, the City will invoice the District and receive reimbursement for
the full cost of the equipment.
Under Section 271.083 of the Texas Local Government Code, a local government satisfies otherwise
applicable competitive bidding requirements when it makes a purchase through the State of Texas
Catalogue purchasing procedures established by Section 2157.061 of the Texas Government Code.
The City will comply with those provisions for the purchase agreement authorized by this Mayor and
Council Communication.
