HomeMy WebLinkAboutContract 26412 CITY SECRETARY CONTRACT NO. 3 FORT WORTH PUBLIC LIBRARY PERSONAL SERVICES AGREEMENT STATE OF TEXAS § COUNTY OF TARRANT § This PERSONAL SERVICES AGREEMENT ("Agreement') is made and entered into by and between the CITY OF FORT WORTH ("City"), a home rule municipal corporation acting by and through its duly authorized Assistant City Manager, and Naida Cantu ("Subject Tutor"), the individual whose personal services are retained hereunder. WITNESSETH: That in consideration of the mutual covenants, promises and obligations contained herein, the City and Subject Tutor agree as follows: 1. Subject Tutor agrees to perform professional services to assist in managing in the Fort Worth Public Library ("Library") "Juntos Podemos" program, part of the 76106 Community Youth Development Project. Subject Tutor's services are based upon the proposal attached hereto as Exhibit "A" and incorporated herein for all purposes and shall include, but not be limited to, the following: 1. Assist the "Juntos Podemos" Project Director and Project Coordinator, by tutoring children and adults in schoolwork and literacy, and promote family literacy and work closely with the Library staff in planning, implementing and coordinating all phases of the "Juntos Podemos" program, at the Northside and Diamond HUI/Jarvis Branch Libraries. 2. This Agreement shall commence on September 1, 2000 and end no later than August 31, 2001, unless otherwise terminated as provided herein. 3. The services for which Subject Tutor is retained hereunder shall be performed within the budget allocation for salaries. Subject Tutor agrees to cooperate fully with the City and the Library. In full payment and consideration for all services furnished hereunder, Subject Tutor will be paid from the Coordinator's budget fund of$12.00 per hour (that fund has $12,012.00 Twelve Thousand Twelve Dollars), for a period until a Coordinator is hired for Northside Library. This person will be maintaining the paperwork needed by the State of Texas until a Coordinator is hired. When this occurs the Subject Tutor shall be paid biweekly at the rate of$10.00 per hour, for a total sum not to exceed Six Thousand Three Hundred Dollars ($6,300.00). Subject Tutor understands and agrees that Subject Tutor shall be paid exclusively from funds granted by the Texas Department of Protective and Regulatory Services. If any or all such grant funds are not received by the City in a timely fashion, the City may terminate this Agreement by providing written notice to Subject Tutor, and the City ligations to Subject Tutor hereunder. Subject Tutor shall perform all services hereunder as an independent contractor and not as an officer, agent, servant or employee of the City. Subject Tutor shall have exclusive control over, and the exclusive right to control, the details of the services hereunder and shall be solely responsible for Subject Tutor's acts or omissions. Nothing herein shall be construed as the creation of a partnership or joint enterprise between the City and Subject Tutor, and the doctrine of respondent superior shall not apply as between the City and Subject Tutor. 5. No withholding shall be made for such payments on account of federal, state or local taxes or contributions, and Subject Tutor hereby assumes full responsibility for such taxes or contributions. Subject Tutor shall pay in full all taxes or contributions imposed upon or sought to be imposed upon the City as a result of this Agreement, including, but not limited to, social security, workers' compensation, income tax or other penalty or tax. 6. Subject Tutor covenants and agrees to, and does hereby, indemnify, hold harmless and defend the City, its officers, agents, servants, employees and representatives, from and against any and all claims or suits for property damage or loss and/or personal injury, including death, to any and all persons, of any kind or character, whether real or asserted, arising out of or in connection with, directly or indirectly, the negligent acts or omissions of Subject Tutor in the performance of all services hereunder; and Subject Tutor hereby assumes all liability and responsibility for such claims or suits. 7. If Subject Tutor violates any of the covenants, provisions or stipulations of this Agreement, the City shall have the right to terminate this Agreement by giving written notice to Subject Tutor of its decision to terminate and specifying the effective date of such termination. In this event, all of Subject Tutor's work product hereunder shall become the property of the City and Subject Tutor shall receive just and equitable compensation as provided in Section 3 for all work satisfactorily completed. 8. The City may at any time require Subject Tutor to furnish periodic reports pertaining to the work or services undertaken pursuant to this Agreement. Subject Tutor agrees to furnish such reports at the time and in the form requested by the Library. 9. Subject Tutor covenants and agrees to keep all reports, data, information or other work prepared or assembled by Subject Tutor under this Agreement strictly confidential. Subject Tutor shall not provide any individual or organization with any such reports, data, information or other work without the prio written conserrt aft City. -2- 10. All reports, maps, manuals, kits, promotional materials, bibliographies or other documents produced in whole or in part under this Agreement shall be the exclusive property of the City. Subject Tutor agrees that neither Subject Tutor nor any other party shall apply for or obtain on behalf of Subject Tutor any copyright, trademark or patent in regard to such material. 11. Venue for any action hereunder shall be in Fort Worth, Tarrant County, Texas. 12. This Agreement, including any documents incorporated herein by reference, contains the entire understanding of the City and Subject Tutor as to the matters contained herein. Any prior or contemporaneous oral or written agreement is hereby declared null and void to the extent in conflict with any provisions of this Agreement. Supervision/Guidance: Report to the Project Coordinator. Purpose Of Position: Assist the Project Coordinators by tutoring children and adults in schoolwork and literacy,and promote family reading. Major Responsibilities: 1. Cooperate and coordinate with Project Coordinators in implementing JUNTOS PODEMOS! 2. Undergo orientation in Library services and resources. 3. Provide individualized tutoring for program participants after school and weekend hours. 4. Use both personal tutoring and computer-assisted learning. 5. Supervise volunteer and peer tutors. 6. Authorize the City Manager to apply for a grant and, if approved, execute a grant agreement with Tarrant County for the City to receive funding in an amount not to exceed a total of $40,974.50 for a literacy program in the 76106 Zip Code; and 2. Authorize a non-interest bearing inter-fund loan from the General Fund to the Grants Fund in the amount of $10,000.00 for interim financing of this grant project pending contract execution; and 3. Adopt the attached appropriations ordinance increasing estimated receipts and appropriations in the Grants Fund by $40,974.50 from available funds. DISCUSSION: The City of Fort Worth, through the Fort Worth Public Library, has been invited to apply for state FY2001 grant funding for a literacy program that targets Fort Worth's 76106 zip code area. The Library's project, JUNTOS PODEMOS (Together, We Can!), establishes computer laboratories in the Northside and Diamond Hill/Jarvis library branches to support initiatives in family and computer literacy and after-school tutoring in academic and life skills. The project targets children, teens, and their families living in the 76106 zip code. It will be implemented by two project coordinators, one subject tutor, one computer tutor and two peer tutors under the direction of the Diamond Hill/Jarvis branch manager. Tarrant County is the primary recipient of funds from the Texas Department of Protective and Regulatory Services for a contract which addresses community and youth development issues in Fort Worth's 76106 zip code. Tarrant County will also offer sub-contracts to other community-based organizations. This grant was originally approved for state Fiscal Year 1996. Approval for state Fiscal Year 2001 (September 2000-August 2001) is requested. Tarrant County will reimburse the City for its grant expenses as a grant subcontractor. Grant staff will be hired under personal services contracts recommended herein; therefore, indirect costs will not be appNcable to this contract and costs are not applicable to this grant.
