Dear Ms. McKinney:
The purpose of this letter is to set forth the intent of Sammons
of Fort Worth and the City of Fort Worth with regard to a
traffic control system within the City of Fort Worth. The
intent of the parties is as follows:
1. FREQUENCY REQUIREMENTS
a. Sammons will provide one 6-megahertz channel, Channel
J, in the forward direction and one 6-megahertz
channel, Channel T10, in the reverse direction to the
City of Fort Worth for use in controlling and moni-
toring traffic signals and other traffic control
devices and for other City functions. For traffic
signal and traffic control device control and moni-
toring, use of these channels will be confined to the
following frequencies.
Channel J 215. 25 to 218 . 25 megahertz
Channel T10 23 . 25 to 26 . 25 megahertz
b. The frequencies specified in l.a will be provided on
the subscriber system for communication between the
cable head at Hub 1 and the various field (on-street)
locations and on the Interconnect cable for communica-
tion between the cable head at Hub 1 and the Transpor-
tation Management Center located in the Police and
Courts Building on Throckmorton Street.
C. The frequencies specified in l. a and l.b shall not be
changed without the written approval of the City of
Fort Worth.
d. Sammons will provide all necessary translation and
conversion of the signals from Channel T10 of the
subscriber system to Channel J of the Interconnect
cable and from Channel T10 of the Interconnect cable
to Channel J of the subscriber system. This will be
accomplished at Hub 1.

2 . USE OF FREQUENCIES
a. It is understood that the majority of the frequencies
specified in l.a through l.c will be used for asynchro-
nous communication which is cyclical in real time with
a one-second cycle time.
b. It is understood that the frequencies specified in l.a
through l.c will be used primarily for data trans-
mission, but that they will also be used for related
voice transmission.
C. The use of Channels J and T10 as set forth herein will
be without cost to the City of Fort Worth for opera-
tions or maintenance.
d. Sammons will provide and maintain all necessary
amplifiers at no cost to the City and their use will
be at no cost to the City.
3 . CONNECTION TO SAMMONS ' SYSTEM
a. It is understood that Sammons will accommodate
connections to both the trunk cables and the distribu-
tion (feeder) cables of the subscriber system in order
to provide service at the least cost to the City.
b. All connections to the Sammons system will be performed
by Sammons or its agents. All necessary extensions of
the Sammons system will be made by Sammons or its
agents; however, by mutual agreement, Sammons may
utilize conduit which is owned by the City at no cost
to Sammons.
C. At locations with wood-pole mounted cabinets, the City
will furnish and install the drop conduit on the pole
with the control equipment cabinet. At locations with
ground mounted, metal-pole mounted or pedestal mounted
cabinets, the City will furnish and install a pull box
and the drop conduit between the cabinet and the pull
box. These may be existing conduits and pull boxes.
It is understood that Sammons ' drop cable may share a
conduit with City traffic signal and power circuits.
These circuits will be fused and the voltage on them
will not exceed 120 volts RMS.
d. Sammons will terminate each drop inside the control
equipment cabinet or other enclosure with an "F"
fitting.

4 . DROP CHARGES
a. The total length of drops will be measured for the
purpose of determining drop charges.
b. There will be no charge to the City for drops which
are 150 feet long or less, except for plant prepara-
tion.
C. Where drops exceed 150 feet, Sammons shall accommodate
the connection at the least cost to the City consistent
with good engineering practices, whether by using a
longer drop run or extending feeder or trunk. Such
decision shall be reviewed and approved by the City
prior to performance of the work, and the City shall
pay Sammons the cost of such work in excess of the
cost of a 150-foot drop.
5. MODEMS
a. All modems (modulators/demodulators) required at the
terminations to interface the traffic control equipment
to Sammons' cable will be furnished and installed by
the City or its agent.
b. Sammons will have the right to approve and disapprove
the specifications for the modems and to reject
specific makes and models of modems for any reason
during the design stage of the project.
C. Sammons will have the right to inspect, at its cost,
any and all modems prior to their connections to the
Sammons system.
6. MAINTENANCE OF THE SYSTEM
a. The City will respond to all traffic control related
trouble calls and will diagnose the problem. If the
problem is isolated to the Sammons system, the City
will notify Sammons.
b. Upon receipt of notification from the City as set
forth in 6.a, Sammons will respond, as necessary,
within a maximum of four hours from receipt of the
call . This service will be provided by Sammons 24
hours a day, seven days a week.
C. The City will maintain the modems and Sammons will
maintain all aspects of the Sammons system.

7 . IMPLEMENTATION TIME
a. Sammons will cooperate with the City and its contrac-
tors in meeting the time schedule for the initial
traffic control management system installation as
follows:
1) Sammons will furnish the City with an estimate of
the cost to the City for connecting the locations
referred to in 7.a.2) and 3) below to the system.
This estimate shall be sufficiently accurate to
enable the City Council to authorize the work.
The estimate shall be presented to the City by
August 29, 1986.
2) Service will be provided to at least 25 field
locations in the southwest quadrant of the City
and to the Transportation Management Center by
December 31, 1986. The 25 field locations will
be selected jointly by the City and Sammons,
provided that they must form logical groupings
for traffic control purposes and must include at
least one school flasher location.
3) Service will be provided to all field locations
(approximately 110 additional locations) by May
31, 1987 . This will include approximately 40
school flashers city-wide and approximately 70
signalized intersections in the southwest quadrant
of the City.
b. Following initial implementation of the system,
Sammons will provide service to additional locations
as needed within 30 calendar days after receipt of
written request from the City for such service and
receipt of all necessary approvals and equipment.
8 . MISCELLANEOUS
a. No engineering fees will be charged to the City by
Sammons for drops of 150 feet or less.
b. It is understood that there will be a telephone system
operating on the Sammons system for voice communication
among the field locations and with the Transportation
Management Center and that this telephone system will,
at times, be connected to the Southwestern Bell
commercial switched telephone system.

C. The City will pay Sammons for the actual documented
purchase, replacement and maintenance costs for the
following items which are used solely for the City' s
benefit.
1) Translators
2) Processors
3) In-line high-pass (reverse blocking) filters
4) Other necessary electronic devices, excluding
amplifiers
d. For drops exceeding 150 feet, the City will reimburse
Sammons the documented actual cost of construction.
e. Engineering for all purposes other than drops of 150
feet or less will be reimbursed to Sammons by the City
at documented cost; however, no engineering costs will
be charged to the City until the engineering time
specified in the franchise agreement has been
exhausted.
f. The City will design the traffic control system so
that failures of Sammons ' equipment or network will
not be capable of causing intervals to be timed by the
signals which are too short to be safe. The City will
acknowledge and agree that Sammons is merely a carrier
of the information to be transmitted by the City and
that the City will indemnify and hold Sammons harmless
from any and all claims, liability or causes of action
of any kind arising out of the operation of the
traffic control system. The City will comply with the
requirements of Article 11, Section 7 of the Texas
Constitution with regard to the above indemnification
of Sammons by the City.
g. The City will further agree that, in the event any
person makes a claim or objection with any governmental
agency or threatens or commences legal action claiming
that Sammons is not authorized to provide the service
contemplated herein, the City shall have the sole
responsibility for defending against such claim,
objection or litigation. Sammons agrees, at the
City' s request, to cooperate with the City and to
execute any and all instruments necessary for such
defense.

h. In the event the City' s use of frequencies causes
interference with Sammons ' delivery of service to its
subscribers on the consumer cable, the City shall have
30 days to eliminate the interference. If the inter-
ference is not corrected within 30 days, the City's
transmission shall cease until corrective action is
taken.
1. All of the foregoing is subject to the negotiation and
execution of a definitive agreement formalizing the
above understanding and including such other terms and
conditions appropriate to such an agreement.
If the foregoing constitutes your understanding of the intent of
the parties, please sign both copies where indicated below and
return one to me for our files.
