WHEREAS, the City of Fort Worth (CITY) and Freese and Nichols, Inc. ,
(ENGINEER) made and entered into City Secretary Contract No. 46771, (the
CONTRACT) which was authorized by M&C C-27313 on the 2nd day of June,
2015 in the amount of $ 271, 622 . 00; and
WHEREAS, the CONTRACT involves engineering services for the
following project :
CONSTRUCTION MANAGEMENT SERVICES FOR TRV BRIDGES; and
WHEREAS, it has become necessary to execute Amendment No. 1 to the
CONTRACT to include an increased scope of work and revised fee .
NOW THEREFORE, CITY and ENGINEER, acting herein by and through their
duly authorized representatives, enter into the following agreement,
which amends the CONTRACT:

Article I of the CONTRACT is amended to include the additional
engineering services specified in a proposal dated May 5, 2016, a copy of
which is attached hereto and incorporated herein. The cost to City for
the additional design services to be performed by Engineer totals
$405, 491 . 00. (See Attached Funding Breakdown Sheet, Page -3-)

Article II of the CONTRACT is amended to provide for an increase in
the fee to be paid to Engineer for all work and services performed under
the Contract, as amended, so that the total fee paid by the City for all
work and services shall be an amount of $677, 113 . 00.

All other provisions of the Contract, which are not expressly
amended herein, shall remain in full force and effect .

Re: Trinity River Vision Bridges—Construction Phase Services
Dear Mr. Rademaker:
As you requested, attached is an amendment proposal to continue construction phase services for the
Trinity River Vision Bridges. This proposal is for services beyond the current contract with the City of
Fort Worth, for which effort has been nearly expended. The effort included in this proposal is not for
the full project duration, but rather the second phase of construction which is anticipated to last
approximately one year. It is anticipated that subsequent authorization(s) will be required to complete
the project construction phase.
The attached scope includes continued support for submittal reviews, responding to information
requests, resolving field issues, and attendance at periodic coordination meetings as well as separate
project site visits to observe construction.
The work proposed in this amendment will be invoiced based on the actual effort expended, as opposed
to lump sum.

EXHIBIT "A"
Scope for Engineering Design Related Services for Street Improvements
The scope set forth herein defines the amended work to be performed by the ENGINEER in
the second phase of construction. Both the CITY and ENGINEER have attempted to clearly
define the work to be performed and address the needs of the Project. This phase of the
project will be performed on a cost-plus basis. It is anticipated that this authorization will
include FNI's services for approximately one year with additional authorization necessary to
complete the construction duration.
PURPOSE
As the Trinity River Vision Bridges continue under construction administered by TxDOT, it is
important to keep the design team involved during construction as there are details specific
to these designs, which are not typical and critical to achieving the vision of the project.
Although TxDOT will continue to manage construction, Freese and Nichols, Inc. (FNI)
proposes in the scope below to be available for consultation during construction.
WORK TO BE PERFORMED
ENGINEER will support the construction phase of the project as follows.
1.1 Construction Support
• The ENGINEER shall attend up to 26 bi-weekly Project Design Team meetings
throughout construction.
• The ENGINEER shall attend up to 52 weekly construction progress meetings.
• The ENGINEER shall visit the project site up to 52 times as construction proceeds
to observe and report on progress. These site visits shall include a general review
of the installation of the bridge elements (rebar, post tensioning, formwork, etc.)
for general compliance with project drawings by FNI's structural engineering staff.
• The ENGINEER shall visit the project site for a detailed review by construction
management staff once weekly for 12 weeks. This will be a more detailed review
of constructed bridge elements for conformance with plans. A site visit report will
be provided listing any observed potential deficiencies for consideration by
TxDOT.
• The ENGINEER shall continue review of shop drawings, samples and other
submittals submitted by the contractor for general conformance with the design
concepts and general compliance with the requirements of the contract for
construction. Such review shall not relieve the Contractor from its responsibility for
performance in accordance with the contract for construction, nor is such review a
guarantee that the work covered by the shop drawings, samples and submittals is
free of errors, inconsistencies or omissions. The ENGINEER will be responsible
for logging and tracking all shop drawings submitted, samples and other
submittals which are submitted to ENGINEER for approval. Shop drawings not
previously included, which may be included in this phase include:

position and calibrate lights for each of the 3 bridges
• As requested by the CITY, the ENGINEER shall provide necessary interpretations
and clarifications of contract documents, review change orders, and make
recommendations as to the acceptability of the work.
• The ENGINEER shall attend the "Final"project walk through and assist with
preparation of final punch list.
ASSUMPTIONS

• 18 site visits are assumed.
• 52 submittal reviews are assumed.
• 52 requests for information are assumed
• Four (4) Change Orders are assumed.

Additional Services not included in the existing Scope of Services — CITY and
ENGINEER agree that the following services are beyond the Scope of Services
described in the tasks above. However, ENGINEER can provide these services, if

needed, upon the CITY's written request. Any additional amounts paid to the
ENGINEER as a result of any material change to the Scope of the Project shall be
agreed upon in writing by both parties before the services are performed. These
additional services include the following:
• All previous additional services not explicitly included in this amendment.
• Shop drawing reviews, record drawings and other scope items identified in the
scope of services beyond approximately one year from this amendment
execution.

RECOMMENDATION:
It is recommended that the City Council:
1. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the
Intergovernmental Contributions Fund in the amount of$405,491.00; and
2. Authorize the execution of Amendment No. 1 to City Secretary Contract No. 46771 with Freese and
Nichols, Inc., in the amount of$405,491.00 for construction management services for Trinity River Vision
Central City Project Bridges on North Main Street, Henderson Street and White Settlement Road (Trinity
River Vision-Related Expenses eligible for reimbursement from the Tarrant Regional Water District).
DISCUSSION:
In the summer of 2014 the Texas Department of Transportation (TxDOT) advertised project bids for the
construction of the North Main Street, Henderson Street and White Settlement Road bridges in
conjunction with the Trinity River Vision Central City Project. TxDOT awarded the construction contract for
the three bridges to the Sterling Delaware Holding Company, Inc. (Texas Sterling Construction), in the fall
of 2014.

Texas Department of Transportation (TxDOT) agreed to provide construction inspection and
geotechnical/materials testing services for the three bridges. The City and its project partners (Tarrant
Regional Water District, Tarrant County and Trinity River Vision Authority) agreed to provide construction
management services to work with TxDOT to ensure the bridges were constructed in accordance with
existing Agreements and project intent.

Due to the complexity of the combined bridge project, the uniqueness of the bridge design (no similar
bridges in the State of Texas) and unusual design elements Staff recommended that the design engineer,
Freese and Nichols, Inc. (FNI), be engaged to provide construction management services during the
construction period to ensure that the three bridges were constructed in accordance with the design intent.
On June 2, 2015, (Mayor and Council Communication (M&C C-27313) the City Council authorized an
Engineering Agreement in the amount of$271,622.00 with FNI for construction management services for
the three bridges. FNI's Engineering Agreement was based upon a limited defined scope of services and
structured to be used on an "as needed" hourly basis to support Staff.
FNI's services have been extremely useful in resolving issues pertaining to unusual project elements
including the V-pier structures, bridge aesthetics, illumination and project landscaping. Structural items
requiring additional detailed review include the V-piers, retaining walls and post tensioning sequencing of
the three bridge substructures and superstructures. Other project elements requiring FNI's expertise
include the bridge LED lighting systems and maintenance portals. Staff has determined that, due to
uniqueness of the bridge designs and challenges identified during the early stages of construction, FNI's
scope of services and level of effort needs to be expanded to address unanticipated design and
construction issues on an "as needed" basis. FNI has proposed to provide the recommended construction
management services on an hourly rate basis and a total fee not to exceed $405,491.00.
Staff considers the proposed fee to be fair and reasonable for the scope of service to be performed.

The entire $405,491.00 amount of this contract is considered TRV-related. Having met its $26.6 million
commitment to the TRV project, the City will be reimbursed the full amount of$405,491.00 by the Tarrant
Regional Water District (TRWD) upon project completion, in accordance with the provisions of the
executed Interlocal Agreement between the City and the TRWD (CSC No. 43425). Staff will record a
receivable every month for reimbursable expenses, and the TRV Program Manager in the Planning and
Development Department will be responsible for collecting the full reimbursement from TRWD upon
project completion. Once reimbursement is received, the revenue will be receipted to the
Intergovernmental Contributions Fund.
M/WBE Office: Freese & Nichols, Inc., is in compliance with the City's M/WBE Ordinance by committing to
an additional 10 percent M/WBE participation on this Amendment No. 1. The City's M/WBE goal on this
Amendment or extra work is seven percent.
The project is located in COUNCIL DISTRICTS 2 and 9 and will benefit the entire City.
